THIS AGREEMENT, entered into this 14th day of December, 2012, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts Commission")
and SECU Family House at UNC Hospitals ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program
to provide economic opportunities to Orange County artists and non-profit organizations
coordinating arts projects benefiting the citizens of Orange County.
WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Program of the North Carolina Arts Council, an agency of the
Department of Cultural Resources and the National Endowment for the Arts.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
Spring Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
("Project") described in the Grant Recipient's Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars
($1,500) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project. These funds must be matched at least dollar-for-dollar with cash from
the Grant Recipient's funds not derived from either Orange County appropriations or the
North Carolina Arts Council.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between January 1,
2013 and December 31, 2013. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B. Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient's request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission's decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C. Non—assi n ment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining
to costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose of implementing the Project and Project related expenses.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on January 14 , 2014 . The Final Report shall be in the format required by
the North Carolina Arts Council. Failure to submit the Final Report or late
submission of the Final Report, for any reason, shall be grounds for denial and/or
cancellation of grant funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$1,500 to the Grant Recipient.
6. Publicity
A. Acknowledizeme nt. Credit must be given to the Orange County Arts
Commission using the Arts Commission logo and if State funds are received
to the North Carolina Grassroots Program in brochures, news releases,
programs, and all other printed and online publications. Copies of such printed
materials must accompany the evaluation report. When no printed information is
used, verbal credit shall be given. In addition, all print and promotional material
must include the following credit line (check all that apply):

the Orange County Arts Commission with funds from the Grassroots Program

B. The Grant Recipient must enter all events, exhibits and performances open to the
public and related to this grant award on the ExploreChapelHillARTS.com
website and display ExploreChapelHillARTS.com publicity materials
(postcards, brochures, etc.) prominently and consistently at their venue or
performance space. In addition, the Grant Recipient must add a link to the
ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred)
to their main webpage. The Grant Recipient shall contact the Orange County Arts
Commission for replacement ExploreChapelHillARTS.com publicity materials.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9. Termination
A. In the event of any of the circumstances set forth below(hereinafter referred to as
"default"),the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County's or the Arts Commission's
remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. This Agreement shall be interpreted in accordance with the laws
of the State of North Carolina and the Orange County.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organizational Profile
SECU Family House at UNC Hospitals provides an affordable, safe, nurturing
home away from home for seriously ill patients, their family members, and
caregivers from throughout North Carolina and beyond. Before we opened in
March 2008, families of seriously ill patients who could not afford regular hotel
rates slept in waiting rooms, on hospital couches, or on hallway or waiting room
floors. Many sought shelter in their cars. SECU Family House at UNC Hospitals
SECU provides not only shelter, but sanctuary, for as many families as we can

Our spacious and beautiful hospitality house has 40 bedrooms and is located minutes from
UNC Hospitals. We provide comfortable, private rooms and warm, engaging community areas
for patients receiving treatment for cancer, transplants, trauma, burns, eating disorders, or other
serious illness. Eight of our rooms are suites reserved for immune-suppressed patients—
primarily bone marrow transplant patients—and their families.
Our current operating cost is $65 per night, per room, and we request a modest fee from guests:
$35 per night for a standard room or$50 per night for a suite. While many of our guests have
insurance plans, including Medicaid, that sometimes cover the cost of lodging during extended
hospital treatment, many are uninsured or have plans that do not cover the cost of lodging. In
such cases, our family assistance fund, "Fund-a-Family," makes up much of the difference so
that guests pay as little as $5 per night.
Patients staying at the House enjoy all the comforts of home and do so with a family member or
caregiver by their side. For families staying here while their loved ones are hospitalized, SECU
Family House offers a respite from the hospital and the added compassion they gain from an
attentive staff, volunteers, and—most importantly—other guests experiencing similar
circumstances. In addition, SECU Family House offers:
• Close proximity and free Chapel Hill bus service to the hospital
• Volunteer-prepared dinners most weeknights
• Extensive video and book libraries
• Easy access to walking trails and the North Carolina Botanical Gardens
• A children's playroom with toys, games and books
• A quiet room for meditation or private conversations
• A great room with a fireplace and a solarium for community or family gatherings
• Occasional personal services: massage, facials, manicures, pet therapy and more
• And more than 100 active volunteers who help keep the House running, neat and
organized, and who patiently minister to the needs of our guests.
In addition to evening meals, we aim to provide guests with evening entertainment a few nights a
week (one to three nights) as part of our Music &Arts Program. Our amenities, a wonderfully
caring and committed corps of volunteers, and services like meals and entertainment are all part
of the sense of sanctuary we offer guests after a long day at the hospital.
We have been successful in our mission. We issue guest surveys to every guest upon
checkout, and our numbers tell the story of our success. Year to date, 95% of 429 respondents

said that staying at Family House positively impacted their emotional and psychological well-
being and sense of safety.
Overwhelmingly, respondents indicated that their stay had a positive impact on other factors
including meeting new people, the patient's access to treatment, the ability to have one or two
caregivers present, and the patient's health. These indicators reassure us that we are fulfilling
our mission and providing guests with a safe haven during a time of medical crisis.
SECU Family House at UNC Hospitals receives no operating funds from federal, state, or
municipal agencies. We depend on individuals, local businesses, corporate and foundation
grants for the bulk of our funding—for everything from capital expenses and operating costs to
artist fees to bring entertainment to the House.
So far this year, we have operated at 96% occupancy and served 2,444 patients or families of
patients. Since we opened in 2008, we have served more than 8,000 patients or families of
patients and provided more than 114,000 stays to patients/patient families from all 100 of North
Carolina's counties, 35 other states and 7 foreign countries.
Current Programs and Services
SECU Family House maintains one primary program: lodging for seriously ill adult patients
being treated at UNC. We seek funding for our"Fund-A-Family" assistance fund (as mentioned
above), and we seek in-kind donations for various needs around the house. The Music &Arts
Program is the only program for which we seek restricted, dedicated funding.
The other services we offer, as outlined above, are:
• Volunteer-prepared dinners most weeknights
• Occasional personal services: massage, facials, manicures, pet therapy and more
We are able to secure the above through in-kind donations. While some performers will donate
their services, as discussed below, many need—and all appreciate—the small stipend we are
able to provide to them.
Proposed Uses of Grant Funds
SECU Family House has offered a Music &Arts Program since 2010. We have a dedicated
volunteer who find acts and books performances for the House. Performers are asked to be
ready to perform at 7:00 p.m., after dinner has been served, and to perform for about an hour.
We have a piano on site and two music stands, but otherwise acts bring their own equipment as
needed.
The vast majority of our artists are local—from Orange County or surrounding environs.
Performing at the House provides the artists practical experience in front of a live audience, but
more importantly, it offers entertainers a chance to serve in the community and lighten the
spirits of families facing challenges in their lives. We also frequently take photos and video of

Our families appreciate and enjoy the opportunity to attend, too: Of those who responded to a
question in our guest survey rating our Music&Arts Program, 87% rated the music program
as "great" and the remaining 13% rated it as "good."
The types of performers we've hosted run the gamut: banjo players, tap-dancers, acapella
groups, orchestral quartets, jazz groups, tribute bands, magical acts, and more. We have had
everyone from high school students to senior citizens perform and strive to book a variety of
genres to engage our diverse population.
The audience size varies depending upon who is in the House on any given evening, but we
typically draw anywhere from five to 20 guests. We do not track the ethnicity, age or gender of
our guests; but it is safe to say that our population reflects the demographics of the population
of North Carolina. The patients we serve must be 18 or older, and we draw on all counties of
North Carolina, as well as nationwide. Cumberland, New Hanover, Onslow, Mecklenburg, and
Brunswick counties were our top counties served in 2011, according to the total number of
patients/patient families receiving lodging.
We pay groups $100 per appearance and individuals $50 for up to two shows per calendar
year. Some groups will donate their services free of charge, or will play for free after receiving
two honoraria per year.
• In 2010, we had 50-60 performances with limited funding in that that year. (In the first
year, we had not formalized the program and therefore our records are incomplete.)
• In 2011, we supported 93 performances with $4,500 in funding. Seventy of those
performers were paid.
• In 2012, we will close out the year with 80 performances with just $2,500 in funding,
which has been used in its entirety this year. Of this year's performances, about 35 were
paid.
Our goal is to increase our funding from this year's level so that we can continue to recruit
talented acts to the House. We are fortunate to have so many performers who will volunteer
their services, but we will be able to bring in more acts, and provide evening entertainment more
often, with a larger budget. A budget of$5,000 would allow us $400 per month, and pay for
three groups and two solo shows.
We request from the Orange County Arts Commission a grant of$1,500. The matching funds
for this will be requested from The Mary Duke Biddle Foundation and The Strowd Roses
Foundation, both of which funded this current year's program. With your support and the
support we anticipate from one or both of those organizations, we hope to secure at least
$3,000 in funding, or$250 a month. At this time, all grant funding for this program is pending,
and so we ask the Orange County Arts Commission to help ensure that we will be able to
continue to offer this important program through your essential support.

Cash Match
SECU Family House at UNC Hospitals will request, but has not yet secured, funding to match
the $1,500 amount requested from the Arts Program. We successfully funded the program this
year with grants from The Mary Duke Biddle Foundation ($1,500) and The Strowd Roses
Foundation ($1,000). We will apply for funding from both foundations in their upcoming grant
cycles. Should we find ourselves unable to secure matching funds from either organization, we
will match the grant with our own funds, either by seeking an individual donor to match the
grant, or by redirecting unrestricted funds. We can commit to keeping the Orange County Arts
Commission apprised of our success in matching the grant, should we receive it.
Artist/Administrator Resumes
We do not maintain resumes on file for our artists. Because our program is a service-oriented
and intended for pleasure, we do not request or require credentials of our performers—simply a
desire to entertain. We have attached a listing of the performers who have come to the House
this year and the type of entertainment provide--our 2012 Artist List.

We do not publicize our events outside the House, as our intended audience comprises House
guests. We have included two posters that represent the content we post for each entertainer
who performs here.
