WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, an agency of the Department of Cultural Resources and the National Endowment for the Arts. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand dollars ($1,000) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient 1 Revised May 2012 A. I_plementation. The Project implementation shall take place between January 1, 2013 and December 31, 2013. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Proj ect. B. Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C. Non—assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on January 14, 2014 . The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1,000 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission using the Arts Commission logo and if State funds are received to the North Carolina Grassroots Program in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. When no printed information is used, verbal credit shall be given. In addition, all print and promotional material must include the following credit line (check all that apply): 2 Revised May 2012 th e4 ii. North Carolina Arts Council Funding. "This program is supported by the Orange County Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, a state agency. " B. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreChapelHillARTS.com website and display ExploreChapelHillARTS.com publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred) to their main webpage. The Grant Recipient shall contact the Orange County Arts Commission for replacement ExploreChapelHillARTS.com publicity materials. - 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below(hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised May 2012 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of North Carolina and the Orange County. Out of the corner of your eye,you see a big,bright,bold vehicle whiz by.You quickly take a closer look and see that it is a bus covered in colorful artwork.Then you remember: this morning you received a tweet from @friend. It said to be on the lookout for Mobile Mural, a bus wrapped in artwork,cruising around Chapel Hill.You snap a photo of the bus on your smartphone and post it on Facebook. Smiling,you rush to work.Mobile Mural has given you a little boost of social energy. For The Downtown Art Program in the Town of Chapel Hill, I propose a"bus wrap"artwork called Mobile Mural. It is a 2-D artwork that will wrap around a Chapel Hill Transit public bus whose route passes along Franklin Street and/or Rosemary Street in downtown Chapel Hill.This public artwork will cross over several media: public art,interactive art, networked art. Mobile Mural project will add aesthetic distinctiveness and relevance to Chapel Hill's transit system and the downtown area.The artwork for Mobile Mural will be a large,highly colorful design that is inspired by Chapel Hill Transit's diagrams and maps of bus routes along Franklin Street and Rosemary Street. Conceptually,the artwork will be a bold pattern that is a visual metaphor of a bus driving along the same route over and over again. Patterns are compositional elements like lines or shapes that repeat in a predictable manner.Mobile Mural's artwork will be rendered from the pattern of a bus driving continuously along its fixed-route.In practical terms,Mobile Mural's pattern will be visually-striking and easy to see while the bus is moving and at a distance. On the rear of the bus, overlaying the artwork,there will be 3 logos/names: Orange County Arts Commission,The Town of Chapel Hill and Mary Carter Taub. The creation and construction of Mobile Mural will take place over three phases. One, Mary Carter Taub will create the Mobile Mural artwork(a brightly colored drawing)by hand. Second,the drawing will be digitally translated and printed on vinyl by the fabricator.Three,the fabricator will wrap the vinyl art around the bus exterior.The installation(and removal)of the vinyl art wrap will take place on site at Chapel Hill Transit in the"bus barn." Mobile Mural will use the same materials and the same installation process as advertisements displayed on the exterior of a city bus.The art wrap is made of a removable vinyl. It is installed through a thermal heat process that is roughly similar to"shrink wrapping."The average life span of the vinyl bus wrap is 1-3 years which more than satisfies the term of this temporary artwork which will run for 6 months in 2013.The exact date is to be determined by the Town of Chapel Hill and Mary Carter Taub. The partners for the project are Orange County Arts Commission and The Town of Chapel Hill's Public and Cultural Arts/Parks&Recreation Department and the Transit Department.The Town of Chapel Hill is providing funding through The Downtown Art Program which includes matching funds for the OCAC Artist Project Grant.The Town of Chapel Hill's Transit Department will provide an in-kind contribution and donate the use of its city bus for Mobile Mural project.American Image Graphics "source:www.townofchapelhill.org Mary Carter Taub (415)359-3798 mary @marycartertaub.com will fabricate and install the bus wrap. To engage public participation,all people(from viewers to organizational partners)will be encouraged to publicize Mobile Mural on social media platforms such as Twitter, Facebook, Google+,You Tube and Pinterest.The goal is to spread the word and gain enough traction to create a viral art campaign. Increased activity on Twitter and Facebook means increased viewer traffic.As of November 20, 2012 Orange County Artist Commission(@artsorange)has 1,710 followers on Twitter,Town of Chapel Hill (@chapelhillgov)has 2,586 Twitter followers and 3,675 "likes"on Facebook,and Chapel Hill Transit (@chtransit)has 278 followers on Twitter and 334"likes"on Facebook.There is a lot of untapped social energy that can be deployed to reach Orange County residents,visitors and beyond. Narrative: Community Impact As an artist,public art is very appealing to me because it is presented in the public arena, outside of the traditional museum and gallery network,allowing access to a broader audience.Mobile Mural is a temporary public art project whose impact will reach across several community demographics.The Town of Chapel has about 58,00o residents*which represents a wide range of age,gender,socio- economic level, race and ethnicity.Mobile Mural will be a rolling art exhibition for all visitors and residents of downtown Chapel Hill, Carrboro and UNC to view. Mobile Mural will create buzz for the downtown area and increase visibility of Orange County Arts Commission and The Town of Chapel Hill while raising awareness of public artwork embedded in transit. Chapel Hill Transit buses provide more than 7 million rides a year*creating a rich opportunity to reach bus riders,pedestrians, car drivers,vehicle passengers and other passersby. In light of the recent controversy surrounding advertisements on Chapel Hill Transit buses,Mobile Mural will have the distinction of being Chapel Hill's first-ever bus wrap created by an artist.As the first non- commercial wrap, l00%created by an artist,The Town of Chapel Hill is able to test-drive the possibility of an ongoing program of artist-designed bus wraps much like you see in Raleigh's Art on the Move and Asheville's Art on Transit programs. The visual appeal of Mobile Mural will draw attention to the value of art in our community and specifically highlight downtown Chapel Hill.Mobile Mural will help support The Downtown Art Program's emphasis on downtown Chapel Hill as a destination for art and entertainment while also adding value to the Chapel Hill/ Orange County Visitors Bureau's"Edge of the Triangle"campaign. Narrative:Artist Experience Since the early 19gos, I have worked as an installation artist, mostly in New York City until relocating in 2008 to Chapel Hill. I have exhibited nationally in traditional spaces such as the Islip Art Museum and PS 122 Gallery,but mostly I have exhibited in non-traditional spaces such as a moving truck,an elevator,and a storage POD.All of which housed my site-specific art installations. Last year I worked on a project called Wallpaper that is similar in material,process and scale as the Mobile Mural project. Wallpaper was a temporary public artwork in downtown Raleigh,NC on view for 10 months.The public artwork was a brightly colored vinyl wrap that covered several large windows of a vacant commercial space. Like Wallpaper,Mobile Mural will use a heat process to install the weather-resistant and vandal-resistant vinyl directly to the [bus] surface. This year I worked on two very large-scale site-specific projects that are larger in scale and scope than Mobile Mural. Flare(or 8,000 feet of duct tape)is a temporary site-specific installation at the 92nd Street Y in New York,NY.The show was curated by Carrie Springer of The Whitney Museum of American Art in conjunction with Skowhegan School of Painting&Sculpture in Spring 2012.Flare(or 8,000 feet of duct tape)took over the lobby and cafe of the 92 Street Y.It covered nearly 1,000 sq.ft.of the lobby and cafe using 8,000 feet of fluorescent duct tape. Earlier this month I worked as an Artist in Residence at Marbles Kids Museum in Raleigh,NC to create a site-specific work called Connect the Lines. Using 12 miles of neon flagging ribbon and 3 miles of colored tape,it is a massive work that hundreds of people helped install over 10 days. Placing an emphasis on line and pattern,the piece spanned both the first and second floors of the Museum. One of the Chapel Hill Town Council's goals for the next few years is to focus on downtown to create a cultural and economic destination. With that is mind,the Office of Public&Cultural Arts created a Downtown Art Project,whereby artists would be commissioned to create temporary or permanent works of art that would bring attention to downtown. Mary Carter Taub's proposal to create a mobile mural on a Chapel Hill Transit bus was one of four projects selected for implementation. Taub was selected due to her well respected artistic abilities and experience with creating artwork and installations around the nation and region that re-define how people experience her work(exhibiting inside truck bays,in store windows,etc.). Raleigh was the first city in the area to offer the sides of buses as an artist pallet. Their Art-in- Motion Program has been successful,both from a ridership as well as a positive media standpoint. With the advent of using Chapel Hill Transit buses as billboards since 2011,the door was opened for a similar mobile mural program in the Chapel Hill area. Chapel Hill has always been supportive of its mural program with some 20 murals in the downtown area and two more coming soon. This project expands that program in a completely different direction. Taub's proposal represents a real partnership between the artist,the Public Arts Office./Commission and Chapel Hill Transit. Transit is agreeable to using one of its buses free of charge for this project,a 51,500 contribution.Their agreement represents much more,as the transit system is jointly funded by Chapel Hill,Carrboro and UNC. When the selling of ad space began, the three entities made an agreement that only one free wrap per entity would be allowed each year. Chapel Hill,to emphasize its effort to brand the Town as an arts destination,chose the Taub project for its freebie for fiscal 2012-13. The design abstractly replicates the routing system of the transit lines and the bus selected will make frequent passes through the downtown area. In addition,the Office of Public Arts is providing funding for the manufacture of the bus wrap in hopes that the mobile mural program is so noticed,it can be expanded in the future. Unfortunately,due to the higher costs of a single bus wrap(Raleigh does 12 per year and thus receives a discount per bus)and the required insurance,the project,even with the Town's funding and bus donation,requires additional funding support,which is wily Taub is seeking Orange County Arts Commission assistance. With the logos of the supporters of this project emblazoned on the back of the bus,this project will not only give exposure to the Chapel Hill Public Arts Office/Commission,but to the Orange County Arts Commission. Each time the bus passes,people will know the arts are important to Chapel Hill/Orange County residents thanks to the continuing efforts of our area's arts providers as supported by the Orange County Arts Commission. The Town of Chapel Hill is supportive of Taub's Mobile Mural project and feels it is important to the Town like all our building murals,yet this mural travels.
