AGREEMENT
This Amendment entered into this the :6 day ofL,)20Lf-to the Services Agreement
("Agreement"), last being signed on October 23—, 2010, between Orange County, a body politic
and corporate, a political subdivision of the State of North Carolina, (hereinafter referred to as
the "County")and Magellan Behavioral Health,Inc.,a Delaware corporation designated as and
hereinafter referred to as"Magellan."
WITNESSETH:
NOW THEREFORE, for and in consideration for the mutual covenants and agreements made
herein,the parties agree to amend the Agreement as follows:
Paragraph 1. This Agreement shall be renewed for a term of 36 months extending from January
1,2011 through December 31,2013.
Paragraph 2. Addendum B, Fee Schedule and Conditions of Offer shall be deleted in its entirety
and the Addendum C Fee Schedule shall be substituted in its place.
Except for the changes stated herein, the Agreement shall remain in full force and effect to the
extent it is not inconsistent with this Amendment. In the event that there is a conflict between
the Agreement and this Amendment,this Amendment shall control.
IN WITNESS WHEREOF,Orange County and Magellan have signed this Amendment,
effective as of the day first written above.
