WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and proj ects. WHEREAS, the Arts Commission administers the Spring and Fall Arts Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the Spring Arts Grants Program is supported by Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, an agency of the Department of Cultural Resources and the National Endowment for the Arts. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Spring Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient's obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds are provided under this Agreement for the project ("Project") described in the Grant Recipient's Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed one thousand five hundred dollars ($1,500) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. These funds must be matched at least dollar-for-dollar with cash from the Grant Recipient's funds not derived from either Orange County appropriations or the North Carolina Arts Council. 3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4. Responsibilities of the Grant Recipient I Revised May 2012 ct implementation shall take place between July 19 A. Itation. The Prole p implemented in the manner June 30, 2013. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient's request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission's decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein,the modifications shall be deemed approved. C. Nan—assi . The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose of implementing the Project and Project related expenses. F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on or before Friday, July 5, 2013 . The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $1,500 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission using the Arts Commission logo and if State funds are received to the North Carolina Grassroots Program in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. When no printed information is used, verbal credit shall be given. In addition, all print and promotional material must include the following credit line(check all that apply): 2 Revised May 2012 i. County Funds Only. "This program is supported by the Orange County Arts Commission. " ii. x North Carolina Arts Council Funding. "This program is supported by the Orange County Arts Commission with funds from the Grassroots Program of the North Carolina Arts Council, a state agency. " B. The Grant Recipient must enter all events, exhibits and performances open to the public and related to this grant award on the ExploreChapelHillARTS.com website and display ExploreChapeffliIURTS.com publicity materials (postcards, brochures, etc.) prominently and consistently at their venue or performance space. In addition, the Grant Recipient must add a link to the ExploreChapelHillARTS.com (ExploreChapelHillARTS.com logo preferred) to their main webpage. The Grant Recipient shall contact the Orange County Arts Commission for replacement ExploreChapelHillARTS.com publicity materials. 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9. Termination A. In the event of any of the circumstances set forth below(hereinafter referred to as "default"), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 3 Revised May 2012 (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County's or the Arts Commission's remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of North Carolina and the Orange County. Background FRANK,Arts Advocates and Franklin Street Arts Collective are a single entity.The full legal name is"Arts Advocates AKA Franklin Street Arts Collective DBA FRANK gallery". Arts Advocates(originally Arts Center Advocates)was established in 2005 by Mary Harley Kruter and Sandra.Israelson as a 501(c)(3)non-profit. The Franklin Street Arts Collective formed in 2009. Because the mission of F.S A.C.closely matched the mission of A.A.,FSAC merged with AA establishing the co-op gallery that ultimately was named FRANK. The registered agent,principal office and by-laws of Arts Advocates were all changed and new Board established. FRANK opened for business on April 9,2010. Dwight Bassett(Economic Development Director for the Town of Chapel Hill),Jim Norton (director of the Chapel Nil Downtown Partnership)along with Michael Brader- Araje (property owner),Martha Shannon(Orange County Arts Commission)and Laurie Paolicelli (Executive Director of the Chapel Hill/Orange County Visitors Bureau)met with artists proposing a co-op style,artist-run gallery in the current central location on Franklin Street in the heart of Chapel Nil. The main vision for the gallery was to bring a revitalizing presence to the downtown,recognizing the value of arts businesses to the economic health of any location. FSAC ultimately received a low interest loan(the first of its kind)of$40,000 from the Town of Chapel Hill designed to encourage art businesses to locate in the downtown area. A leadership committee of about a dozen artists began discussions about the gallery and eventually,out of that group,a steering committee of seven artists was formed to establish the gallery. Working with advisors,the steering committee(the gallery's first working Board)put together operational and procedural structures,arranged for the selection of Member and Consignment artists,designed a business plan,raised capital and hired staff(Gallery Director). With the Membership in place,the gallery space was designed and outfitted, stocked and supplied and opened it's doors to the first customers in a little under a year from the initial meeting with interested parties.FRANK has continued to evolve and thrive. 1 5. Arts Program Application Narrative Organizational Profile- Mission and History FRANK gallery is a 501(c)(3) non-profit organization operated by the volunteer effort of the Member Artists of the Franklin Street Arts Collective,its staff, and the support of community leaders and art lovers. The mission of the Franklin Street Arts Collective is to support the arts community of Chapel Hill and the region, strengthen community appreciation of the arts through educational outreach, and promote the Town of Chapel Hill and North Carolina as a major Arts Destination. Our programs and services The FRANK Gallery Our Franklin Street gallery showcases the finest artists in the region with painting,fiber arts, photography,jewelry, sculpture,and woodcrafts. Many of our artists are nationally recognized and contribute a rich diversity of artistic vision and skills through our organization. Themed Exhibitions designed by the members(6 per year)focus attention to specific ideas and techniques and reach out to regional and major national guests artists. Featured Artist Spotlight Exhibitions showcase the work of member artists once every 2 years. Community Exhibitions showcase work from Orange County artists. Programs, Outreach,and Education,the Non-Profit Arm of FRANK In keeping with our educational mission to extend appreciation of the arts through the non-profit arm of our gallery, FRANK offers workshops, salons,and innovative and inclusive community outreach activities for sharing of ideas and inspiration through forming partnerships between a diverse population of artists and our community. Artist Salons Thursday evening Artist Salons bring together our artists,our community resources, and the public to provide opportunities for educational enrichment with a diversity of presenters and participants. Our own member artists and consigners share their work and methods. Guest artists read original poetry, perform readings of plays,entertain and experiment with new music,and foster community and dialogue.These salon nights have been well received with 20-60 participants per salon approximating 50 each year. Communing Wall Our Community Wall showcases a diversity of artists and community non-profit health and educational oriented programs. FRANK?s Community Wall has exhibited seniors from the Chapel Hill Senior Center;children from McDougle Middle School and the Kidzu museum;and the Stories Through Murals Project,Dominican painters using art to build bridges between nations. Special Events and Workshops With membership and grant support, FRANK offers art critique,workshops, and guest presentations on topics ranging from health and wellness to special learning styles and new technological developments in communication and science. For young children: Member artists have worked with Kidzu,a Chapel Hill interactive children's museum,to bring programs to youngsters up to age 8 at both Kidzu and FRANK locations. For teens: The Sacrificial Poets,an outstanding local youth group created a physical representation of their poetic works on our Community Wall in collaboration with FRANK fiber artist,Peg Gignoux. They have returned twice to perform their poetry. In collaboration with FRANK photographer artist,Barbara Tyroler,at-risk high achieving teens from a pre-college community programs, the Elon Academy, took a field trip to meet the gallery director and artists and to have their photography critiqued by FRANK members. For health care patients: The Community Art Wall at FRANK has hosted work from patients at the psychiatric,oncology and hematology units of UNC Health Care System as well as those in the pediatric ward at the Lineberger Comprehensive Cancer Center. Our projects for next year include Wrap Your Head Around It co-ordinated by fiber artist,Peg Gignoux in partnership with the Cornucopia Cancer Support Center to create hand-dyed scarves that feature original poetry exploring the Heroic Journey of cancer patients, survivors and their caregivers. During the past year we have presented Brushes with Life,a community health organizations to show works created by artists with mental illness. For the community: Adults also benefit from FRANK's educational programs. Every Thursday evening FRANK hosts local artists who present their work to the community. The programs have included: Deep Dish Theater,Mallarme Chamber Players and KidZNotes. In addition,artists have demonstrated traditional pottery techniques, black- and-white and infrared photography,encaustic painting,eco farming,dance,bookmaking as art, wallpaper and tile design and drawing. With grant support from OCAC,FRANK offered its first series of educational workshops this year including drawing,photography,and singing. We plan to expand these offerings,partnering with community organizations. We will introduce"coffee and critique" portfolio reviews in the spring of 2013. See Supplementary materials of ongoing projects from 2010-Current 3 Proposed Uses of Grant Funds In conjunction with our Community Outreach mission,we are requesting funding from the Arts Commission to support our Educational Outreach program,FRANK:: IN FOCUS,our fall 2012 featured exhibition on photography with a complementing series of workshops,art salons, seminars, and discussion forums. Through this project, we aim to set a standard and meet our goals for our non- profit arm whose mission is to be a catalyst for sharing of ideas and inspiration through forming partnerships between a diverse population of artists and our community. Panels and Events: Accompanying the exhibition of FRANK photographers featured exhibition, we are partnering with satellite galleries and art organizations,museums,and schools in Orange County and selected venues in the Triangle to offer a series of workshops at FRANK. See supplementary list for participants and schedule. Goals *Bring diverse members of our community to the gallery to experience the photography and meet FRANK artists *Educate the community about photography in the broadest sense(not just machinery) *Provide stimulating discussion and exploration *Generate excitement for the photographic arts in Chapel Hill, Orange County,and the Triangle. Funding Sources FRANK Gallery For each exhibition,FRANK routinely funds and produces a Show Card listing participating artists and Salon events and hosts an Opening Reception and S Thursday evening Artist Salons. Our salaried gallery director produces an electronic eblast Show Card and newsletter and creates marketing materials to area media. FRANK Artists and Guests The artists at FRANK are designing and funding an exhibition catalog and banner Additional Local Sponsorships We are requesting private sponsorships from our participating partners. FRANK:: IN FOCUS We are seeking support for expenses specifically related to marketing and promotion and an honorarium for a nationally recognized speaker. FRANK:IN FOCUS is producing an additional brochure with map of our satellite venues. We are placing print ads in local art and photography publications to capture our targeted audience. We are inviting 2 internationally known speakers for our Art Salon Speaker Forums and would like to provide them a small honorarium.
