,Ze/0?` /3 f SZJ [Departmental Use Only] TITLE HHW collection FY 2012 NORTH CAROLINA SERVICES AGREEMENT OVER $90,000.00 RFP — NO REIMBURSABLE EXPENSES ORANGE COUNTY This Services Agreement (hereinafter "Agreement "), made and entered into this 15th day of May, 2012, ( "Effective Date ") by and between Orange County, North Carolina a body politic and corporate of the State of North Carolina (hereinafter, the "County ") and Clean Harbors Environmental Services, Inc., a Massachusetts Corporation(hereinafter, the "Provider "). WITNESSETH: That the County and Provider, for the consideration herein named, do hereby agree as follows: 1. Definitions. Terms used in this Agreement are defined as follows: a. Resource Conservation and Recovery Act (RCRA): An amendment to the federal Solid Waste Disposal Action of 1965, RCRA was enacted in 1976. Within this Agreement the acronym RCRA does not only refer to the statute itself, but also to corresponding regulations codified in the Code of Federal Regulations (CFR), guidance and policy. The definitions that follow are based on those established by RCRA, and are intended to reflect the meaning created by RCRA. b. Hazardous Waste: A waste with properties that make it dangerous, or capable of having a harmful effect on human health and environment, as determined by RCRA. c. Acutely Hazardous Waste: As defined by RCRA, Acutely Hazardous Waste are Listed Wastes that are accompanied by the hazard code (H) and are subject to stricter management standards than most other wastes. d. Listed Wastes: Wastes that are considered hazardous under RCRA because they meet specific listing descriptions. The Environmental Protection Agency (EPA) has applied the listing criteria to hundreds of specific industrial wastestreams. These wastestreams are grouped into four lists located at 40 CFR Part 261, Subpart D. Each listed waste is assigned a hazard code by the EPA to indicate its reason for listing a waste. e. Household Hazardous Waste (HHW): Waste generated by a household that could technically be Hazardous Waste (as defined above) but that is exempt by RCRA from the definition of hazardous waste. f. Conditionally Exempt Small Quantity Generator (CESQG): A commercial business, facility or other non - household entity that produces less than 100 kgs of hazardous waste, or less than 1 kg of acutely hazardous waste, per calendar month. Revised July 2010 g. Universal Waste: As codified by 40 CFR Pat 273, Universal Wastes are certain widely generated hazardous wastes with special management provisions intended to ease the 2. Services a. Scope of Work. i) This Services Agreement ( "Agreement ") is for professional services to be rendered by Provider to County with respect to (insert type ofproject): 1. The responsible collection, processing, and disposal of Household Hazardous Waste ( "HHW ") from the Eubanks Road HHW facility and the Walnut Grove Convenience Center; 2. Provide Orange County residents daily access to a drop -off facility to properly dispose of hazardous wastes; 3. Extend services to small businesses, non - profits, and other public agencies within Orange County generating less than 100 Kg of Hazardous Waste per month (Conditionally Exempt Small Quantity Generators, "CESQGs ") for disposal of commercial hazardous waste only at the Eubanks Road HHW facility; 4. Provide residents of Chatam, Durham, and Wake Counties to the Eubanks Road HHW facility to properly dispose of household hazardous waste; 5. Keep accurate and thorough records of the cradle to grave manifests and disposal records, the weight of materials collected daily, the number of participants, the County in which they reside and the number of CESQG participants. b. Commercial Waste and Conditionally Exempt Small Quantity Generator Program i) County and Provider shall jointly establish and operate a program to accept and manage Hazardous Waste produced by Conditionally Exempt Small Quantity Generators (CESQG) located within Orange County. By operating this program jointly with Provider, County does not take possession of or become the legal generator of any commercially generated hazardous waste accepted by the CESQG Waste Program. ii) The County, Site Attendant, and Provider will work to prevent commercially generated hazardous waste from being falsely presented as household hazardous waste to the Household Hazardous Waste Program, and will also work to prevent commercially generated waste that originates from outside of Orange County to be delivered to the program. iii) The CESQG Program will operate during the same hours as the HHW collection, though the County will actively seek to schedule large loads of CESQG Waste to be delivered during those times and days when the HHW program experiences less participation, with the objective of both minimizing the need for households participants to wait while CESQG waste is being unloaded, and also to allow Provider enough notice to provide extra staff if necessary to receive and manage large loads of CESQG waste. Revised July 2010 2 iv) When receiving CESQG Wastes, Provider shall require the participant (generator) to complete and sign a Conditionally Exempt Small Quantity Generator Certification indicating that they meet the criteria of a conditionally exempt small quantity generator as defined under 40 CFR 261.5, and also certifying that the business /entity is physically located in Orange County. v) When billing County for the charges associated with managing HHW and CESQG Waste, Provider will account for any and all accepted CESQG wastes and shall provide County with a copy of the Conditionally Exempt Small Quantity Generator Certifications, an accurate count of the number of CESQG Participants each month, and as accurate estimate of the amount (in pounds) of CESQG Wastes managed each month. vi) CESQG will not be accepted at the Walnut Grove Convenience Center. By executing this Agreement, the Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner. d. Time is of the essence with respect to this Agreement. e. The services to be performed under this Agreement consist of Basic Services, as described and designated in Section 3 hereof. Compensation to the Provider for Basic Services under this Agreement shall be as set forth herein. 3. Responsibilities of the Provider a. Services to be provided. The Provider shall provide the County with all services required in Section 3 to satisfactorily complete the Project within the time limitations set forth herein and in accordance with the highest professional standards. b. Standard of Care. i) The Provider shall exercise reasonable care and diligence in performing services under this Agreement in accordance with the highest generally accepted standards of this type of Provider practice throughout the United States and in accordance with applicable federal, state and local laws and regulations applicable to the performance of these services. Provider is solely responsible for the professional quality, accuracy and timely completion and/or submission of all work related to the Basic Services. ii) Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts at no additional cost to the County. iii) The Provider shall not, except as otherwise provided for in this Agreement, subcontract the performance of any work under this Agreement without prior Revised July 2010 written permission of the County. No permission for subcontracting shall create, between the County and the subProvider, any contract or any other relationship. iv) Provider is an independent Provider of County. Any and all employees of the Provider engaged by the Provider in the performance of any work or services required of the Provider under this Agreement, shall be considered employees or agents of the Provider only and not of the County, and any and all claims that may or might arise under any workers compensation or other law or contract on behalf of said employees while so engaged shall be the sole obligation and responsibility of the Provider. v) Provider agrees that Provider, its employees, agents and its subProviders, if any, shall be required to comply with all federal, state and local antidiscrimination laws, regulations and policies that relate to the performance of Provider's services under this Agreement. vi) If activities related to the performance of this Agreement require specific licenses, certifications, or related credentials Provider represents that it and /or its employees, agents and subProviders engaged in such activities possess such licenses, certifications, or credentials and that such licenses certifications, or credentials are current, active, and not in a state of suspension or revocation. vii) Additionally, the Provider warrants that it understand the currently known hazard and suspected hazards that are presented to persons, property and the environment by the transportation, treatment and disposal of hazardous wastes. c. Generator of and Title to Waste. i) The Provider shall be deemed to be the "Generator" for record keeping and paperwork purposes, of all household hazardous wastes accepted by the Provider during performance of this Agreement from residents of the County's service areas. The "Generator" of the waste pursuant to applicable law shall be determined in accordance with applicable law. ii) The Provider shall also be designated as the Generator of all HHW accepted by the Provider's employees or the County and temporarily stored on Orange County property while awaiting transport, recycling and disposal by the Provider. Provider shall have the opportunity to inspect and either accept or reject non- conforming waste before Provider is designated as the Generator of such waste. iii) Title to all identified household hazardous wastes accepted by the Provider while performing the Agreement for transport, recycling and disposal by the Provider shall pass directly from program participants to the Provider at the time of Provider's acceptance of said waste, as explicitly stated herein. Title to all nonconforming waste not accepted at the site but subsequently accepted by the Provider for transport, recycling and disposal by the Provider shall be deemed to pass directly from such residents to the Provider retroactive to the date received by the Provider. Revised July 2010 4 4. Basic Services a. Description. The Provider shall perform as Basic Services the work and services described herein and as specified in the County's Request for Proposals (the "REP ") "RFP Number 5183 for "Household Hazardous Waste Collection and Disposal Services" issued March 16, 2012, and the Provider's proposal, which are fully incorporated and integrated herein by reference together with Attachments A and B (designate all attachments). In the event a term or condition in any document or attachment conflicts with a term or condition of this Agreement the term or condition in this Agreement shall control. Should such conflict arise the priority of documents shall be as follows: This Agreement, the County's RFP together with attachments, Provider's Proposal together with attachments. 5. Duration of Services a. Term. The term of this Agreement shall be from July 1, 2012 to June 30, 2017 with the option of two (2) two (2) year renewal periods. County shall provide written notice of extension of the contract thirty (30) days prior to the expiration of the term. b. Scheduling of Services i) The Provider shall schedule and perform his activities in a timely manner so as to meet the Milestone Dates listed in Section 3. ii) Should the County determine that the Provider is behind schedule, it may require the Provider to expedite and accelerate his efforts, including providing additional resources and working overtime, as necessary, to perform his services in accordance with the approved project schedule at no additional cost to the County. iii) The Commencement Date for the Provider's Basic Services shall be July 1, 2012. 6. Compensation a. Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for all services under this Agreement. The maximum amount payable for Basic Services is as provided in Attachment C Dollars ($as provided in Attachment C). In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of all or a portion of the amount stated on an invoice until the parties resolve the dispute. Payment for Basic Services shall become due and payable in direct proportion to satisfactory services performed and work accomplished. b. Additional Services. County shall not be responsible for costs related to any services in addition to the Basic Services performed by Provider unless County requests such additional services in writing and such additional services are evidenced by a written amendment to this Agreement. 7. Responsibilities of the County Revised July 2010 5 a. Cooperation and Coordination. The County has designated the (Recycling Programs Manager) to act as the County's representative with respect to the Project and shall have the authority to render decisions within guidelines established by the County Manager and /or the County Board of Commissioners and shall be available during working hours as often as may be reasonably required to render decisions and to furnish information. 8. Insurance a. General Requirements. The Provider shall purchase and maintain and shall cause each of his subProviders to purchase and maintain, during the period of performance of this Agreement at least the following insurance coverage: INSURANCE DESCRIPTION MINIMUM REQUIRED COVERAGE • Worker's Compensation Limits for Coverage A - Statutory State of N.C. Excess Liability Insurance Liability, General Liability Liability. $5,000,000 $2,000,000 annual $8,000,000 annual covers Employer's and Automobile b. Insurance Rating. The minimum insurance rating for any company insuring the Provider shall be Best's A. C. Additional Insured. All insurance policies (with the exception of Worker's Compensation and Professional Liability) required under this Agreement shall name the County as an additional insured party. Evidence of such insurance shall be furnished to the County, together with evidence that each policy provides the County with not less than thirty (30) days prior written notice of any cancellation, modification, non renewal or reduction of coverage. 9. Indemnity Revised July 2010 6 a. Indemnity. The Provider agrees to defend, indemnify and hold harmless the County from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project and arising from bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of the Provider except to the extent same are caused by the negligence or willful misconduct of the County. It is the intent of this provision to require the Provider to indemnify the County to the fullest extent permitted under North Carolina law. 10. Amendments to the Agreement a. Changes in Basic Services. Changes in the Basic Services and entitlement to additional compensation or a change in duration of this Agreement shall be made by a written Amendment to this Agreement executed by the County and the Provider. The Provider shall proceed to perform the Services required by the Amendment only after receiving a fully executed Amendment from the County. 11. Termination a. Termination for Convenience of the County. This Agreement may be terminated without cause by either party for its convenience upon thirty (30) days prior written notice to the other party. In the event of termination pursuant to this section, Provider shall ensure that all HHW accepted for transportation, disposal and /or recycling, or HHW located on Orange County properties and designated for transportation by Provider in accordance with Section 3(c) shall be disposed off in accordance with the terms of this Agreement. b. Compensation After Termination. i) In the event of termination, the Provider shall be paid that portion of the fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the County due to errors or omissions of the Provider. ii) Should this Agreement be terminated, the Provider shall deliver to the County within seven (7) days, at no additional cost, all deliverables including any electronic data or files relating to the Project. C. Waiver. The payment of any sums by the County under this Agreement or the failure of the County to require compliance by the Provider with any provisions of this Agreement or the waiver by the County of any breach of this Agreement shall not constitute a waiver of any claim for damages by the County for any breach of this Agreement or a waiver of any other required compliance with this Agreement. 12. Additional Provisions a. Limitation and Assignment. The County and the Provider each bind themselves, their successors, assigns and legal representatives to the terms of this Agreement. Neither the County nor the Provider shall assign or transfer its interest in this Agreement without the written consent of the other. Revised July 2010 7 b. Governing Law. This Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. c. Dispute Resolution. Any and all suits or actions to enforce, interpret or seek damages with respect to any provision of, or the performance or non - performance of, this Agreement shall be brought in the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the parties that no other court shall have jurisdiction or venue with respect to such suits or actions. The Parties may agree to nonbinding mediation of any dispute prior to the bringing of such suit or action. d. Entire Agreement. This Agreement, together with the RFP and its attachments and the Proposal and its attachments, represents the entire and integrated agreement between the County and the Provider and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. Modifications may be evidenced by facsimile signatures. e. Severability. If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. f. Ownership of Work Product. Should Provider's performance of this Agreement generate documents, items or things that are specific to this Project such documents, items or things shall become the property of the County and may be used on any other project without additional compensation to the Provider. The use of the documents, items or things by the County or by any person or entity for any purpose other than the Project as set forth in this Agreement shall be at the full risk of the County. g. Non-Appropriation. Provider acknowledges that County is a governmental entity, and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement, then this Agreement shall automatically expire without penalty to County immediately upon written notice to Provider of the unavailability and non - appropriation of public funds. It is expressly agreed that County shall not activate this non - appropriation provision for its convenience or to circumvent the requirements of this Agreement, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the County's statutory authority, mandate and/or mandated functions, by state and /or federal legislative or regulatory action, which adversely affects County's authority to continue its obligations under this Agreement, then this Agreement shall automatically terminate without penalty to County upon written notice to Provider of such limitation or change in County's legal authority. h. Notices. All proposals shall be for furnishing apparatus, supplies, materials, equipment and /or work and services in accordance with the applicable plans and specifications prescribed by Orange County. Insurance shall be maintained in full force and effect until the Contract has been fully and completely performed, as evidenced by final acceptance payment. Page 3 HHW RFP # 5183 ORANGE COUNTY REQUEST FOR PROPOSAL FOR PERMANENT HOUSEHOLD HAZARDOUS WASTE AND CONDITIONALLY EXEMPT SMALL QUANTITY GENERATOR PROGRAM AND SERVICES Orange County, N.C. on behalf of its Department of Solid Waste Management (hereinafter "County ") is seeking proposals for a private contractor (hereinafter "provider") to operate and staff two collection sites for the County's permanent Household Hazardous Waste (hereinafter "HHW ") collection centers located at 1514 Eubanks Road in Chapel Hill, NC and a collection and disposal service at the County's Solid Waste Convenience Center (SWCC) located at 3700 Walnut Grove Church Road, Hurdle Mills, North Carolina (about 14 miles North of the existing site in Chapel Hill, which is about five miles North of Hillsborough, NC). The collection center located at Eubanks Road in Chapel Hill will accept residential HHW as well as hazardous waste from Conditionally Exempt Small Quantity Generators (CESQG) including participating local governments and public school systems. The collection center at Walnut Grove will only accept residential HHW because businesses are not permitted to use the Solid Waste Convenience Centers where the collection will be located. The County seeks proposals from private industry household hazardous waste collection experts to provide prompt service through efficient collection while not sacrificing service standards. Orange County seeks to increase cost effectiveness, and maintain a high level of service to participants, yet remain safe and compliant with all Federal, State and local household hazardous waste regulations. Orange County has been a proactive partner with its Provider in the operation of the Orange County HHW program and will expect to work closely with the Provider's staff. Page 4 HHW RFP # 6183 I. INTRODUCTION A. BACKGROUND The HHW collection program was established in 1994 as a cooperative program between local governments to collect hazardous waste from residents of Chatham, Durham, Orange, and Wake counties. The program began as a once per month collection event with a private vendor. This regional approach facilitates the removal of hazardous waste from the environment at large, and local landfills and waterways in particular. In June of 2002, the County contracted with a private vendor and began operating the HHW Program based at the permitted facility at the Orange County Landfill. In the spring of 2003, the HHW program transitioned from holding collection events on the first Saturday of the month to operating a full -time year round collection program accepting household hazardous waste four days per week. This agreement also allowed for small businesses, non - profits, and other public agencies within Orange County (CESQGs) to have access to Orange County's Program for fee - based disposal of commercial hazardous waste. In August of 2005 the County expanded program hours from four days per week to six days per week and continues the same hours currently. In 2007 the County opened the hazardous waste program to CESQGs located in Orange County for management and disposal of hazardous waste with services paid for by the County. Orange County has been managing dry-cell batteries, lead -acid batteries, used motor oil, oil filters, antifreeze and some compressed gas cylinders itself. County expects its HHW Provider to continue to help County's HHW program find ways to decrease per participant costs through creative handling of waste and through continued emphasis on reuse. While the County presently manages waste motor oil, and batteries itself, in the future the County may either choose to handle more individual HHW materials itself (for example PCB Ballasts), or County may ask its HHW provider to provide assistance with the materials it had been previously handling. Finally, in the hierarchy 'of waste processing methods, Orange County is interested (when possible and economically feasible) in pursuing recyclin- as a predominant handling method for wastes collected by our HHW Program. B. CURRENT FACILITY The Orange County permanent HHW collection center is located at 1514 Eubanks Road in the Township of Chapel Hill, on the property of the Orange County Landfill. The HHW program in Orange County is managed and administered by the Orange County Department of Solid Waste Management. Orange County's HHW collection center is open six days per week (Monday through Friday 10 am to 6:00 pm, and Saturday 7:30 am to 12:00 noon). C. PLANNED PROGRAM EXPANSION Orange County is currently in the process of improving its Solid Waste Convenience Centers (SWCCs). The SWCCs provide residents with disposal opportunities for a variety of materials including; garbage, traditional recycling, oil, oil filters, electronics, etc. One SWCC in the northern part of the County will become a, "District Site ". This facility does not currently collect HHW but when the new facility opens in the fall of 2012 (October or November depending on the construction schedule) the County will provide HHW collection and disposal services at this site. Page 6 HHW RFP # 6183 This SWCC is located at 3700 Walnut Grove Church Road, Hurdle Mills, North Carolina is currently undergoing the process of expansion and modernization. The current operating hours for the Walnut Grove (SWCC) are listed below and are the proposed hours for HHW operations Site, thus needing the selected vendor to provide staff for all hours of operation. Mondays and Tuesdays from 7:00 am to 6:00 pm Wednesdays and Thursdays CLOSED Fridays from 7:00 am to 6:00 pm Saturdays from 7:OOam to 5:OOpm Sundays from 1:OOpm to 6:00 pm Hours of operation may change during duration of contract. The County is interested in the Provider to be responsible for the labor, processing, and collection of HHW at the Walnut Grove SWCC. The implementation of HHW collection at this site is scheduled for Fall 2012 and the collection and processing at this location should be included in this RFP. The purpose of this additional location is to provide a more convenient location for citizens in the northern portion of the County to dispose of their HHW. While some tonnage may transfer from the existing site to the Walnut Grove site as well as potentially increasing tonnages received for the entire program. Considerations for the Future: The decision to make any of the proposed changes to County's Household Hazardous Waste program is per the County's discretion, and is dependent upon approval of budgetary increases. Screening and Collection of Waste Residential hazardous waste from Orange, Chatham, Durham and Wake County residents is to be accepted at the Eubanks Road facility. CESQG waste from Orange County will also be accepted at the Eubanks Road facility. Only residential hazardous waste is to be accepted at the County's northern district site, the Walnut Grove Solid Waste Convenience Center. The County will provide promotional literature that will illustrate the materials accepted at each of the sites. This information will indicate that explosives, radioactive materials, biologically active or infectious waste, and asbestos are not acceptable. Should the County elect to accept excluded waste, the County shall be responsible for the proper disposal of this waste. However, if or when such material is delivered, effort must be made by the Provider to assist the County in the proper disposal of such materials. Provider must attempt to identify received unknowns, and analyze unknown material on site where necessary to allow for its disposal. In general, it is the County's desire to not simply "turn away" a participant and risk improper disposal of wastes. Parties that must be refused will be offered assistance in seeking proper disposal options. B. Waste Identification /Packaging Provider personnel will perform waste identification of material for documentation and segregation according to Hazard Class and must bulk or package in containers approved by State and Federal regulations. Each container must be manifested, labeled and coded in accordance with all pertinent State and Federal regulations. C. Labor Provide comprehensive staff trained in HHW collection, segregation, bulking, securing for transport, emergency procedures, etc, as required to comply with contract requirements. D. Temporary Storage Storage time and restrictions will be determined by Federal, State, and local regulations, safety considerations, space demands, and expense to the County for frequent pick -up and disposal by the Provider. County's facility is currently permitted by the State to allow for 90 -day storage of hazardous materials, and Provider may leave partially filled containers in County's facility between collections in order to maximize program efficiency. Provider will be responsible for all waste stored in County's facility. County certifies that County's facility is secure and equipped with adequate fire suppression system and alarm. Temporary storage at the Walnut Grove SWCC must also follow all conditions as listed above. County will provide a Chemical Storage unit with proper fire suppression and safety features at the new Walnut Grove SWCC. E. Transportation and Disposal As needed, hazardous wastes are to be transported off -site in vehicles permitted for such transportation, according to State and Federal regulations by drivers properly trained and licensed to transport hazardous wastes. Unless otherwise directed by County, waste must be disposed through treatment, recycling, and / or through incineration, with landfilling as a last resort. Materials sent for secure landfilling must be managed at a Federally permitted hazardous waste disposal site. F. Reporting /Documentation The Provider shall turn over to the County a copy of a Manifest listing of all wastes packed for disposal prior to leaving the collection site. The Provider shall finalize and / or complete all Manifest and shipping papers upon receipt of waste at Provider's TSDF facility, and shall provide a completed copy of Manifest to County for County records within fifteen (15) working days of collection. The Provider shall provide a Certificate of Disposal document attesting that all waste received from County's program has been properly disposed of. This Certificate of Disposal must list any applicable waste identification numbers Page 8 HHW RFP # 5183 (corresponding with information listed on above mentioned waste Manifest), the date of disposal, the location of ultimate disposal, and the disposal method. Certificate of Disposal must be received by County at least every six (6) months. IV. GENERAL REQUIREMENTS FOR SELECTED PROVIDER A. Details of Services 1. Provide collection service six (6) days per week at the Orange County Landfill location, 1514 Eubanks Road, Chapel Hill, NC 27516 2. Provide collection up to six (6) days per week at the Walnut Grove SWCC, 3700 Walnut Grove Church Road, Hurdle Mills, NC 27278. 3. Adjust the level of service as needed to meet budgetary constraints, address management requests, etc. 4. Reporting Beyond those requirements listed in Section III, Subsection F, Provider shall submit monthly and annual reports to the County. The required monthly reports shall be submitted with invoice for services, and shall include • A breakdown of material accepted by weight by Department of Transportation (DOT) Hazard Class, including the disposal method used to manage this material. This last monthly report must be useful in order to allow County to complete the required State of North Carolina Hazardous Waste Facility Annual Report. • The following operational records required by state of North Carolina shall be supplied by the Provider in a format as requested or required by state (i.e. total pounds collected by type, and the treatment used for each type): • Compressed gases • Flammable solids • Oxidizing material • Poisonous material Radioactive material • Corrosive material • Freon Cylinders • Hg and Hg Debris • PCB Ballasts • Latex Paint • Regulated material • Non - Regulated material • Other 5. The following operating records (data) are required by Orange County and shall be provided by the Provider. Invoices shall also be submitted in an electronic format. Provide ability to remove HHW material from customer containers by pumping when necessary. Divert selected materials for alternative disposal to include, but not limited to: • Propane Tanks • Lead Acid Batteries • Food Waste Oil • Oil • Oil filters • Antifreeze • Lights Containing Mercury 7. Prepare and submit to Orange County staff written documentation of any incident or accident report as necessary and /or required. Prepare and submit written reports of operating or other problems to Orange County Staff. 8. Secure Eubanks Road buildings and gates at the end of each day and secure the chemical storage building at the Walnut Grove SWCC location at the end of each day. 9. Complete appropriate paperwork and waivers as CESQG drop off material at the Eubanks Road location. 10. Cleanliness standards: Provider shall provide or arrange for building and /or site cleaning to ensure neat material storage and cleanliness of building and grounds. Grounds and building should be inspected before and after events to ensure cleanliness. The Provider shall make the necessary corrections to ensure cleanliness. Determination of whether cleanliness standards have been met by the Provider will be at the discretion of the Orange County Solid Waste Director or his representative and will be determined solely by an Orange County representative. 11. Time performance standard: Provider shall provide appropriate management, staff, containers, and equipment to ensure a customer wait time of no longer than 15 minutes. The time period will start with the arrival of a customer vehicle at the entrance of the facility and conclude with the removal of HHW material from the customer's vehicle. The time standard will be per customer vehicle and may be timed at any time during operating hours. Average times will not be used. Customers who leave and return or who otherwise corrupt normal line organization will not be timed. Determination of whether the time standard has been met by the Provider will be at the discretion of the Orange County Solid Waste Director or his representative and will be determined solely by an Orange County representative. Page 10 HHW RFP # 5183 12. Prevent, contain and clean any spills occurring in the process of regular site operations or emergencies. 13. Provide all necessary collection, bulking, processing, combining, and transportation equipment and supplies as needed to meet contract requirements except those provided at the two facilities. 14. Document and update staff qualifications and training. 15. Comply with all North Carolina HHW permit requirements. 16. Comply with all local, state and federal laws regarding HHW collection, processing, transportation and disposal. 17. Comply with all Orange County building fire codes. 18. Comply with all Federal OSHA regulations and requirements. 19. Provide labeling on all hazardous waste collected and /or stored. 20. Evacuate permanent facility sumps as needed to maintain permit compliance and /or as necessary to enable service. 21. The Provider shall always provide exemplary customer service. 22. The Provider shall keep current waste manifests of all HHW to be stored at the permanent facilities on Eubanks Road and Walnut Grove SWCC. V. TERM Services provided by Provider shall be managed by an HHW Program Agreement. The term of the Agreement between County and Provider will be for five (5) years, proposed to be from July 1, 2012 through June 30, 2017. At the close of the initial five (5) year term the contract may be extended at the option of the County and with the agreement of Provider to include up to two (2) additional two (2) year renewal periods provided that. • funds are authorized annually by the Board of Orange County Commissioners, and • the Contract is not otherwise terminated through provisions of another clause of the Contract. PROPOSAL EVALUATIONS AND SELECTION Proposals will be evaluated and selected according to the Selection Process (see Section VI, Subsection 1). The selected firm and the County will negotiate a contract. It is intended that the function of the contract negotiations is to reach agreement on a contract based on the scope of services contained in this RFP and on the information contained in the proposal submitted by selected Proposer. It is anticipated that agreement on Contract terms will be reached by Monday; April 30; 2092, in order to for said contract to be properly executed so that services may be provided in early July, 2012. Selection committee will submit recommendations to the Board of Orange County Commissioners on the selected Provider and Contract. Provider must sign the contract agreement within twenty (20) days after notification of the Board of Orange County Commissioners approval of said recommendations. Introduction — This section must include a brief statement of Proposer's Company Background, Contact Information, and must include the signature of an individual who is authorized to bind the Proposer contractually (see section IV, subsection C). 2. Statement of Understanding of Services Sought by County - This section must include a statement of Proposer's understanding of the services being sought by the County, and include a description of Scope of Work for Household Hazardous Waste and CESQG Services. 3. Project Personnel — This section must include name and title of the responsible Project Manager in charge of providing services as described in section 2 of proposal. Due to the scope and complexity of the project, County expects that the Project Manager will be a principal experienced in HHW collection. This section must also include a list of any other specific contracts or projects on which the Project Manager is working, and include assurances that she /he will be able to provide the necessary oversight and attention to this project. Finally, this section must include a resume for all key people working on this project. Resumes must describe individuals' experience and probable responsibility on this project. 4. Subconsultants and Subcontractors — This section must include a description of proposed involvement of subconsultants and subcontractors, including potential uses and responsibilities. 5. Current and Past Experience — This section must include a description of Proposer's current and past experience providing services similar to those County seeks. This section must include a list of clients to whom similar services have been provided within the past three (3) years. The list of clients must include accurate name, phone number, and email address (when possible) of contact person. Current and / or past clients may be asked by County to provide reference for Proposer. 6. Technical Expertise — This section must include a description of Proposer's technical expertise in the operation of HHW facilities, the provision of HHW and CESQG services, and the collection and disposal of hazardous waste. Include in this section an explanation of Proposer's knowledge and understanding of applicable laws, rules and regulations and experience working with relevant regulatory agencies. 7. Project Approach — This section must include a complete description of Project Approach, including operational approach for HHW Services at Eubanks Road location and a separate description for HHW Services at the Walnut Grove SWCC location. Page 13 HHW RFP # 5183 8. Material Treatment — This section must include a complete description of the treatment process of each material collected at the two collection locations. (e.g. recycled locally, reused locally, prepared for recycling, prepared for energy use, or prepared for disposal). The treatments should refer to the following materials: • Compressed gases • Flammable solids • Oxidizing material • Poisonous material • Radioactive material • Corrosive material • Freon Cylinders • Hg and Hg Debris • PCB Ballasts • Latex Paint 9. Storage, Disposal, and Recycling Facilities — In this section Proposer must provide names, locations, and pertinent State and Federal license /permit information for the Proposer, hauler, storage facility, and disposal facilities that might handle waste collected from County. 'Please include relevant safety records and listings of all warning notifications, violations, and /or citations, with details explaining each received from pertinent Federal and /or State agencies for the past two years, as well as any past or pending litigation. 10. Pricing — This section should contain two subsections, as follows: ■ HHW Pricing Proposal - Proposer should submit their Pricing Proposal using enclosed HHW Pricing Proposal sheet. The County prefers the cost to be a flat per pound fee regardless of the type of material, although the County will entertain other pricing structures in addition to the flat cost per pound method. Proposer may attach explanations and /or elaborate on submitted prices as Proposer deems necessary by attaching additional pages to provided form. The County also understands that Freon cylinders may be difficult to include in the flat, per pound cost, therefore Freon cylinders may be a separate cost as outlined in the table below. The County usually only receives 5 Freon cylinders per year on average. 11. Financial Capability and Insurance — This section must include an indication of financial capability for handling services to be delivered, including Insurance Coverage. H. PROPOSAL ACCEPTANCE The County may eliminate from consideration any proposal that is missing a substantial amount of information or which deviates from the required format. I. SELECTION PROCESS A selection committee shall be established by the County to review responses. Weights are estimated at our facility and then then the current contractor weighs by material type back at their own facility and invoices us from those weights. We like to estimate the weights from the CESQGs when they come in because we like to keep track of how much of our budget is going toward that specific part of the program. Historically, each participant's material was weighed at our facility but it took too much time and would slow the operations. We are open to material be weighed at our facility before being shipped out or being weighed at the contractor's facility with the notion that material weights will be randomly checked throughout the term of the contract to ensure accuracy. It is important .to continue, give us weights by material for State reporting and we will want the bulk weights each month with the invoice. We will continue to want the CESQGs weighed separately so we can continue to use those numbers for budgeting purposes. 8. How do we know when we need one or two site attendants? The agreement will be for one site attendant at both locations. If you anticipate busy times throughout the year (possibly some Saturdays in the Spring and summer) the County and Contractor can discuss what is needed and come to an agreement for when the extra site attendant is needed. Typical collection days throughout the year will be one site attendant at each location. The County does not know the use of the Walnut Grove site so the Contractor and County will need to be flexible and work together to find the best way to staff the site appropriately to avoid traffic back -ups and unsafe working conditions. 9. What is the current hourly rate being charged for the staffing of the HHW collection facility? We currently pay a flat rate of $ 1,750 per month for one attendant. 10. The RFP is not clear as to the disposition of used oil, antifreeze and batteries. Will the attendant be managing the collection of these materials? Currently we handle the following materials that the HHW vendor will not be responsible for handling. The current contractor is providing everything; onsite collection, hauling and disposal. We are planning on the new contractor continuing all of those services. We need to be made aware of any subcontractors that are used and the subcontractors must be approved by us beforehand. 13. Does the county provide the. container utilized to package the waste or will the pricing submitted for disposal need to include packaging The current pricing includes everything except labor. Collection, hauling, processing,. disposing, and all of the material used on site including tools, boxes, 55 gallon drums, etc. 14. Will the contractor have storage onsite at the collection location for equipment and supplies? If yes what type of building and what is the area, i.e. what is the storage capacity? The storage facility at 1514 Eubanks Road has a shelter for employees, a large processing area and two storage buildings. One building is 12'x 16' and the other is 14'x 20'. There is also a covered area with secondary containment that is used for storage that is about 13'x20'. 15. Please provide drawings or diagrams of the existing HHW storage area. See Attached (1514 Eubanks Road Facility). We currently only have large blue prints of the processing building. The illustration provided Is a rough sketch of the location. If you need the exact blue print of the processing building please let us know. 16. You have a single per lb unit price in the bid schedule for Household Hazardous Waste collection and processing. Is this unit price to include everything except the onsite per labor rate? In other words are we to include disposal, packaging, transportation, testing and all other costs under this single per lb unit price for all waste categories? The per pound price includes everything except labor. 17. What was the total contract spending on the current HHW contract in each of the last two complete fiscal years? Does this include both latex and oil based paint or only oil based paint? What changes if any are anticipated in the paint collection policy? The line in the table labeled "paint" is only latex paint. We do not anticipate any changes in our paint policy. I should note that citizens come through, informally, and if we have some paint still sitting around, and they want it, we will give that paint to them after they sign a form waiving liability. This is very informal and does not happen often. The numbers that you see in this table to not include some of the paint we have given away to citizens. We do not sit paint aside to save specifically for citizens. 20. Will the contractor be required to provide any equipment such as a fork lift, trailers, storage facility etc? Contractor will not be "required" to provide any of those items. There will be proper storage at both locations, we may be able to provide a forklift at 1514 Eubanks Road when collection is taking place, we may also be able to provide a skid -steer with forks at the Walnut Grove facility, but it will not be guaranteed at any given time, that equipment will be being used for other applications throughout the day. Contractor will need to provide any other tools or equipment that is needed to complete the duties to properly collect, process, and haul material safely. Extra trailers or equipment that the contractor wishes to store at the facility may be negotiated. 21. Will the county provide rest room facilities, trash collection, office space, phone and or electrical service? County provides port -a john, trash collection, office space with electric, phone and possible internet at'1514 Eubanks Road. Similar facilities and services will be provided at the Walnut Grove location. 22. No sizes were identified for the cylinders; should we price by size? Do you want pricing for other common cylinders such as propane, fire extinguishers, oxygen, acetylene or nitrogen? We are only referring to Freon Cylinders for different pricing and -you can price them by weight or size or however you see best fit. We only get about 5 Freon Cylinders per year. We handle all propane tanks ourselves. If you cannot provide fire extinguishers, oxygen tanks, acetylene or nitrogen under the general per pound pricing, explain the pricing structure that you would need to handle it.. 23. Are any mobile collection events included in this contract, if yes how will the mobile events be billed? No mobile collection events. 24. Will the county allow the contractor to leave a 40foot van type trailer on site to provide additional storage for the waste being generated during the collections? It is possible to store extra material on the property if needed however, the permit only allows for material to be stored at our facility for a maximum of a year, however, we prefer that material is not stored for more than a month maximum. We prefer this for safety reasons and also to properly track monthly data. The storage requirements under our permit are as follows: The storage building at the Orange County Permanent HHW Collection Facility is designed to accommodate temporary accumulation of several classes of hazardous materials. All. accumulation time limits and storage requirements shall apply to both HHW and CESQG wastes. Contractor personnel (and Orange County personnel as applicable) are trained as appropriate concerning Page 4 of 5 proper waste segregation and safe storage procedures. In accordance with state requirements for temporary storage, when necessary the date upon which each period of accumulation begins is clearly marked and visible on each container. Furthermore, while being stored onsite, all containers with accumulating hazardous wastes are labeled or marked clearly with the words "Household Hazardous Waste" unless the material is recyclable (e.g., used oil, latex paints, batteries) and is separated from other hazardous waste, or the materials is deemed Universal Waste as defined by 40 CFR Part 273. Time in storage varies according to the volume of waste received, though no waste shall be stored for longer than one year from the date of acceptance. Removal of wastes by the contractor is scheduled as necessary to minimize expense to Orange County, to avoid an over - accumulation of waste, and to ensure safety and efficiency of operation, while at all times complying with applicable regulations and safety considerations. All hazardous waste stored at this facility shall be stored in.an enclosed and roofed structure. Access to the facility shall be limited to employees and or other authorized personnel including employees and agents of the hazardous waste contractor, and maintenance personnel. The Orange County Permanent HHW Collection Facility is designed to ensure safe and efficient operation. The HHW collection facility consists of a primary storage building with an attached concrete receiving apron plus overhead canopy, and a secondary portable storage building used only for storage of Universal Waste. Removal of wastes by the contractor is scheduled as necessary to minimize expense to Orange County, to avoid an over - accumulation of waste, and to ensure safety and efficiency of operation, while at all times complying with applicable regulations and safety considerations. Each center is to be staffed with one customer - focused individual, who is experienced with managing, packaging, and manifesting household hazardous waste materials if full compliance with all applicable regulations. The current collection center, Eubanks Road, will continue to accept residential HHW as well as hazardous waste from Conditionally Exempt Small Quantity Generators (CESQG) including participating local governments and public school systems. The new collection center at Walnut Grove will only accept residential HHW. There will be no HHW "events" held under this contract. We understand that the County currently manages the disposal of the following waste streams (waste motor oil, and batteries) and will continue to do so. Clean Harbors' personnel will inspect the waste at the participant's vehicle, and decide whether or not to accept before removing it from the vehicle. Segregation and Packing In the event that a participant has an excessive amount of waste for disposal, or waste suspected of being generated from locations other than households, County personnel will be advised. The excessive or unusual waste shall only be accepted per Orange County's approval. All containers will be checked for labels and participants will be asked to confirm contents. If there is no label and the participant can identify the containers' contents, the identity will be written on the container and transferred to the handling tables for processing. Unknown waste will be taken to an area designated for fingerprint testing. Management of unknown waste is described in more detail later. If deemed acceptable, Clean Harbors' personnel will remove the household hazardous waste from the participant's vehicle. Most materials are placed onto the screening tables for segregation. Latex Paint, will be taken direct to the bulking area. Household hazardous waste will be segregated into one of the following categories: acids, bases, oxidizers, pesticides, aerosols, latex paint, oil -based paint, solvents, reactives, unknown materials and non - hazardous /non - regulated materials. Non - recyclable, non - regulated solid waste will be rejected or placed into garbage dumpsters for disposal at the County's expense. The appropriate packaging method for each container is determined in accordance with container size, type, hazardous characteristics, and quantity of waste. We have detailed our packaging guidelines in Section 8 of our response. Managing Unknowns The safe and economical disposal of unknown chemicals is an ever - present problem for household hazardous waste collection programs. Questioning the participant can identify most unlabeled containers; however, occasionally a participant will simply not know what they have. Clean Harbors' Project Managers are specially trained to perform unknown characterizations on- site using a variety of analytical test methods. Only personnel that have passed Unknowns Training with a score of 80% or higher are allowed to perform a fingerprint analysis. Company Confidential 24 www.cleanharbors.com County of Orange, NC RFP #5183 We will set aside an area at collection site designated for the classification of unknown compounds. Here the Project Manager will perform quantitative and qualitative tests to determine the physical and chemical properties of each unknown compound. "Fingerprint" tests determine whether a compound is acidic, basic, water reactive, a cyanide, a sulfide, an oxidizing agent, and /or a combination of hazards. Once these properties are determined, chemicals with similar hazards will be packaged together by DOT classification in 5- gallon containers for incineration. Any chemicals that are not compatible will be placed in their own containers for disposal. All "unknown" materials will be packaged and treated as a "Reactive Labpack ". Bulking Procedures Individual containers to be poured will be transferred to poly- covered tables adjacent to the pour operations. Any containers that are questionable will be removed for later inspection. The entire side and top exterior surfaces of all glass and plastic containers will be wiped with a wet rag; and each container will be opened slowly to relieve any pressure. Next the container contents are poured into a receptacle fitted over the collection drum. To allow for vapor headspace, drums are considered filled to capacity at approximately fifty gallons. After reaching capacity, the drums will be closed, and drum tracking numbers, labels and applicable markings will be attached. When bulking paint and other flammable liquids, Clean Harbors' personnel will wipe down each open -head steel drum with a damp rag, and attach flexible grounding cables. Only non - sparking bung wrenches, screwdrivers and other tools for opening containers will be used. In addition a twenty pound ABC fire extinguisher will be placed within the consolidation area to comply with safety protocol. Data from the inspection includes: 0 Ensuring that nothing was missed while straightening up the Facility 0 Recording the number of full and partial containers, and any County- required data ® Recording the amount of supplies used and checking to see if any are running low and need replenishing Manifesting, Loading, and Transportation As household hazardous waste is packaged, the Project Manager will enter the contents being packed, container size, etc. into the Waste Inventory System on their laptop computer. When full, the containers will be sealed, labeled and removed from the packing area. He /She will either move the containers to their appropriate storage area. Clean Harbors will prepare all shipping paperwork in accordance with Federal, State and Local regulations. Information entered into the Waste Inventory System generates computer - printouts of container packing lists; as well as prints manifests, bills of lading, and container labels on -site. When ready for shipment, the data is submitted electronically through the website directly to our waste coordinator. E- mailing or faxing packing lists is no longer required. Shipping documents can be created using the containers selected for shipment. Every time the containers are moved, whether from truck to truck or from one location to another in a facility, the bar code labels are scanned and the data is uploaded into our Waste Information Network ("WIN'). Drums and/or boxes that are bulked/consolidated into larger containers (i.e. tanks, roll offs, etc.) are also noted in WIN; and a new tracking number is created that lists all the original numbers.
