PURPOSE: To review and approve the final draft `Economic Development Advisory Board
Policies and Procedures' and appoint ten (10) individuals for the initial reconstituted Economic
Development Advisory Board.
BACKGROUND: As provided in the January 24, 2012 status report on `Proposed Purpose,
Composition and Function of Orange County's Reformulated Economic Development Advisory
Board; Orange County Economic Development staff have been working to revise the structure
and function of an Economic Development Advisory Board to most effectively support the
Commissioners' vision for economic development in Orange County going forward.
The attached `Economic Development Advisory Board Policies and Procedures' document, and
the list of potential candidates for the Economic Development Advisory Board, were developed
to reflect the Board of Commissioners' recent efforts to reformulate an Advisory Board aligned
with the County's revamped Economic Development focus.
Input from a diverse group of individuals and groups invested in the future of economic
development in Orange County have been incorporated into both the proposed structure and
composition of the reformulated advisory board. The attached documents include feedback
from a variety of groups and individuals, including the Chambers of Commerce and
representatives from UNC.
Several potential advisory body structures were evaluated, and the attached `Economic
Development Advisory Board Policies and Procedure' and list of potential appointees reflect
staff's thinking for the most effective model for Orange County's Economic Development
program going forward.

The attached `Economic Development Advisory Board Policies and Procedures' document
differs from the version reviewed at the Board's April 19, 2012 meeting as follows:
1) Section III. B. 1. Composition - the number of voting members was increased to
10 (to reflect the addition of a nonprofit member).
2) Section III. B. 1. F. - a representative from the nonprofit sector was added.
3) New Section III. B. 2. - while all members must have a concerted business
interest in Orange County, only a majority of the members must be residents of
Orange County.
4) Old Section III. B. 2. Referencing chair and vice chair selection was removed as
this scope is covered in the `Orange County Board of County Commissioners
Advisory Board Policy' Section IV. C.
5) Old Section III. B. 5. Referencing length of service was removed as this scope is
covered in the `Orange County Board of County Commissioners Advisory Board
Policy' Section III. E.
6) Old Section IV. B. referencing agendas was removed as this scope is covered in
the `Orange County Board of County Commissioners Advisory Board Policy'
Section VI. E.
As provided in Section III.B.1. of the Economic Development Advisory Board Policies and
Procedure, the composition of the Advisory Board has been distributed among six (6) basic
sectors to represent the diversity of businesses in Orange County. While numerous potential
appointees were contacted, not all were able to commit to serve in this capacity. Only those
that have agreed to serve as active members of the Advisory Board, should they be selected,
are included in the attached list of potential appointees.
The proposed appointees have been reviewed and submitted for consideration due to each
individual's ability to maximize the diversity of skills, and therefore enhance the County's
revamped Economic Development program from a variety of vantage points. Each appointee
either manages a business in Orange County, or has significant interest in, or ties to Orange
County's economic development.
As outlined in the document `Orange County Board of Commissioners Advisory Board Policy',
section III, E. 2), the term for all appointees will be staggered, as follows:
• 4 members - 3 year term
• 4 members - 2 year term
• 2 members - 1 year term
In addition to the Advisory Board, a group of `Technical Advisors' will be identified to assist the
Economic Development program on an as-needed basis, providing input on specific issues.
The Technical Advisor group will be identified as the specific need arises, with the input of both
Economic Development staff and the Economic Development Advisory Board.
FINANCIAL IMPACT: There is no financial impact associated with reviewing and approving the
final draft `Economic Development Advisory Board Policies and Procedures' and appointing ten
(10) individuals for the initial reconstituted Economic Development Advisory Board.

RECOMMENDATION(S): The Manager recommends that the Board:
1) Adopt the attached `Policies and Procedures' for the Economic Development Advisory
Board, and
2) Select ten (10) individuals from the table provided in Attachment 2, according to the
following numbers and categories (from Section III. B. 1. of the `Policies and
Procedures"). Please note that several individuals may be cross-listed as
representatives in more than one category:
a. Choose F/VE individuals from Orange County's core business community, which
includes banking, construction, manufacturing, architecture, real estate, legal,
development, utility management, etc.
b. Choose ONE individual who represents the aqriculture sector,
c. Choose ONE individual actively involved in entrepreneur activities;
d. Choose ONE individual representing the Universitv of North Carolina at Chapel
Hill, preferably involved in the development activities, such as planning for Carolina
North, or on the foundation side of business development;
e. Choose ONE individual representing the tourism sector represented by an
individual involved in retail and/or hospitality, such as a restaurant or hotel
manager, or someone involved in the arts;
f. Choose ONE individual representing the nonprofit sector.

ECONOMIC DEVELOPMENTADVISORY BOARD POLICIES AND PROCEDURES
SECTION I: SCOPE
A. Purpose
1. To establish a policy and procedures whereby the Orange County Board of
Commissioners will establish the specific policies and procedures governing the
Economic Development Advisory Board.
2. The Orange County Board of Commissioners may establish and appoint an advisory
board whose duty is to serve in an advisory capacity to Orange County's Economic
Development department in support of its core mission of encouraging economic
development within Orange County.
B. Authority
1. North Carolina General Statute 153A-76 grants boards of county commissioners the
authority to establish advisory boards.
2. North Carolina General Statute 158-8 grants boards of county commissioners the
authority to establish economic development advisory boards.
3. The Orange County Advisory Board Policy serves as the underlying policy document
to which the Economic Development Advisory Board, in addition to this policy and
procedure document, is subject.
4. In the event that there is a conflict between the Orange County Advisory Board
Policy and this Policies and Procedures document, this Policies and Procedures
document shall control.
C. Charge
1. The charge of the Economic Development Advisory Board is as follows:
a) Work cohesively with Orange County's Economic Development staff and their
economic development partners to position Orange County as a competitive
location for business opportunities.
b) Although the Economic Development Advisory Board membership will
represent a variety of business and geographic interests, the Economic
Development Advisory Board, as a whole will work together for the good of
Orange County as a whole.
c) The Economic Development Advisory Board will function under the guidelines
for growth set out in Orange County's Land Use Plan.
d) The Economic Development Advisory Board shall provide an Annual Report to
the Board of County Commissioners, summarizing its activities, successes and
programs of the past year.
SECTION II: GOALS AND OBJECTIVES
A. Goals
1. Support and encourage commercial and industrial growth in Orange County.
2. Create desirable jobs for Orange County's citizens.

B. Objectives
1. Meet with prospective clients, and be involved with select economic development
endeavors;
2. Participate and advise in discussions, evaluations, and decisions on appropriate
economic development uses of the proceeds from the quarter cent sales tax;
3. Craft, analyze and promote economic development initiatives;
4. Identify and review potential new markets;
5. Assist in planning economic development policy;
6. Actively engage in stimulating community discussions on economic development
issues;
7. Assist with the small business loan program;
8. Set priorities on the location and type of infrastructure (water, sewer, fiber) for the
County's Economic Development Districts;
9. Help determine how Orange County might partner with the towns on economic
development initiatives; and
10. Assist and advise on the recommended areas suitable for economic development
and commercial nodes.
SECTION III: MEMBERSHIP
A. Authority
1. North Carolina General Statute 153A-76 grants boards of county commissioners the
authority to establish advisory boards and to appoint members to and remove
members from those advisory boards. In acting on this authority the Orange County
Board of Commissioners hereby establishes certain general conditions to which
applicants and members of advisory boards should conform.
B. Composition
1. The Economic Development Advisory Board is composed of 10 voting
members. Members shall include representatives from the following sectors:
a. Orange County's_core business communitv, including banking,
construction, manufacturing, architecture, real estate, legal,
development, utility management, etc.
b. An individual who represents a~riculture:
c. An individual actively involved in entrenreneur activities;
d. An individual representing the Universitv of North Carolina at Chaael
Hill. preferably involved in the development activities, such as planning
for Carolina North, or on the foundation side of business development;
e. The tourism sector represented by an individual involved in retail
and/or hospitality, such as a restaurant or hotel manager, or someone
involved in the arts;
f. An individual representing the nonprofit sector; and

g. At some point in the future, a representative of Duke Universitv
preferably involved in development activities that may have an impact
on Orange County including support of university spin-off entities, may
be included.
2. A majority of inembers shall be residents of Orange County and shall maintain
their domicile in Orange County. Domicile is defined as one's permanent
established home as distinguished from one's temporary although actual
place of residence. The Clerk shall confirm the residency of applicants.
3. Members shall have a direct or indirect background in economic
development, and be actively involved in promoting business. Candidates
should either live in Orange County, have invested in Orange County, or have
a direct economic development interest in Orange County.
4. The Hillsborough/Orange County Chamber of Commerce and the Chapel
Hill/Carrboro Chamber of Commerce shall assist the Orange County Economic
Develop staff to review, recruit and recommend potential candidates.
5. There shall be an Economic Development Working Group that will be
comprised of economic development professionals, such as economic
development practitioners from the municipalities of Orange County, the
University of North Carolina at Chapel Hill, and Durham Technical Community
College.
a. This group will assist the Orange County Economic Development
department with special projects, on an 'as needed' basis.
b. Members of this group will be selected based on their skill set and the
special project to be addressed.
c. Selection of these group members will be by the Orange County
Economic Development department and/or appropriate members of
the Economic Development Advisory Board.
d. The working group will adhere to the same policies and procedures as
the Economic Development Advisory Board, with the exception of their
provisional nature.
SECTION IV. MEETINGS
A. Staffing
1. Orange County staff may serve a support function to advisory boards upon the
approval of the Orange County Manager.
B. Joint Meetings
1. The Economic Development Advisory Board may attend an annual meeting with
the Orange County Board of Commissioners to review and discuss its activities and
accomplishments.

SECTION V. ORIENTATION
A. Attendance
1. Each member shall attend an orientation presented by the Economic Development
department to familiarize the advisory board members with the operation of County
government, the Economic Development department rules, and the operating
procedures of the advisory board.
2. Each voting member will be encouraged to complete the orientation within four
weeks of his or her appointment. Additional training will be developed as needed.
SECTION VI. BY-LAWS
A. By-Laws
1. Any bylaws adopted by the Economic Development Commission or Economic
Development Advisory Board are void and no further bylaws shall be adopted.
Procedure shall be governed solely by this policy document and the General
Advisory Board Policy Document.
2. The Economic Development Advisory Board shall, for the purposes of conducting
discussion and debate only, follow the Rules of Procedure for the Board of County
Commissioners.
3. Should the Economic Development Advisory Board determine modifications to
policies and procedures are necessary, the Economic Development Advisory Board
may petition the Board of County Commissioners for such modi~cations.
