Contract for External Evaluation of Orange County Animal Shelter~~l~R I~o-~ - PA-F- Page 1 of 4 HSUS/APS/Shelter Consultation Contract December 2002 STATE OF NORTH CAROLINA COUNTY OF ORANGE AGREEMENT BETWEEN COUNTY OF ORANGE COUNTY, NORTH CAROLINA AND THE ANIMAL PROTECTION SOCIETY OF ORANGE COUNTY, INC. AND THE HUMANE SOCIETY OF THE UNITED STATES This Agreement is made and entered into this 8th day of January, 2003 by and between Orange County, hereinafter referred to as the County and the Animal Protection Society of Orange County, hereinafter referred to as APS, and The Humane Society of the United States, hereinafter referred to as HSUS. WITNESSETH: WHEREAS, County of Orange, North Carolina and the Animal Protection Society of Orange County, desire to contract with The Humane Society of the United States for professional services for its Animal Services Consultation Propram. WHEREAS, The Humane Society of the United States desires to provide those services; NOW, THEREFORE, in consideration of the following Mutual promises, covenants and conditions, the County, APS and HSUS agree as follows: 1. The HSUS will provide a Professional Animal Services Consultation, hereinafter known as ASC, to the County and its animal shelter contract operator, the APS for the contract price of $18,500 (hereafter "Contract Price"). 2. The HSUS will perForm all the standard components of the ASC program according to the standard timetable provided and attached, beginning when the contract is signed by all parties. The Standard Components (hereafter "Standard Components") to be included in the study are: Shelter Operations/Facilities: The team will conduct a thorough, on-site review of all current facilities and daily activities within the Orange County Animal Shelter. This will include, but not be limited to, accessibility to the public (such as facility location and hours of operation), staff training, customer service, policies and procedures involving incoming animals, animal care and handling, health care and veterinary services, redemption, adoptions, and euthanasia. Volunteer programs and fostering relationships will be reviewed. In addition, a review of all animal-related recordkeeping forms, including statistics and any routine or required documentation or reports (weekly/monthly/annually) will be performed. Specific attention will also be paid to human resources-related issues, sta~ng infrastructures, contractual relationships and obligations, and community outreach efforts (including those with area animal interest groups). General budgeting and strategic and long- range planning will be evaluated. Animal Control/Field Services: In the case of APSOC, field services for the town of Chapel Hill will not be evaluated. Only Orange County animal care and control field services, and APSOC's 24- hour rescue program and cruelty investigations will be studied. Emphasis will be placed on a review of existing and pending legislation relating to animal care and control (and related services), current enforcement programs and procedures, field officer staffing and training, rabies and quarantine policies, normal and emergency procedures and protocols, and the demographics of the area served. 3. The HSUS will provide an in-person presentation of the findings of the ASC to a joint meeting of the APS, the Orange County Board of County Commissioners and the Orange County Board of Health at an additional cost of travel expenses, that is not included in the above contract price. The presentation will take place after the delivery of the final report. (See also numbers 11 and 13) 4. The HSUS will, in addition to soliciting and evaluating public comment as a standard component of the ASC program, will consider and integrate the results of focus groups on animal sheltering in Orange County to be conducted by the Dispute Settlement Center of Orange County and to occur prior to the site visit by HSUS. 5. The APS will provide all requested background public documentation as requested by the ASC program according to the standard timetable attached to this document. 6. The APS will work with ASC program consultants in advance of the on-site visit to provide an itinerary for their on-site visit. APS will ensure that ASC consultants are scheduled to meet with each of the parties they request to meet with. 7. APS will make available for inspection, in a timely manner, any public document, place or thing that ASC requests, provided that the request relates to the Standard Components of the agreed upon program evaluation. 8. The County will provide any and all public documents requested by ASC in a timely manner. 9. The County will work with ASC to provide an itinerary for the animal control and field services part of the evaluation/consultation and do so on the schedule requested by ASC consistent with the standard timetable. 10. The County will forward the results of the focus group process conducted by the Dispute Settlement Center to the ASC for integration as soon as possible upon the completion of that process. This Agreement shall run from the date of contract until the time the written report is issued by the ASC to the APS and the County and the in-person presentation is made to the latter parties. The presentation is anticipated to occur no later than September, 2003. 12. The County will pay the HSUS the total amount of the Contract Price after the receipt of the draft report by HSUS upon presentation of an invoice from HSUS. 13. As provided for in paragraph 3 above, the County will reimburse on a receipt basis for expenses of one HSUS staff member to present the results of the report to a joint meeting of the Board of County Commissioners, the Board of Health and the APS Board of Directors. Eligible expenses include coach air fare, hotel accommodations, rental car, and meals. 14. The HSUS hereby agrees that it will comply with such non-discrimination laws as may be applicable to it in the perFormance of this Agreement. 15. This agreement is not intended and shall not be construed to create the relationship of agent, servant, employee, partnership or joint venture between the parties, but rather is an agreement between independent contractors. This Agreement contains the entire understanding of the parties and shall not be altered, amended or modified, except by an agreement in writing executed by the duly authorized officials of both parties. The laws of North Carolina shall govern the validity and interpretations of the provisions, terms and conditions of the Agreement.
