II~TVIRONMBNTAL PRODUCTS, LLC '
ORANC3B COUNTY ~
Addendum to that c~rtain Agreemettt effecdve February 1, 2010 between Orange County, on behalf
of its Dcpart~nant of Solid Waste Managemont, herein referred to as "Lessee"~ and LSC
Bnvironmontal Products, Li.C~ herein roferred to as "Ixssor" for services during the continued
operation of the Oienge County Landfill, hcrein referir.d to as "landfilL"
In consideration of the mumal pmmises and conditions set forth h~rdn, the Lessee and Lessor agree
w am,end the Agreernent as follows:
Terme of Asreemen~ ~ ~
Th~ Agc~nant ahsll be amended ss provided in Attachmant A, attached her~to and incorporated
herein. Addittonally the following Sections in Attachment A are amended as pmvided herein:
I.essor
Company name is hereby notcd as LSC Environmental Prodnets, LLC, (formerly Landfill Service
Corporaflon).
Standard Conditions
2.8 Limited Watrantv. Lessor wairants from manufacUu~ers defects the parts described; diesel
power unit (not including componcnt parts), hydraulic pumps 8t motors, axles 8c springs,
throttle and pump control levess, progressing cavity pump, hydraulitc oil cooler and fan for
the period of this Agreement, imclu ' any extensions thereof, and upon reccipt by the
Lessor of the malftmctioning part subject W waasnty, the Lessar shall, within 24 hours, if
possible, ship to the I.essee the waxranted part propealy repaired or, in the altemative, a new
part at the sole cost of the Lessor. The Lessee shall be rasponsible for all 18bor associated
with the removal and replacement of the defective pazt Service provided by the Lessor shall
be invoiced at $85.00/hour far travel and labar. The Lessor makes no watranties, aither
eapre~s or implied, as to any matter whatsoever, oth~r than those warranties inclnded herein,
inclnding, without limitation, the condition of the Application Eqnipment, its merchantability
a~ its f tness for any ~rdcular pnrposes provided, however, the Leasor does warrant that the
Applicatioa Eqnipment is suitable for the application of the Lic~nsed Products in the
Terrltory. '
2.11 jp~g. To.the eatent,permitted by North Carolina law. Lessee shaIl keop the Application
Bquipment insared against all risks of loss or damage from every cause whatscever for not
less than the futl replacement value (as specified in 2.9 above) and ehall cazry pnblic liability
and property damage insurance covering opcration of the Application Equipment The Lessee
shall name the Lessor as loss payee on any policy covering the Application Equipment as
specified in 2.9 (c) above ~nd also the Lessor shall be named as ~dditional insured undor any
Comprehensive Ganeral Liability policy cov~ring the operation of the Application
EqniPmen~
2.13 To the axtent pennitted'bv North Carolina law. The Lessee shall indemnify the Lessor
against and hold the Lessor harmless from any and all claims, acdons, suits, proceedings,
costs, expenaes, damages and liab~lities, including reasonable attorney's fees, arising out of or
connected with or resolting from the possession, use, operation or iet~rn of the Application

Equipment. The Lessaar shall indemnify the Lessee against and hold the I.essee harmless firom
any and all claims, adions, suits, procxtdings, costs, expenscs, damages, and liabilities,
including attomey's fees, arising out of or connected with the acdons of Lessor's employe.es
within the teaitory. Lessee does not waive its sovereie~ immunitv bv~ enterin~ into this
~~ment ~d filv re A~ a1_1 Lmmt~ties &nd dcfenses p~vided. .
The followings sections are added to the Agreement:
4.4 Non-A~priation Lessar acknowledges that Lessee is a governmental entity, and the
validity of thie Agree~ent is based upon the availability of public funding under the authority
of its statntory mandate. .
In the event that pnblic fimds are nnavailable and not appropriabed for the performance of
Lessee's obligations under this Agr~cment, then this Agreement shall sutomatically expire
without penalty to Lessee immediately npon written notice tio I.essor of the unavailability and
nan-appropriation of public funds. It is expressly agreed that Lessee shall not acti.vate this
non-appropriafion ~ovision for its convenience or to circumvent the requiu~ements of this
Agreement, but only as an eruergency fiscal measure during a substantial fiscal crisis. In the
event of e change in the Lessee's statutory anthority, mandate and/or mendated fiinctions, by
state and/or federal legislative or regulatory action, which adversely affects Lessee's
authority to continue its obligations under this Agreement, then this Agrecment shall
sutomatically terniinate withont penalty to Lessee upon written notice to Lessor . of such
limitation or change in Lessee's legal authority.
8.2 ~putes. Venne, The parties forther agree that jurisdiction and vcnue for any matter arising
out of or pertaining to this Addendum shall be pmper only in the state and fed~ral courts
locatsd in Orange County~ North Carolina and the 1Vfiddlc District of the State of North
Carolina, and the parties hereby consent to such jurisdiccion and venue.
9.7 Aiblic Records. Lessar ac~ow2edges that Covnty is a North Carolina local govarnmental
entity and as such is subject to North Carolina Public Records Laws. In the ovent Lessor
claims that information, records, documents, or things created for, used in, or related to the
performance of this Agreement are Proprietary in nature and therefore not subject to
Disclosure undcr North Carolina Public Records Iaws Lessar shall identify in wrfdng those
records, d~uments, or thiags prior to the commencement dabe of tlus Agreemen~
Should a public records request be made for information the Lessor claims is Proprietary in
nattue, County will, within a m.esonable time, morify Lessor of such public records reques~
Lessor shall, within five (5) business days of said notification provide notice that it does or
does not object W the Lesse~ disclosing the requested information pursaant W the subject
public records request.
If Lessar objects to the disclosure of the requested information, Lessor agrees that it shall be
solely responsible for the defense of and the cost of defcuding any claim or complaint
against the Lessec based upon the Lessee's refusal to disclose information Lessor claims is
Proprietary in natnre. Lessor agrees that if any such complaint or claim is ffied it will
indemnify Lessee and will reimburse Lessce for ~ny and all damages awarded against
Lessee for Lessee's refusal to disclose information I.essor claims is praprietary in nature.
Lessor agrees that it releases I.essa from all loss, liability, claims or exponse, including
attorney's fees, arising out of ar related to the releas~ or disclosure or failure by the Lessee to
release or disclose information Lessor claims is Proprietary in nature. Lessor further agrees
that it waives the right to file any court action for any such release, disclosure, or failure to
release or disclose information Lessor claims is Proprietary in nature.
9.8 Pt~ll Force and Effec~ The parties confum the Agreement as amended b,y this Addendum and
, acknowledge and agree that, except as amendod by this Addendum, the Agreement is binding
and is and rernains in full force and effect.
