This Services Agreement (hereinafter "Agreement"), made and entered into this 21st day of
November, 2011, ("Effective Date") by and between Orange County, North Carolina a body
politic and corporate of the State of North Carolina (hereinafter, the "County") and Terracon
Consultants, Inc., (hereinafter,the "Provider").
WITNESSETH:
That the County and Provider, for the consideration herein named, do hereby agree as
follows:
1. Services
a. Scope of Work.
i) This Services Agreement ("Agreement") is for professional services to be
rendered by Provider to County with respect to (insert type of project): Buckhorn-
Efland Phase 2 Sanitary Sewer Construction Materials Testing.
ii) By executing this Agreement, the Provider represents and agrees that Provider is
qualified to perform and fully capable of performing and providing the services
required or necessary under this Agreement in a fully competent, professional and
timely manner.
iii) Time is of the essence with respect to this Agreement.
iv) The services to be performed under this Agreement consist of Basic Services, as
described and designated in Section 3 hereof. Compensation to the Provider for
Basic Services under this Agreement shall be as set forth herein.
2. Responsibilities of the Provider
a. Services to be provided. The Provider shall provide the County with all services
required in Section 3 to satisfactorily complete the Project within the time limitations set
forth herein and in accordance with the highest professional standards.
b. Standard of Care.
i) The Provider shall exercise reasonable care and diligence in performing services
under this Agreement in accordance with the highest generally accepted standards
of this type of Provider practice throughout the United States and in accordance
with applicable federal, state and local laws and regulations applicable to the

a. Compensation for Basic Services. Compensation for Basic Services shall include all
compensation due the Provider from the County for all services under this Agreement.
The maximum amount payable for Basic Services is Thirty Five Thousand Two
Hundred Ten Dollars Dollars ($35,210). In the event the amount stated on an invoice is

C. Limits of Coverage. Minimum limits of insurance coverage shall be as follows:

d. Additional Insured. All insurance policies (with the exception of Worker's
Compensation and Professional Liability) required under this Agreement shall name the
County as an additional insured party. Evidence of such insurance shall be furnished to
the County, together with evidence that each policy provides the County with not less
than thirty (30) days prior written notice of any cancellation, non-renewal or reduction
of coverage.
8. Indemnity
a. Indemnity. The Provider agrees to defend, indemnify and hold harmless the County
from all loss, liability, claims or expense, including attorney's fees, arising out of or
related to the Project and arising from bodily injury including death or property damage
to any person or persons caused in whole or in part by the negligence or misconduct of
the Provider except to the extent same are caused by the negligence or willful
misconduct of the County. It is the intent of this provision to require the Provider to
indemnify the County to the fullest extent permitted under North Carolina law.
9. Amendments to the Agreement
a. Changes in Basic Services. Changes in the Basic Services and entitlement to additional
compensation or a change in duration of this Agreement shall be made by a written
Amendment to this Agreement executed by the County and the Provider. The Provider
shall proceed to perform the Services required by the Amendment only after receiving a
fully executed Amendment from the County.
10. Termination
a. Termination for Convenience of the County. This Agreement may be terminated without
cause by the County and for its convenience upon seven (7) days prior written notice to
the Provider.
b. Other Termination. The Provider may terminate this Agreement based upon the County's
material breach of this Agreement; provided, the County has not taken all reasonable

f. Ownership of Work Product. Should Provider's performance of this Agreement generate
documents, items or things that are specific to this Project such documents, items or
things shall become the property of the County and may be used on any other project
without additional compensation to the Provider. The use of the documents, items or
things by the County or by any person or entity for any purpose other than the Project as
set forth in this Agreement shall be at the full risk of the County.
g. Non-Appropriation. Provider acknowledges that County is a governmental entity, and
the validity of this Agreement is based upon the availability of public funding under the
authority of its statutory mandate.
In the event that public funds are unavailable and not appropriated for the performance of
County's obligations under this Agreement, then this Agreement shall automatically
expire without penalty to County immediately upon written notice to Provider of the
unavailability and non-appropriation of public funds. It is expressly agreed that County
shall not activate this non-appropriation provision for its convenience or to circumvent
the requirements of this Agreement, but only as an emergency fiscal measure during a
substantial fiscal crisis.
In the event of a change in the County's statutory authority, mandate and/or mandated
functions, by state and/or federal legislative or regulatory action, which adversely affects
County's authority to continue its obligations under this Agreement, then this Agreement
shall automatically terminate without penalty to County upon written notice to Provider
of such limitation or change in County's legal authority.
h. Notices. Any notice required by this Agreement shall be in writing and delivered by
certified or registered mail, return receipt requested to the following:

Consequential Damages. Neither party shall be liable to the other for loss of profits or revenue; loss of
use or opportunity; loss of good will; cost of substitute facilities, goods, or services; cost of capital; or for
any special, consequential, indirect,punitive, or exemplary damages.
TestinL and Observations Client understands that testing and observation are discrete sampling
procedures, and that such procedures indicate conditions only at the depths, locations, and times the
procedures were performed. Consultant will provide test results and opinions based on tests and field
observations only for the work tested. Client understands that testing and observation are not continuous
or exhaustive, and are conducted to reduce - not eliminate - project risk. Client agrees to the level or
amount of testing performed and the associated risk. Client is responsible(even if delegated to contractor)
for requesting services, and notifying and scheduling Consultant so Consultant can perform these
Services. Consultant is not responsible for damages caused by services not performed due to a failure to
request or schedule Consultant's services. Consultant shall not be responsible for the quality and
completeness of Client's contractor's work or their adherence to the project documents, and Consultant's
performance of testing and observation services shall not relieve Client's contractor in any way from its
responsibility for defects discovered in its work, or create a warranty or guarantee. Consultant will not
supervise or direct the work performed by Client's contractor or its subcontractors and is not responsible
for their means and methods.
Warranty. CONSULTANT MAKES NO WARRANTIES OR GUARANTEES, EXPRESS OR
IMPLIED, RELATING TO CONSULTANT'S SERVICES AND CONSULTANT DISCLAIMS
ANY IMPLIED WARRANTIES OR WARRANTIES IMPOSED BY LAW, INCLUDING
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Safe . Consultant will be responsible for supervision and site safety measures for its own employees,but
shall not be responsible for the supervision or health and safety precautions for any third parties,
including Client's contractors,subcontractors,or other parties present at the site.

REQUEST FOR QUALIFICATIONS FOR CONSTRUCTION MATERIALS
TESTING SERVICES
Central Efland/Northern Buckhorn Sewer Extension—
RFQ NO. 5178 SUBMITTALS DUE 5:00 PM EST, Wednesday September 21, 2011
Orange County is seeking proposals from qualified consultants to provide professional services for
the above referenced project. A selection panel will review and evaluate proposals and submit a
recommendation for a single firm for this project.
PROJECT DESCRIPTION
The project consists of construction of an extension to the Efland sewer system and an extension of
the City of Mebane's sewer system into the Northern Buckhorn community. The work for this Project
involves the construction of approximately 5,370 linear feet of 8 inch gravity sanitary sewers to serve
the Buckhorn Area north of 1-85 and 19,514 linear feet of 8 inch gravity sewers with a 250 G.P.M.
Pump Station and 2,460 linear feet of 6 inch ductile iron force main to serve the Efland Community.
Specific items to be addressed are listed below:
Submittal Information
All respondents are requested to provide the information cited below, as well as any supplemental
information that provides a comprehensive view of the firm, the proposed project team and the
approach to this project. However, information should be presented in a clear and concise manner.
Section I - Information About the Firm
1. Project Organization and Staffing
a. Listing of all staff to be assigned to the Project, including detailed resumes for all
persons on this list.
b. Discuss the responsibilities to be fulfilled by each staff member who will be assigned to
the Project.
c. Identify current weekly contract commitments of staff to be assigned to the Project.
d. Construction is scheduled to begin October 1, 2011 with a contract period of 450 days.
Please confirm that your firm will be available to begin testing on that date and be
available for the duration of the project
e. Provide a listing and brief description of four projects of similar scope and size
completed by the firm; provide references and phone numbers for each project; identify
staff who were involved in each project.
f. Subcontractors - Respondents are expected to present their complete project team in
the response, including all subcontractors that may be proposed. Since subcontractor
qualifications will be evaluated similarly to the proposing firm's own team, please ensure
that complete information is included.
1. Consultant Professional Fees
a. Provide hourly rates, unit laboratory testing costs, unit prices and any other billable
costs for each service anticipated by the Consultants' proposed Quality control program
for this project. Is there a minimum charge? Provide unit costs for each specific field
and laboratory test
Section II: Project Manaaement Approach
Each respondent must describe their proposed plan for testing and inspection to assist the
designers and Owner in assuring a high standard of quality is achieved. The following key
items of work are to be included in the Quality Control Plan along with any additional items
deemed appropriate by the testing and inspection consultant.
1. Soils
2. Foundations(Pump Stations)
3. Cast-in-Place Concrete(as required by the proiect specifications)
4. Hot Mix Asphalt Paving(as required by the proiect specifications)
Section III: Selection Process
1. Procedures similar to those followed by Orange County in the selection of design consultants
will be followed. This will insure the testing and inspection consultant is selected in a fair and
uniform manner and that the firm selected for the Project has appropriate qualifications and
experience on similar projects.
The proposal packages submitted by consultants will be reviewed in detail. If County staff
deem it to be in the best interest of the county, interviews may be held with the finalists. A
selection committee will evaluate each proposal and make a final selection of the Consultant
with whom to enter contract negotiations. In the event negotiations of specific contract terms
and conditions proves unsuccessful with this firm, the committee will select another firm with
which to begin contract negotiations.
2. Evaluation Criteria
The following criteria will be the basis on which consultants will be selected for further
consideration:
a. Expertise and past performance on similar projects
b. Qualifications and experience of consultant's personnel to be assigned to the Project.
c. Current workload of consultant's personnel.
d. Proposed Quality Control Plan for the Project.
e. Proximity to and familiarity with the area where the project is located.
f. Consultants unit rates for performing required work.
g. Other factors that may be appropriate for the Project.

Section IV: SUBMISSION OF PROPOSALS
1. Proposals must be submitted no later than 5:00PM—local time, Wednesday September 21,

2. Proposals shall include statements of interest, ability to complete the work within the
required time, experience, and qualifications. All qualified firms are invited to submit
proposals; one (1) hard copy is required (clearly marked "ORIGINAL") and two (2) copies
on either thumb drives or CD's. Hard copy must be bound with printing on both sides of
sheet on recycled paper with the exception of tab or divider pages. The electronic file shall
be in pdf format and shall be a single file.
3. Proposals received after the set time for receipt shall not be considered and shall be
returned unopened to the proposer.
4. Orange County reserves the right to accept or reject any or all proposals, to waive
irregularities, and to reissue any request for proposals.

Terracon Consultants, Inc. (Terracon) is pleased to submit this Statement of Qualifications to
Orange County to provide Construction Material Testing services during construction of the
Central Efland/Northern Buckhorn Sewer Extension project.
Terracon has over twenty (20) certified technician, inspectors and engineers based out of our
Raleigh office. Our technicians and inspectors are certified through the American Concrete
institute (ACI), National Institute for Certification of Engineering Technicians (NICET),
International Code Council (ICC), North Carolina Department of Transportation (NCDOT), and
the American Welding Society (AWS).
The materials testing lab of our Raleigh office meets the requirements of ASTM E329, is
accredited through AMRL and CCRL for AASHTO R18, and is certified through the United
States Corps of Engineers (USCOE) and North Carolina Department of Transportation
(NCDOT).
Terracon has provided testing services on 1,000's of projects in the Raleigh area. Terracon is
familiar with the testing and inspection requirements of the City of Raleigh and Wake County.
Terracon has provided testing and inspection services on many of the major projects in the
area, such as the City of Raleigh Convention Center and the Wake County Justice Center.
Terracon has also provided testing and inspection services on several utility installation projects

within 24 hours or less. We will also maintain a log of non-conforming items at the job site, so
that deficient work will not be overlooked or covered, prior to being addressed.

PROJECT STAFF
CONSTRUCTION MATERIALS TESTING PROJECT TEAM
Construction services is Terracon's largest in-house service line, and the Raleigh office boasts a
staff of over 25 highly trained and experienced technicians, inspectors and professional staff
that are familiar and comfortable working with both private and public sector clients.
We propose to utilize the following personnel on this contract:
J. Aaron Ezzell, PG, El— Mr. Ezzell will serve as the Project Manager for the Terracon project
team. Mr. Ezzell is a CMT Project Manager in Terracon's Raleigh office, and he has over ten
years of experience managing and performing field and laboratory testing of soils, concrete, and
asphalt. Mr. Ezzell has managed materials testing projects for NC State University, the Town of
Cary, Wake County, Wake County Public Schools, Wake Technical Community College, and
East Carolina University.
Mr. Ezzell will be the primary point of contact between Orange County and Terracon, and he will
be responsible for the overall administration and execution of the project. The following are brief
resume summaries for other key materials testing professionals:
Scott Rist—Mr. Rist has over nine years of experience performing construction inspections and
testing services and has been involved in the past Buried Utility Installation projects listed in the
"Similar Project Experience" section. He is an International Code Council (ICC) certified
Reinforced Concrete Special Inspector and is also NICET Level I certified in soils and concrete.
He performs general construction inspection and field and laboratory construction materials
testing, including monitoring of structural backfill and fill placement. Mr. Rist also performs on-
site soil compaction tests using sand-cone, drive-tube and nuclear gauge test methods, and
field sampling and testing of fresh concrete. Mr. Rist will serve as the lead engineering
technician for this project.
David Duffy- Mr. Duffy has over five years of experience in construction materials testing, with
specialized laboratory and field testing experience. He is an ICC certified Reinforced Masonry
Special Inspector and NICET Level II certified in Soils, Concrete, and Asphalt. Mr. Duffy will
serve as a supplemental engineering technician, if needed, for this project.
Stephanie Hardison - Ms. Hardison is the Laboratory Manager in Terracon's Raleigh office,
and she has over ten years of experience performing construction materials testing and
inspection. She manages, coordinates, and/or performs all laboratory testing to supplement the
office workload. Ms. Hardison ensures continued certification of the Raleigh laboratory by the
North Carolina Department of Transportation (NCDOT), the Army Corps of Engineers (COE),
and the American Association of State Highway and Transportation Officials (AASHTO). Ms.
Hardison will be responsible for overseeing all laboratory testing for this project.
We do not propose to utilize any sub-consultants or sub-contractors for this contract.

Costco Wholesale, Columbia, MD: Project Manager responsible for
supervising the special inspections and testing program for the
construction of a new 140,000 square-foot Costco retail warehouse in
Columbia, Maryland. Responsible for coordination of multiple field
technicians on-site and managing project deliverables and ensuring project
budget.

PROJECT MANAGEMENT APPROACH
Signify Presence and Responsibilities at the job site. If required by the building official,
Terracon personnel will sign in on the appropriate form posted with the building permit.
Observe Assigned Work. Terracon personnel will inspect work for which they are responsible
and aware of for conformance with the building department approved (stamped) plans and
specifications and applicable provisions of the applicable North Carolina Building Code.
Our testing and observation services will be scheduled by the Owner's or Contractor's
representative and performed on a part-time, as-requested basis. This scheduling practice in
itself will result in lower fees as compared to a full-time site technician.
We propose to utilize the listed procedures during testing and observation of the following
elements to ensure a high standard of quality control and efficiency:
• Soils — The Terracon technician will perform soil density testing using nuclear density
gauges. This will reduce site visit durations and result in lower fees.
• Foundations & Cast-in-Place Concrete — The same Terracon technician performing
foundation testing can also inspect the reinforcing steel and test the concrete,
eliminating the need for multiple technician site visits.
• Hot Mix Asphalt Paving —The Terracon technician will utilize a nuclear density gauge
to test the compaction of in-place hot mix asphalt at the time of placement, eliminating
the need for a follow-up coring visit.
Fees for mileage and equipment (trip charges)will be included in the hourly personnel rates.
Provide Qualified Personnel. Terracon will provide qualified personnel to perform the
assigned work. Our proposed staff has the appropriate certifications including: [CC
(International Code Council), NICET (National Institute for Certification of Engineering
Technologies), ACI (American Concrete Institute), PTI (Post Tension Institute), NCDOT (North
Carolina Department of Transportation).
Report Nonconforming Items. Terracon personnel will bring nonconforming items to the
immediate attention of the contractor. If any such item is not resolved in a timely manner or is
about to be incorporated into the work, the design team, the owner and the building official will
be notified immediately and the item noted in Terracon's written report. Terracon personnel will
write a separate report to be posted at the job site, if requested, regarding noted discrepancies.
The report will contain, as a minimum, the following information about each nonconforming item:
• Description and exact location
• Reference to applicable detail of approved plans/specification
• Name and title of each individual notified and method of notification
• Resolution or corrective action taken.
In addition to communicating non-conformance issues immediately to the designated parties,
any non-conformance item that cannot be corrected the same day will be recorded in a non-

conformance punch list log. The log will document the date and description of the
non-conformance, associated report number of when the non-conformance was noted, action
required to clear the item and the date when the item was corrected and cleared. The log will be
maintained and tracked by our Project Manager and will be distributed regularly to the
designated parties to assure that all items are cleared in a timely fashion. This log will help
prevent non-conformances from lingering to a point where they become difficult to correct due to
additional construction or obstruct the ability to receive a certificate of occupancy.
When all items on our nonconformance log have been resolved, our Project Manager will issue
final documentation of compliance for the items covered in our inspection program.
Our project manager will track and compile the progress of our testing and inspection activities
and submit an interim report. The weekly to bi-weekly report will include a summary of all
testing and inspection services performed for the period, any non-conforming items and
resolutions, the non-conformance log, copies of testing and inspections reports, and a concrete
compressive strength test summary. -
Provide Timely Reports. Terracon personnel will complete written inspection reports for each
inspection visit and provide the reports on a timely basis. Terracon personnel will furnish these
reports directly to the building official, the design team, and others as'designated. These
reports will be organized on a daily format and will be electronically submitted every 2 to 5 days.
Reports documenting non-conformances will be distributed within 24 hours.
These reports will:
• Describe inspection and tests made, with applicable location
• Indicate how nonconforming items were resolved
• List unresolved items, parties notified, time and method of notification
In order to achieve better communication and faster turnaround of reporting, we propose to
utilize our automated Construction Materials Engineering Laboratory Management System
(CMELMSTM) on this project. Data and reports will be electronically entered by field staff each
day. A hardcopy of the report can then be printed and personally delivered, sent electronically
via e-mail and, if requested, may be posted to a project web site that can be accessed only by
approved users. CMELMSTM will also track the budget and produce real-time budget reports.
PROXIMITY TO AND FAMILIARITY WITH THE PROJECT AREA
Terracon's Raleigh office is located off of Capital Boulevard in North Raleigh, convenient to both
1-440 and 1-540. This contract will be executed by the staff located in our Raleigh office and thus
travel time to the project site will be no more than 45 minutes. The majority of our professionals
have worked in and around central North Carolina their entire careers and thus are very familiar
with the local geography, soils, and corresponding concerns for projects in the area.

Terracon understands that the project consists of construction of an extension to the Eftand sewer
system and an extension of the City of Mebane's sewer system into the Northern Buckhorn
community. Work will include the installation of approximately 5,370 linear feet of 8 inch gravity
sanitary sewers to serve the Buckhorn areas north of 1-40/85 and 19,514 linear feet of 8 inch
gravity sewers with a 250 GPM pump station and 2,460 linear feet of 6 inch ductile iron force main

Based on our understanding of the project information and our experience with similar projects, we
anticipate providing the services listed below. Field and laboratory test procedures will follow ASTM and
AWS standards.
Terracon will maintain a record of observations and tests and deviations from the Contract Documents. The
reports will be in writing and will be provided to the contractor and owner's agent for each day an inspection
is made.
Terracon will inform the contractor's on-site representative of deviations from the Contract Documents. Any
deviations, which are not corrected will be included in the daily reports and added to the project deviation
log.
Terracon is not authorized to revoke, alter, relax, enlarge, or release any requirements of specifications, nor
to approve, reject, or accept any portion of work.
The testing program will generally include:
1. Structural fill—
Terracon will obtain bulk samples of on-site cut and/or borrow material for soil laboratory testing.
Soil laboratory testing will consist of a standard Proctor test (ASTM D 698),Atterberg Limits test,
sieve analysis and a natural moisture content test.
Terracon will perform density testing on the structural fill placed in the utility trenches using the sand
cone density test method (ASTM D 1556), drive tube test method (ASTM D 2937) and/or the
nuclear gauge density test method (ASTM D 2922).
The percent compaction will be calculated by comparing the field density to the maximum dry
density as determined by the standard Proctor test result.
2, Asphalt Paving—
Terracon will provide a coring crew as requested to determine the thickness and density of the new
asphalt pavement. Thickness testing will be performed in accordance to ASTM D 3549. Density
testing will be performed in accordance with ASTM D 1188 or ASTM D 2726 (Target specific gravity
of HMA provided by supplier).
3. Concrete—
Terracon will provide an AGI certified engineering technician to perform slump, air content, unit
weight and temperature tests during concrete placement. The technician will mold 5 concrete
compression test specimens for each concrete mix placed each day. Concrete samples will be taken
at the point of discharge wherever possible.
One slump test will be performed for each strength test. Additional slump tests may be performed if
the concrete consistency changes.
One air content test will be performed for each strength test for air-entrained concrete.
Temperature testing will be performed for each strength test and hourly when the air temperature is
below 40 degrees F or above 90 degrees F.
The lab-cured concrete specimens will be transported to our laboratory and placed in a controlled
curing environment. From each set of 5 cylinders, 1 will be tested at 7 days and 3 will be tested at 28
days for compressive strength. The 5t'cylinder will be held in reserve.
4. Foundations—
Verify foundation bearing capacity with a Dynamic Cone Penetrometer(DCP)in hand auger
boreholes.
Scheduling
We understand that our services will be provided on an as-requested basis with scheduling by the
contractor or the owner's representative. Terracon will not be responsible for scheduling our services and
will not be responsible for tests that are not performed due to a failure to schedule our services on the
project. It is the contractor's responsibility to inform us of work that is being conducted on-site that may
require our services. Please also note Terracon must be notified at least 24 hours in advance of the next
scheduled workday or must be notified that work has been cancelled prior to our site visit.
Our services specifically exclude job site safety responsibility, and our services do not relieve any
contractor/subcontractor from complying with project specifications.

Our total fees will be highly dependent upon the contractor's actual construction schedule. We have
included the attached proposed cost estimate summary based on our understanding of your needs and our
experience with similar projects. The provided cost is only an estimate and the project will be billed on a
time and materials basis. Some fluctuation should be anticipated in the final cost of the proposed materials
testing budget.
Overtime is defined as all hours in excess of eight hours per day, Monday through Friday, hours worked
before 6:00 a.m. and after 6:00 p.m. and all hours worked on weekends and holidays. Overtime rates will
be billed at 1.5 times the hourly rate quoted. For all work scheduled or cancelled after arrival to the site, a
two-hour minimum charge is required. You will be invoiced on a monthly basis for services actually
performed.
