HomeMy WebLinkAbout2011-292 Health - UNC School of Public Health - Interim Health Director Service Agreement extension~ ~q?- ORANGE COUNTY Interim Health Director Service Agreement NORTH CAROLINA THIS AMENDMENT, made and entered into this the day of August, 2011, by and between Orange County, North Carolina a body politic and corporate of the State of North Carolina (hereinafter, the "County") on behalf of the Orange County Board of Health (hereinafter, "Board") and The University of North Carolina at Chapel Hill on behalf of its School of Public Health (hereinafter, the "University"). WITNESSETH: WHEREAS, the County and University entered into an Interim Health Director Service Agreement dated, May 24, 2011, to provide for the services of an Interim Health Director to the County in accordance with Article 10, Chapter 126 of the North Carolina General Statutes with respect to Public Health Services ("Original Agreement"); and WHEREAS, the County and University desire to amend the Original Agreement, while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 4.a The term of this Agreement shall be extended from August 31, 2011 through November 30, 2011, unless terminated sooner by the Parties. In no event shall this Agreement extend beyond November 30, 2011, unless there is a writing modifying this Agreement and signed by both Parties. S.a. Compensation for Basic Services. Compensation for Basic Services described in section 3 shall include all compensation due the University from the County for all services under this Agreement, including mileage of Key Personnel. There are no additional reimbursable expenses included in this Agreement. The County shall reimburse the University on a monthly basis for eighty percent of the salary, fringe benefits and health insurance of Key Personnel, which amounts to nine thousand two hundred seventy-one dollars and 20/100 per month ($9,271.20), reduced proportionately on a daily basis for any portion thereof. In addition, the County will pay a lump sum for mileage in the amount of four hundred and fifty dollars ($450) per month, reduced proportionately on a daily basis for any portion thereof. The maximum amount payable for Basic Services shall not exceed sixty-eight thousand fifty dollars ($68,050) payable in equally monthly installments. Except for the changes set out herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment.
