The PROGRAM MATERIALS may be temporarily transferred to back-up computers in the event of malfunction of CUSTOMER's computer. b. CUSTOMER shall not, without prior written permission from LOGISYS, sell, assign, transfer or otherwise make available for any purpose, whether gratuitously or for valuable consideration, the PROGRAM MATERIALS or any other documentations, models, description, fortes, or instructions or other information relating thereto, to any individual, business organization, governmental body or third party of any nature, other than authorized employees of CUSTOMER. This subparagraph applies only to LOGISYS's proprietary software and documentation, and not to CUSTOMER's data, which is the CUSTOMER's property. f LOGISYS-License and A-fainte"Once Agreement ORANGE:COMITY, Chapel Hill,AtC Page 4 of LOGISYS acknowledges that CUSTOMER is a governmental entity and as such is subject to regulations governing public information. CUSTOMER will notify LOGISYS in the event a request for information may conflict with the terms cited herein. However, CUSTOMER will release information in accordance with the then prevailing laws governing such matters. LOGISYS agrees to hold CUSTOMER harmless from the terms of this Agreement in such event when CUSTOMER would have been in violation of public information laws had information been withheld. The provisions of this paragraph shall survive the termination of the remainder of this Agreement for a period of five(5)years from the date of termination. 7. LIMITATION OF LIABILITY LOGISYS shall not be liable to CUSTOMER for any loss or damage to CUSTOMER or any third party, caused by failure of the computer programs furnished hereunder to function, in whole or in part, nor shall LOGISYS be liable for any incidental or consequential damages under this Agreement. & WARRANTY LOGISYS warrants that the SERVICES and PROGRAM MATERIALS furnished and installed pursuant to this Agreement shall perform to their published specifications and shall be free of program coding errors. LOGISYS's obligation under this warranty shall be to remedy any failure to perform to the published specifications and to correct program coding errors as soon as is reasonably possible after notification by CUSTOMER of such failure to perform, or coding errors. Further, CUSTOMER shall warrant in writing that all copies of the PROGRAM MATERIALS stored in CUSTOMER's computer have been destroyed. 10. CONTINUATION OF BENEFITS This Agreement shall inure to the benefit of and be binding upon the heirs, executors, administrators, assignees and successors of the respective parties. Ii. NON-WAIVER No delay or failure of LOGISYS in exercising any right hereunder and no partial or single exercise thereof shall be deemed of itself to constitute waiver of such right or any other rights hereunder. Enter a username and password and select Apply. The system validates entries in both the User- name and Password fields. Characters typed into the Password field display as* (asterisk)charac- ters. If the username and password are valid,the MobileTrak application opens. If the username and/or password are invalid, a validation failure message opens. To enable MDT-enabled units to login to the MobileTrak application, the usemame used to login to the application must be identical to the MDT unit number. Once the MDT unit has logged into MobileTrak,the unit is automatically marked as MDT-enabled in the CAD system.When the user quits MobileTrak,the unit is unmarked as MDT-enabled unit. The Attached Unit queue can be pre-configured to sort on a display field. The Main View tab provides a system for monitoring units attached to Calls for Service. The system displays an updated list of attached units in the following columns:Unit, Status, CFS#,Res.Agency,and Status Change.Alternate unit information can be configured to be shown in the Attached Unit queue. You can click on the column headers to sort the units in the list. You can adjust the width of the columns by dragging the borders between column headers. The set- tings return to default when you exit MobileTrak Data in the Unit column displays the number of the Unit. Data in the Status column displays the status of a unit. In addition the resource line can be config- cared to a color to display a unit's status. 02/22/11 1-3 SYSTEM DESCRIPTION MOBILETRAK Data in the CFS#column displays the Call for Service number to which the unit is attached. Data in the Res. Agency column displays the Agency to which the unit belongs. Data in the Status Change column displays the last the time the unit's status was changed. Dispatchers select available units, attach them to a Call for Service,then track these units as they pass through the various changes in status. When a unit is available and ready for dispatch, it dis- plays site's unit status abbreviation in the status column.For example,AV for Available or OD for Off Duty. MobileTrak automatically updates a unit's status when any of the following actions occur. • A unit is attached to a CFS • A unit is detached from a CFS • The CFS is completed Mobile units can update their status in MobileTrak. Typically the updates consist of units chang- ing to"enroute"status after receiving a dispatch,then reporting"on scene"upon arrival. If a unit updates its status to"available,"the system detaches the unit from the current CFS, if it is attached to a CFS. When a unit chooses a status command button, the status of the unit changes accordingly in the MobileTrak system. LogiSYS can configure your system to display preset status buttons on the mobile data computers. The unit status buttons are displayed in the order that they were configured. The status buttons highlight to show the unit's current status. LogiSYS can configure your system to include a preset Emergency status button to provide a quick method for MDT-enabled units to send a silent,high-priority"Officer Needs Help"signal to the MobileTrak system. The system routes the signal immediately to every dispatcher monitoring the signalling unit, or to all dispatchers if the unit is not currently active on any dispatcher's screen. When an officer chooses the Emergency status button, the system receives an emergency signal and sounds an alarm to dispatchers monitoring the unit.A comment is added to the CFS that the officer went to emergency status,and a message is also added to the UnitTrak database and to the transaction log to indicate that the unit went to emergency status. For every dispatcher monitoring the unit, the system displays the message: "Unit<#>notified CAD of emergency Last location: <location>". 1-4 02/22/11 SYSTEM DESCRIPTION MOBILETRAK Unit Co notified CAD of emergency Last location:Unknown Acknowledge Choosing Acknowledge adds a comment to the CFS stating"Host: User acknowledged EMER- GENCY for unit<#>". ("Host" is the user's computer and"User" is the logon name for the per- son who acknowledged the message.) When a dispatcher monitoring the unit chooses Acknowledge on the emergency message,the mes- sage clears from all dispatch stations. If the unit isn't attached to a CFS,a message is added to the UnitTrak database and to the transac- tion log to indicate that the unit went to emergency status,however the Last location may display as"Unknown". If the status bar functionality is enabled,a small gray emergency icon proceeded by the letter`B" displays in the lower-left comer of the MobileTrak program status bar. When an MDT-enabled unit initiates an emergency status,the icon remains gray. After a dispatcher acknowledges the emergency,the icon turns black to alert the officer that his emergency has been acknowledged. When the officer selects the icon after the acknowledgement,the color returns to gray until the next emergency and acknowledgement. For menu functionality see page 1-7. The following is a summary of the main menu bar on the CFS Manager window.Menu commands are explained in more detail throughout the System Description as they apply to a particular function. The menu bar and tabs(see page 1-12)display underlined letters for shortcut keys.A shortcut key is a way to use the keyboard rather than the mouse to execute a command. To use a menu shortcut key,press the ALT key and the underlined letter key at the same time. For example, choose ALT+F and the File menu opens. The Day/Night colors can be personalized for users to provide for optimal individual settings by System Administrators or other authorized personnel. When a unit equipped with MobileTrak mobile software is attached to a CFS,the system sends a digital dispatch to the unit without any further action by the dispatcher. This is known as a"Silent Dispatch."The mobile unit receives the dispatch and a new menu option of Silent Dispatch appears on the CFS Manager main menu bar. In addition,the map zooms to the CFS and the CFS report is automati- cally opened. The Silent Dispatch menu option contains one menu item listing the CFS Number to which the unit is attached. When the user selects the CFS Number,the CFS is loaded to the CFS Fields tab for service, and the Silent Dispatch menu option disappears. LogiSYS can configure your system to trigger an assigned sound when a silent dispatch is sent to an MDT equipped unit by a dispatcher. A unit equipped with MobileTrak mobile software may also attach itself to an existing CFS and/or update its status by using the status update command buttons. (See page 1-3.) This option controls CFS report display separately for units than for general administrative users(such as fire chiefs)who are not logged in as a unit. When a unit logging into MobileTrak is associated with a recognized agency or agencies in the datafile,the unit's CFS Report privileges are restricted. When a CFS is not available for a CFS Report the same criteria is also applied to whether the mobile unit can view the CFS,i..e. right- click and select View CFS. Although a unit can view CFSs in the MobileTrak's CFS Queue, a unit's ability to view a CFS Report is based on what units have been dispatched to the CFS in question. Resource Group selection will either be removed or disabled for mobile users.However,the list of resource groups will be predefined with configuration so that a user only sees CFSs related to those predefined groups in their CFS queue. A logged-in unit can view a CFS Report only for CFSs that have had a resource dispatched from the logged-in unit's agency.Additional configurations may allow units to view additional calls. A logged-in unit can view a CFS Report for calls that have had a resource dispatched from any of the agencies defined as viewable for the logged in unit's agency. This allows your system to be configured so that,for example, county fire units can view calls associated with city fire units, even when no county fire units were dispatched to the call. This allows for more flexibility in viewable calls than would be available if units are restricted to only calls associated with units from their own agency. In subsequent years, the full amount of the annual License and Maintenance Fees will be payable on the first business day of July of each year. 5, MAINTENAiI CE SERVICES In addition to the License provided in Paragraph 1 (a) hereinabove and in consideration of the charge specified in Paragraph 2, LOGISYS will provide to CUSTOMER Maintenance Services' LOGISYS-License and Maintenance Agreement Page 3 of 5 ORANGE CO UNITY, Chapel Hill,NC The Maintenance Program entitles CUSTOMER to receive the following benefits at no additional charge: — Correction of any defect in the manuals,forms or programs; — Updates of user guides as required to insure their continued usefulness; — Toll-free assistance by telephone or by mail regarding the use and operation of the system, twenty-four(24)hours per day; — Upgrades to the PROGRAM MATERIALS. For the purpose. of this paragraph, the term "upgrades" shall mean any expansions, modifications, or improvements to the PROGRAM MATERIALS which relate to the operating performance but do not change the basic function of the PROGRAM MATERIALS and which are not regularly charged for by LOGISYS to other clients as options. In the event that additional services are required, these services will be charged to CUSTOMER at LOGISYS's then current standard time and material costs. These upgrades will insure that CUSTOMER's version of the PROGRAM MATERIALS be identical to the most current version available to LOGISYS's new clients. 6. PROTECTION AND SECURITY CUSTOMER acknowledges that the PROGRAM MATERIALS constitute a valuable asset and trade secret of LOGISYS and that LOGISYS has a proprietary right and interest in and to the PROGRAM MATERIALS and that any information with respect thereto is confidential. Accordingly, CUSTOMER agrees as follows that: a. The PROGRAM MATERIALS shall not be used for the benefit of any entity other than CUSTOMER's and/or on any computer system other than CUSTOMER's or at any location other than the location specified in this Agreement. The PROGRAM MATERIALS may be temporarily transferred to back-up computers in the event of malfunction of CUSTOMER's computer. b. CUSTOMER shall not, without prior written permission from LOGISYS, sell, assign, transfer or otherwise make available for any purpose, whether gratuitously or for valuable consideration, the PROGRAM MATERIALS or any other documentations, models, description, forms, or instructions or other information relating thereto, to any individual, business organization, governmental body or third party of any nature, other than authorized employees of CUSTOMER. This subparagraph applies only to LOGISYS's proprietary software and documentation; and not to CUSTOMER's data, which is the CUSTOMER's property. LOGISYS-License and Maintenance Agreement Page 4 of S OR4]VGE COUNTY, Chapel Hill,NC LOGISYS acknowledges that CUSTOMER is a governmental entity and as such is subject to regulations governing public information. CUSTOMER will notify LOGISYS in the event a request for information may conflict with the terms cited herein. However, CUSTOMER will release information in accordance with the then prevailing laws governing such matters. LOGISYS agrees to hold CUSTOMER harmless from the terms of this Agreement in such event when CUSTOMER would have been in violation of public information laws had information been withheld. The provisions of this paragraph shall survive the termination of the remainder of this Agreement for a period of five(S)years from the date of termination. 7. LIMITATION OF LIABILITY LOGISYS shall not be liable to CUSTOMER for any loss or damage to CUSTOMER or any third party, caused by failure of the computer programs furnished hereunder to function, in whole or in part, nor shall LOGISYS be liable for any incidental or consequential damages under this Agreement. 8. WARRANTY LOGISYS warrants that the SERVICES and PROGRAM MATERIALS furnished and installed pursuant to this Agreement shall perform to their-published specifications and shall be free of program coding errors. LOGISYS's obligation under this warranty shall be to remedy any failure to perform to the published specifications and to correct program coding errors as soon as is reasonably possible after notification by CUSTOMER of such failure to perform, or coding errors. EXCEPT FOR TBE FOREGOING WARRANTIES LOGISYS MAKES NO WARRANTIES EITHER EXPRESS OR IMPLIED WITH RESPECT TO THE SERVICES AND PROGRAM MATERIALS INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 9. TERMINATION a. CUSTOMER may terminate this Agreement by giving LOGISYS sixty (60) days prior written notice by registered mail with return receipt requested. After this period of sixty (60) days, the CUSTOMER's obligations for payments as described in Section 4 will cease in proportion to services rendered. In the event.that CUSTOMER shall at any time neglect, fail or refuse to comply with the terms of this Agreement, LOGISYS may at its option elect to terminate this Agreement by giving CUSTOMER sixty(60) days prior written notice with return receipt requested. c. Upon termination of this Agreement, CUSTOMER shall deliver within thirty (30) days to LOGISYS all PROGRAM MATERIALS, including but not restricted to computer program disks, support documentation, printed materials furnished hereunder or subsequently by LOGISYS and copies of said materials made by CUSTOMER. Further, CUSTOMER shall warrant in writing that all copies of the PROGRAM MATERIALS stored in CUSTOMERs computer have been destroyed. 10. CONTINUATION OF BENEFITS This Agreement shall inure to the benefit of and be binding upon the heirs, executors, administrators, assignees and successors of the respective parties. 11. NON-WAIVER No delay or failure of LOGISYS in exercising any right hereunder and no partial or single exercise thereof shall be deemed of itself to constitute waiver of such right or any other rights hereunder. This Agreement constitutes the complete and exclusive statement of the Agreement between the parties which supersedes all proposals, oral or written, and shall not be modified or altered except in writing by both parties.
