PURPOSE: To approve an inter-local agreement between Orange County and the Town of
Chapel Hill for the mutual purchase of GIS products from the Town's vendor, Sanborn, Inc.
BACKGROUND: On February 4, 2003, the Board of Commissioners approved an
endorsement for acquiring updated aerial photography and digital orthophotos for use with the
County's Geographical Information System (GIS). The Town of Chapel Hill has contracted with
Sanborn, Inc. of Charlotte to obtain color digital orthophoto mapping services and products
including the County area outside of Chapel Hill/Carrboro at 1" = 200'. The Town has proposed
an inter-local agreement which allows the County to participate in purchasing the orthophotos
from the Town based on current available funds and proposed funds for FY 2003-04 subject to
Board approval. The cost of participation will. be $65,475.80.
FINANCIAL IMPACT: An allocation of $30,000 for aerial photography is already available
through funds previously appropriated by the BOCC under the IT Plan Capital Project
Ordinance. The County's "fair share" cost for color aerial photography and associated technical
services will be fully covered by that appropriation. The cost to the County for the production
and delivery of digital orthophotos will be $35,475.80 more. Funding for the acquisition of digital
orthophotgraphy would be considered for inclusion for next fiscal year in the recommended
2003-2013 Capital Investment Plan to be presented to the Board this spring.
RECOMMENDATION(S): The Manager recommends that the Board approve the inter-local
agreement with the Town of Chapel Hill, subject to final review by the County Attorney, and
authorize the Manager to sign:

Digital Orthophoto Services and Products
THIS AGREEMENT, made this day of , 2003, by and between the Town
of Chapel Hill, North Carolina (hereinafter referred to as the "Town") and Orange
County, North Carolina (hereinafter referred to as the "County").
WHEREAS, the County participated with the Town when the Town issued a
Request for Proposals (hereinafter the "RFP") on December 12, 2002 to obtain digital
orthophoto mapping services and products; and
WHEREAS, in January 2003, the County participated with the Town in
evaluating all proposals received and in selecting Sanborn Corporation, Charlotte, NC
(hereinafter referred to as the "Contractor") to provide digital orthophoto mapping
services and products as described in the Contractor's proposal and in the attached
January 23, 2003 detailed description of project deliverables; and
WHEREAS, the Town's contract with the Contractor includes certain digital
orthophoto services and products requested by the County.
NOW, THEREFORE, in consideration of the mutual covenants, promises, and
representations. contained herein, it is agreed between the parties hereto as follows:
the County agrees to purchase from the Town, upon satisfactory
completion by the Contractor in accordance with the proposal
specifications and the attached January 23, 2003 description of
deliverables, and for the prices indicated, the following digital
orthophoto services and products included in the Town's contract
with the Contractor.
*Color aerial photography, ground control, and FART
(for 445 each 1 "=200' scale color digital orthophotos)... $24,124.39
*Additional copy of digital data for Chapel Hill
and Carrboro areas ............................................. $ 1.475.00
Orange County Total $25,599.39
2. Subject to approval of funding in Fiscal Year 2003-2004, the County
further agrees to purchase from the Town, upon satisfactory completion by
the Contractor in accordance with the proposal specifications and the
attached January 23, 2003 description of deliverables, 445 each 1 "=200'
scale color digital orthophotos to be generated from the photography,
ground control, and FART listed above, for a price of $39,876.41.

3. Concurrent with entering this agreement, the County agrees to execute a
purchase order to the Town for the requested services and products
described above.
4. Upon completion and acceptance of the County services and products, and
receipt of invoices from the Contractor, the Town will invoice County and
the County agrees to promptly pay the agreed upon costs.
In witness whereof, the parties hereto have executed this agreement the day and year first
above written.
