AGREEMENT REGARDING THE GIFT OF THE QUENTIN
W. PATTERSON PHOTOGRAPHIC ART COLLECTION PROJECT
THIS AGREEMENT is made by and between ORANGE COUNTY, a body
politic and corporate, a political subdivision of the State of
North Carolina, herein "County" or "the County," and ORANGE SOIL
& WATER CONSERVATION DISTRICT, a governmental subdivision of the
State of North Carolina and a body corporate and politic, herein
"District" or "the District."
WITNESSETH
WHEREAS, Quentin Patterson, who passed away on December 31,
2002 at the age of 83, was a long time employee of the Soil
Conservation Service of the U.S. Department of Agriculture, a
long-serving member of the District Board of Supervisors and an
accomplished photographer whose photographs of nature,
landscapes, animals and buildings and related slide show programs
that include audio tapes (hereafter collectively referred to as
"the Quentin W. Patterson Photographic Art Collection" or "the
Collection") were regularly used for educational presentations
both locally and nationally; and
WHEREAS, Evelyn Patterson, an educator and Quentin
Patterson's widow, has expressed an interest in donating to the
District the Quentin W. Patterson Photographic Art Collection and
the sum of $20,000 for public exhibition of the Collection,
education and other public purposes; and
WHEREAS, the District would like to preserve the Quentin W.
Patterson Photographic Art Collection to be used for public
exhibit, education and other public purposes including converting
the slide show programs to video and RCD to enhance their value
and utility for these public purposes; and
WHEREAS, County would like to aid in this Quentin W.
Patterson Photographic Art Collection project by agreeing to
accept the donation of the Collection and the $20,000 on behalf
of the District and to work with the District in the District's
efforts to make the Quentin W. Patterson Photographic Art
Collection project beneficial to the conservation community and
the community at large; and
WHEREAS, County and District desire to enter into this
agreement to formalize their understanding about the
responsibility of each with respect to the Quentin W. Patterson
Photographic Art Collection and the $20,000 gift.
NOW, THEREFORE, County and District agree:
1. County agrees to accept, on behalf of the District, the
Quentin W. Patterson Photographic Art Collection and the sum of
$20,000 upon their being gifted to Orange County by Evelyn
Patterson and to acknowledge these gifts in the name of Quentin
W. Patterson as the Quentin W. Patterson Photographic Art
Collection project gift.
2. County agrees to hold the $20,000, invest it with other
County funds, otherwise account for it separately and pay it over
to the District or to the District's designees upon a request to
do so by duly authorized District representatives for the purpose
of accomplishing the Quentin W. Patterson Photographic Art
Collection project described in this Agreement.
3. District agrees to use the Collection for educational
purposes and to preserve its cultural, historic and artistic
value, to share the Collection as art and to maintain it as a
means of recording culture, history and natural resource
conservation.
4. District and County agree to work together to
accomplish the Quentin W. Patterson Photographic Art Collection
Project described in this Agreement and to ultimately make
available on the District's link to the County's web site so much
of the Quentin W. Patterson Photographic Art Collection that is
desirable and practical.
5. County and District agree to cooperate fully with each
other by all reasonable means and consistent with North Carolina
Law, including the North Carolina Local Government Fiscal Control
Act and the North Carolina Public Records laws, to accomplish the

purpose of the Quentin W. Patterson Photographic Art Collection
project gift.
IN WITNESS WHEREOF, the parties have caused this agreement
to be executed by their duly authorized officers, to be effective
from and after ~~, 2004.
