EASEMENT
THIS EASEMENT, made and entered into this the _ day of , 20_, granted
by ORANGE COUNTY (hereinafter referred to as "Grantor"), to the STATE OF NORTH
CAROLINA, a body politic and corporate (hereinafter, referred to as "Grantee"), whose
mailing address is State of North Carolina, State Property Office, 1321 Mail Service Center,
Raleigh, NC 27699-1321:
WITNESSETH:
THAT, WHEREAS, Grantor owns in fee simple certain real property situated, lying,
and being in Chapel Hill, Orange County, North Carolina, and being more particularly described:
(a} in an instnunent recorded in Deed Book 2894 at Page 274 of the Orange County Registry,

North Carolina (the "Landfill Property"), (b) in an instrument recorded in Deed Book 2894 at
Page 283 of the Orange County Registry, North Carolina, and (c) in an instrument recorded in
Deed Book 1009 at Page 437 of the Orange County Registry, North Carolina (clauses (a), (b) and
(c) collectively, "Grantor's Properties").
WHEREAS, the University of North Carolina at Chapel Hill ("University") and Grantor
are parties to that certain Landfill Gas Agreement, dated as of February 17, 2009 (the "LFG
Agreement"), which requires University to collect methane gas from the landfill located on
Eubanks Road, Chapel Hill and transfer the gas by pipeline to a property located off of
Homestead Road, Chapel Hill for use as an alternative energy source (the "LFG Project").
WHEREAS, the LFG Agreement requires Grantor to grant the University, without
additional University payment beyond the compensation set forth in the LFG Agreement, such
easements through the Landfill Property and other properly owned by the Grantor as may be
necessary for the University to drill methane gas extraction wells, and to install pipelines, lateral
lines, header lines, pumps, blowers, condensate. knock-out vessels, a flare, and other related
equipment on Grantor's Properties (collectively, the "LFG Equipment"), and a ductbank,
electrical lines and other related equipment on Grantor's Properties (the "Duckbank
Equipment").
WHEREAS, the execution of this instrument for and on behalf of the State of North
Carolina has been duly approved by the Council of State by resolution adopted at a meeting held
in the City of Raleigh, North Carolina, on the 7th day of December, 2010.
NOW, THEREFORE, in consideration of the sum of ONE DOLLAR ($1.00) and other
good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor does

hereby grant unto Grantee, its successors and assigns, the exclusive right, privilege and easement
now and hereafter for ingress and egress, together with the right to construct, install, maintain,
operate, enlarge, replace and use the LFG Equipment and Ductbank Equipment by permanent
easements and temporary construction easements therein, upon and across Grantor's Properties
in Chapel Hill, Orange County, North Carolina, and more particularly described as follows:
Gas Easement 1
Beginning at a point being the southeast corner of the property of the Town of Chapel
Hill, Deed Book 245, Page 788, having NAD 83 (NSRS 2007) grid coordinates of N:

IT IS UNDERSTOOD AND AGREED BETWEEN GRANTOR AND GRANTEE:
1. Grantee, through the University and the University's employees, contractors and
agents, shall have the right to go in and upon Grantor's Properties to construct, install,
reconstruct, work upon, repair, alter, inspect, and in general do any other thing necessary to
construct, install, maintain and operate said LFG Equipment and Ductbank Equipment for the
purposes aforesaid.
2. Nothing in this Agreement is to be construed to diminish Grantee's existing.
license rights relating to the Landfill Property set forth in the LFG Agreement. The parties agree
that all terms and conditions in the LFG Agreement remain in full force and effect.
3. For the purpose of construction, installation, operation and maintenance of the
LFG Equipment and Ductbank Equipment, Grantee shall have the right of ingress to and egress
from the easement areas over the lands of Grantor adjacent to the easement areas and lying
between public or private roads and the easement areas in such manner as shall occasion the least
practicable damage and inconvenience to Grantor.
4. Grantee shall restore the easement areas after installation of the LFG Equipment
and Ductbank Equipment to approximately the same condition as before said installation,
ordinary wear and tear excepted; provided that Grantee shall not be required to replant trees or
shrubs removed during the construction of the LFG Equipment and Ductbank Equipment.

5. In accordance with and subject to the LFG Agreement, Grantee shall be
responsible for repair of any damage to Grantor's Properties, real and personal, caused by the
construction, installation, operation and maintenance of the LFG Equipment and Ductbank
Equipment, or in the exercise of its right of ingress and egress.
6. The temporary construction easements described above shall expire upon
completion of the installation of the LFG Equipment and Ductbank Equipment.
7. Grantee acknowledges it takes all easements granted herein subject to Grantor's
Municipal Solid Waste Landfill Facility Permit No. 68-01 (the "Permit") and all requirements,
terms, and conditions contained within the Permit. In accordance with and subject to the LFG
Agreement, Grantor shall take reasonable steps to ensure Grantor's responsibilities pursuant to
the Permit do not interfere with Grantee's use of the easement areas. In the event the
requirements, terms, or conditions of the Permit, or actions associated therewith, cause
unreasonable interference with Grantee's use of the easement areas, Grantor and Grantee shall be
responsible for mitigating any such unreasonable interference in accordance with the terms of the
LFG Agreement.
8. If Grantee abandons the use of the easement areas, the easement areas shall revert
back to Grantor.
9. That by acceptance of these easements, the Grantee binds itself and its successors
and assigns to the foregoing conditions.
TO HAVE AND TO HOLD the aforesaid rights, privileges and easements unto said
Grantee, its successors and assigns, for so long as Grantee maintains said LFG Equipment and
Ductbank Equipment and no longer.

AND Grantor covenants that Grantor is seized of said premises in fee and has the right to
convey the temporary construction easements and the permanent easements herein granted; that
the same are free from encumbrances and that Grantor will warrant and defend title to the same
against the claims of all persons whomsoever.
