AGREEMENT BETWEEN
THE ORANGE COUNTY HEALTH DEPARTMENT
AND
THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL
SCHOOL OF DENTISTRY
FOR ITS
DEPARTMENT OF DENTAL ECOLOGY
THIS AGREEMENT, made and entered into this the first day of January, 1998 by and
between The Orange County Health Department hereinafter referred to as "The Health
Department" and The University of North Carolina School of Dentistry, for its Department
of Dental Ecology hereinafter referred to as "The School of Dentistry."
WITNESSETH
WHEREAS, The Health Department desires the services of one Dental faculty to
direct the Dental Service of the Orange County Health Department for the period
January 1, 1998 through June 30, 1998.
WHEREAS, the Health Department desires to reimburse the School of Dentistry
for the faculty's services;
WHEREAS, the School of Dentistry wishes to provide the services of one Dental
faculty to the Health Department;
NOW, THEREFORE, in consideration of the premises and of the following
mutual promises, covenants, and conditions, the Health Department and the School of
Dentistry agree as follows:
The School of Dentistry will provide the services of one Dental faculty to the Health
Department for the purpose of directing the dental program in the Health
Department.
2. The Health Department will pay the School of Dentistry five thousand ($5,000) in
return for this service.
3. The School of Dentistry will bill the Health Department before the close of each
quarter for $2,500.00, and the Health Department will reimburse the School of
Dentistry upon receipt of said bill.
4. The person whose services are to be provided pursuant to the Agreement is, for all
purposes, an employee of the University of North Carolina School of Dentistry.

5. While the faculty is working at the Orange County Health Department, professional
liability insurance coverage will be provided by the School of Dentistry with
coverage of at least $1 million, per incident, $3 million per year. The malpractice
provider carrier is Medical Mutual, PO Box 97968, Raleigh, NC 27624.
6. The Health Department shall provide participating faculty with access to first aid
and emergency care for illnesses and incidents occurring on the Health
Department's property. The individual faculty member will be responsible for the
cost of such care. Faculty who experience an HIV exposure incident should go to
the emergency room at UNC Hospitals for appropriate emergency counseling and
treatment.
7. This Agreement shall run for a period of six months, from the 1St day of January,
1998 to the 30"' day of June 1998, and shall be renewable thereafter on an annual
basis.
8. This Agreement or its renewals may be terminated at any time without penalty by
either party provided that written notice of such termination is furnished to the other
party at least 90 days prior to termination. In the event of such termination any
payment due shall be prorated to the date of termination.
9. This agreement contains the entire understanding of the parties and shall not be
altered, amended or modified, except by an agreement in writing executed by the
duly authorized officials of both parties.
10. The laws of North Carolina shall govern the validity and interpretations of the
provisions, terms and conditions of this agreement.
11. The Health Department and the University of North Carolina School of Dentistry
hereby agree that, in its educational and/or employment practices both parties will
not discriminate against any person because of race, color, religion, sex, national
origin, age, or disability.

IN WITNESS WHEREOF, the parties have hereunto signed this Agreement in
their official capacities on the day and year listed below.
