PURPOSE: To enter into an agreement with SeniorNet, an international
community of computer -using seniors, to establish and
maintain a computer learning center for a minimum of two
years at the Chapel Hill Senior Center and approve a budget
of $10,000, provided by SeniorNet ($1000) and BellSouth
$9000),to cover all startup and operational expenses for the
project. No County funds will be used for this project and
continue support will come from user fees beyond the grant
period.
1: SeniorNet is a volunteer- based, non - profit organization
serving adults 55 and over. It has an international
membership of over 22,000 members and over 100 Learning
Centers throughout the U.S. More the 75,000 seniors have
been introduced to computers through SeniorNet and it has
enriched the lives of seniors. In designating the Chapel Hill
Senior Center and the Dept. on Aging as the organizing group
for the Learning Center in our area, SeniorNet would provide
$1,000 each year for two years for the Center volunteer
coordinator's participation in a national SeniorNet event and

other center operation expenses. IBM would provide six
computers and two printers and BellSouth would provide
$18,000 ($9,000 per year)for any startup /operational expenses.
The Dept. on Aging's Senior Center staff would be responsible
for the following:
(1) provide a suitable room at the Chapel Hill Senior Center
with furnishings for the Learning Center. (BellSouth
would cover the upfit expenses.)
(2) maintain the Learning Center for five years.(Agreement
includes a provision to terminate in two years if not
satisfactory.)
(3) require SeniorNet membership of participating seniors.
(Scholarships are available.)
(4) identify and retain a Learning Center Coordinator on a
volunteer basis. The Coordinator would be responsible
for organizing classes, recruiting instructors and
students, and - monitoring Center activities.
(5) heavily recruit IBM and BellSouth seniors to serve as
coordinators, instructors and members of a SeniorNet
Advisory Council.
(6) identify a core group of senior volunteers and
instructors who would attend special training in
SeniorNet operations and curriculum.
(7) provide training in using SeniorNet Online through Center
classes.
(8) cooperate with IBM and BellSouth representative(s) to
market the SeniorNet program, especially to IBM and
BellSouth Seniors /retirees.
(9) provide financial reports and an annual evaluation of the
SeniorNet Program.
RECOMMENDATION: The Manager recommends approval:(1)to sign the agreement
with SeniorNet for establishing a Learning Center and
(2) to accept and budget $10,000 from non - county funds
provided by SeniorNet and BellSouth for upfit and
operations.

Upon acceptance of your proposal to become a SeniorNet Learning Center, you will be
asked to sign this contract, including the document labeled Appendix A. Your
organization's signature on the last page of the letter will make this contract, your Letter
of Intent and Appendix A a binding agreement between the designated Organizing Group
and SeniorNet. The contract can be amended upon agreement by both parties.
1. Defined Terms. A number of terms used throughout this letter and Appendix A
are printed with capitalized initial letters and have meanings specific to this
Agreement. These terms are and are defined as follows:
(a) Qr=izing Group: The organization that made the proposal to SeniorNet
for the purpose of establishing a SeniorNet Learning Center in its
community.
(b) IBM and Bell South Seniors: an IBM or Bell South retiree or employee
age 55 and over, or a senior relative of an IBM or Bell South employee.
(c) SeniorNet Members: older adults age 55 and over who have paid the
current membership fee to SeniorNet.
(d) Equi= nt computers, printers, modems, phones and other peripherals, as
well as software needed to operate a SeniorNet Learning Center that is the
subject of this Agreement.
(e) Facility: Name and address of SeniorNet Learning Center site, the
location which will house the equipment at which computer and
telecommunications classes are offered.
(f) Learning Center Coordinator: an individual, generally a senior volunteer
who organizes classes, recruits instructors and students, and monitors
Learning Center activities.
(g) Learning Center Council: a small body of SeniorNet members who will
meet monthly to work with the Center Coordinator to organize classes,
recruit instructors and students, and plan and expedite Learning Center
activities. Officer positions on the Council should include, but are not
limited to a Council President and Network Advocate.
2. Services to be Performed. For the period commencing on execution of this
agreement and ending in five years, Organizing Group agrees to establish and
maintain a SeniorNet Learning Center and provide IBM and Bell South Seniors
and other older adults with computer and telecommunications training at such
Centers, and provide the ability to participate in SeniorNet Online. Such services
shall include:

(a) Establishing and Maintenance of a SeniorNet Learning Center
(i) Agreement to providing a suitable room with furnishings for the
establishment of the Learning Center.
(ii) Agreement to maintain the Learning Center for five years
commencing on the official opening date of the Center.
(iii) Agrees to require SeniorNet membership of participating Seniors.
(Scholarships are available.)
(b) Staffing and Training
(i) Organizing Group shall designate a person to SeniorNet to act as a
contact person for SeniorNet; shall meet as requested by SeniorNet
with local staff of IBM and Bell South to plan and provide such
activities as IBM and Bell South management may reasonably
request in order to promote awareness and stimulate use of the
Learning Center developed under this Agreement.
(ii) Organizing Group shall identify and retain a Center Coordinator
on a volunteer basis without compensation. The Center
Coordinator will be responsible for organizing classes, recruiting
instructors and students, and monitoring Center activities. The
Center Coordinator may delegate these responsibilities through the
establishment of a SeniorNet Learning Center Council.
(iii) Organizing Group shall identify a core group of Senior volunteers
and potential instructors who will attend special training in
SeniorNet operations and curriculum, given before the official
opening of the SeniorNet Learning Center by a SeniorNet staff
member. One designated volunteer will attend a national SeniorNet
event, expenses to be paid by Organizing Group.
(c) SeniorNet Online
(i) Organizing Group agrees to provide training in using SeniorNet
Online through classes offered at the Learning Center.
(ii) Organizing Group will designate a volunteer identified as the
Network Advocate to maintain contact with SeniorNet through
SeniorNet Online and that designated person will broadcast
pertinent information to the Organizing Group and the Center
Coordinator.

(a) Organizing Group shall dedicate the Equipment primarily for use by IBM
and Bell South Seniors and the older adults enrolled as SeniorNet
Members.
(b) In conjunction with the installation and use of the Equipment, (1)
Organizing Group will inspect the Equipment before use and determine
that it is in good and safe working condition; (2) that Organizing Group
will regularly inspect and maintain such Equipment and shall arrange for
maintenance services as specified in the Equipment owner's manual and as
may become necessary from time to time; (3) that it will use such
Equipment only in compliance with any manufacturer's instructions; and
(4) that it will immediately cease using such Equipment at any point that is
unsafe or not in good working condition and will immediately notify
SeniorNet and mutually agree upon disposition and/or replacement of the
Equipment.
(c) Organizing Group shall maintain and provide SeniorNet with satisfactory
evidence of property insurance covering the Equipment, and in the event
of a covered loss or casualty, shall promptly notify SeniorNet of such
occurrence and agree to apply the insurance proceeds in a manner to be
mutually agreed upon by SeniorNet and the Organizing Group.
(d) Organizing Group releases and holds SeniorNet harmless from any and
all claims which may arise from the use of the Equipment while in the
possession of under the control of Organizing Group.
(e) Organizing Group may not loan, give away, or sell the equipment
purchased according to the terms of this Agreement or participate in a
filing of security interests in the Equipment purchased hereunder.
(f) If the Organizing Group is unable to maintain a SeniorNet Learning
Center in the designated geographical area for a continuous five (5) -year
period, then SeniorNet will decide upon disposition of the Equipment
installed on the premises of the then existing SeniorNet Learning Center
no later than forty-five (45) days prior to stopping operation of the
Learning Center.
(a) Organizing Group will make the best effort to ensure that 49% of the
older adults receiving services hereunder are IBM and Bell South Seniors,
and in seeking volunteers to serve as Coordinators, instructors and
SeniorNet Council members, Organizing Group will make the best efforts
to concentrate its recruitment efforts in the IBM and Bell South
community of Seniors.

(b) Organizing Group will cooperate with IBM and Bell South's local
representative(s) in the development and implementation of a marketing
plan to publicize the SeniorNet program, which plan shall be designed
especially to target the IBM and Bell South Seniors.
Organizing Group agrees to provide SeniorNet with quarterly reports on or
before January 1, April 1, July 1, and October 1 of each year, which reports shall
contain such information as may be reasonably requested by SeniorNet.
As part of a yearly report, Organizing Group shall include a written evaluation of
the SeniorNet Program. This report should include information describing the
relative success in attracting participants; participant satisfaction (with emphasis
on IBM and Bell South Seniors satisfaction); corporate client satisfaction;
changes /suggestions for future programming. General comments from Organizing
Group staff and SeniorNet Members (including IBM and Bell South Seniors)
involved in the program would be welcomed. Samples of student work would be
appreciated.
6. Complaints. Organizing Group will receive and respond to any complaints from
any source concerning activities at the Learning Center expeditiously and
professionally and will report such complaints promptly to SeniorNet and consult
with SeniorNet during efforts to resolve such complaints.
7. Audits, Organizing Group shall maintain accurate and complete records to
document its expenditures and other dispositions of funds received pursuant to
this Agreement. SeniorNet will request a yearly account of the expenses.
SeniorNet shall be entitled to see such records during regular business hours after
a reasonable notice.
8. Insurance. Organizing Group shall ensure that its General Liability and
Professional Liability Insurance policies extend coverage to volunteers.
9. General Terms nd Conditions, Organizing Group has read and agrees to be
bound by Appendix A and by the terms and conditions in this letter. Appendix A
is hereby incorporated into and made a binding part of this Agreement. Please
note that you must indicate the address to which we should send any notices under
this Agreement.
10. Compensation, SeniorNet will provide the following funding for years 1 & 2 of
the project in the amount of $1000 each year. These funds are to be used for
transportation and lodging for the coordinator or designated volunteer to a
national SeniorNet event. Residue, if any, may be used for SeniorNet Learning

Center expenses such as supplies, additional software, phone charges, etc.
Additional expenses may be covered by charging a nominal fee for each class
(subject to approval by SeniorNet) and/or raising funds from local sources such as
community organizations and businesses.
In addition, each Learning Center will receive the following:
6 IBM Computers with color monitors
2 color printers
1 Flatbed color scanner
Site licensed copies of Microsoft Works and other popular programs
2 online access accounts
SeniorNet curriculum materials.
• Complimentary memberships.
Coordinators and instructors who teach at least two classes per year
receive complimentary memberships in SeniorNet.
• Participation of the coordinator in a national SeniorNet event.
SeniorNet covers one coordinator's registration fees for an event each of
the next five years; the Organizing Group is responsible for lodging and
travel expenses to and from the conference. Instructors at the Centers can
also participate in the national SeniorNet event.
Continued organizational support.
The organizational support for the Center Coordinator and SeniorNet
Instructors from SeniorNet staff is available by phone and through online
support.
• SeniorNet signage.
SeniorNet signage is provided, including a SeniorNet banner, Learning
Center Map and SeniorNet signage for the door.
• Recognition of Center and the Center sponsor.
Recognition is given in publicity generated by SeniorNet. SeniorNet
Learning Centers are included in our membership brochure and on the
Learning Center map, copies of which are sent in response to all inquiries
about SeniorNet.
• Permission to use the nationally recognized SeniorNet name in conjunction with
the local Center.

Membership as an official SeniorNet Learning Center for 5 years from the date
of the official opening of the Center.
- Permission to charge a fee for each class and/or raise funds from local sources
such as community organizations and businesses.
11. Contribution from the Organizing Group in years 3 -5 of the contract.
Financial support for operational expenses which was provided with the
contribution of $1000 in each of the first two years, will not be provided in years
3 -5 of the contract.
12. Te1m. It is expected that the Organizing Group will make every effort to commit
to the terms of this contract for two years. At the end of the two years, either
party, namely the Organizing Group or SeniorNet may decide that they do not
want to continue in their support of the program. At that time either party may
give a 60 day written notice of their intention to terminate the Agreement. Upon
notification, SeniorNet will work with the SeniorNet Members to find a suitable
location for the Equipment so that the program can be continued in the same
geographic area.
Upon execution by both parties, this Agreement shall be effective commencing
immediately and, unless terminated sooner as provided in Appendix A or in the
above paragraph, shall continue in effect until the expiration of the fifth year. At
that time the Equipment will become the property of Organizing Group and an
opportunity to renew membership in the organization of SeniorNet Learning
Centers will be made available.

Appendix A

(a) Organizing Group agrees that, in performing its obligations under this
Agreement, it will comply with all applicable local, state, and federal laws,
rules and regulations. Further, Organizing Group agrees not to enter into
any subcontracts, employment contracts, or agency relationships for the
purpose of implementing this Agreement which do not specifically require
the subcontractor, employee, or agent thereunder to abide by all applicable
legal requirements. These requirements include, but are not limited to:
licensing and registration laws governing Organizing Group's activities
pursuant to this Agreement; wage and hour laws; privacy legislation;
legislation regarding the handicapped; equal employment opportunity
statutes, executive orders and regulations; the Foreign Corrupt Practices
Act; the Immigration Reform and Control Act of 1986, as amended; and
the Regulations of the United States Department of Commerce relating to
the Export of Technical Data; insofar as they relate to the services to be
performed under this Agreement.
(b) Regarding nondiscrimination in employment, Organizing Group agrees
not to discriminate against any employee because of race, color, religion,
sex, age or national origin; and to comply with, where applicable, the
equal opportunity clause of Section 202 of Executive Order No. 11246;
the Affirmative Action Clause for Disabled Veterans and Veterans of the
Vietnam Era in 41 CFR Sec. 60- 250.4; and the Affirmative Action Clause
for handicapped workers found in 41 CFR Sec. 60- 741.4. Organizing
Group additionally agrees, if required, to file annually a Form 100 -EEO -1
and to develop, if required, an Affirmative Action Program, and hereby
certifies that it will not maintain any facilities it provides for its employees
in a segregated manner nor permit its employees to perform their services
at any locations under its control where segregated facilities are
maintained. In addition, Organizing Group will not enter into any
subcontracts, employment contracts, or agency relationships for the
purpose of implementing this Agreement which do not specifically
required subcontractor, employee or agent thereunder to abide by these
requirements.
(c) Organizing Group agrees that for the purpose of compliance with the
requirements of the Occupational Safety and Health Act of 1970, services
performed pursuant to this Agreement shall be deemed entirely within the
Organizing Group responsibility. Organizing Group shall notify
SeniorNet promptly, in writing, if an charge of non - compliance with the

Act has been filed against the Organizing Group in connection with
services being performed hereunder.
(a) To the extent permitted by applicable law, Organizing Group agrees to
indemnify and save harmless SeniorNet, from and against any loss, cost,
damage or expense, including reasonable attorneys' fees, to the extent that
such loss, cost, damage or expense arises out of claims or actions bases
upon allegations of error, omission or malfeasance by Organizing Group
in performing its obligations under this Agreement. Organizing Group
agrees that it will notify SeniorNet immediately both orally and in writing
of any events, complaints or occurrences of any kind which could give rise
to a claim or action against Organizing Group or SeniorNet and further
agrees to conduct such surveys of complaints and possible claims as
SeniorNet may request.
(b) Organizing Group shall obtain and maintain an insurance policy or
policies covering Organizing Group activities in performance of this
Agreement to insure against any loss which SeniorNet or Organizing
Group might suffer as a consequence of errors, omissions or malfeasance
by Organizing Group, its agents or employees. Such policy or policies
shall be on a occurrence basis and shall include comprehensive general
liability insurance, including contractual liability, professional liability and
personal injury insurance in the minimum amount of one million dollars
($1,000,000.00) per occurrence and shall name SeniorNet as additional
insured.
(c) Organizing Group shall obtain and maintain:
(i) Worker's Compensation and/or Employer's Liability Insurance in
the amount of at least one hundred thousand dollars ($100,000)
covering any of its employees as required by statute in any
jurisdiction in which it performs services.
(ii) Comprehensive automobile liability insurance covering
Organizing Group for claims arising out of the use of any owned
(if applicable), hired and non -owned vehicles with not less than
one million dollars ($1,000,000) combined single limit for bodily
injury and property damage, such automobile insurance coverage
to name SeniorNet as additional insured.
(d) Organizing Group shall provide to SeniorNet certificates of such
insurance which shall indicate, where required herein, that SeniorNet is
included as additional insured in each liability policy and that 30 days'

advance written notice will be furnished to SeniorNet in the event of
cancellation, non - renewal or any material change in insurance.
3. Re= sentations and Warranties of Organizing GroU12 .
Organizing Group hereby represents and warrants as follows (Part (a) does not
apply to Organizations which are governmental agencies or parts thereof):
(a) It is duly incorporated and validly existing as a corporation in good
standing, under the laws of the state in which it does business.
(b) It has the power and authority (corporate or other) to own its assets and
carry on its business as now being conducted, and to enter into, and
perform in accordance with, the terms of this Agreement.
(c) It has, and its officers and agents acting on its behalf have, full legal
authority to engage in the transactions contemplated by this Agreement;
and the execution and delivery of the Agreement, the consummation of the
transactions herein contemplated, and compliance with the terms,
conditions and provisions of this Agreement do not and will not conflict
with or result in a breach of any of the terms, conditions or provisions of
its corporate charter or articles of incorporation or its bylaws or any
applicable enabling statute or any agreement or instrument to which it is a
party or by which it is bound, or constitute a default thereunder; and it is
not a party to or bound by any agreement or instrument or subject to any
charter or other corporate restriction or judgment, order, writ, injunction,
decree, law, rule or regulation which may materially and adversely affect
its ability to perform its obligations under this Agreement; and this
Agreement constitutes a valid and binding obligation enforceable against it
in accordance with its terms.
(d) There is no action, suit, proceeding, inquiry or investigation, at law or in
equity, nor any governmental administrative proceeding or investigation
which involves the possibility of any judgment, finding or ruling or
unusual liability which may materially adversely affect Organizing
Group's performance of or ability to perform this Agreement.

(a) Organizing Group shall submit all written or other communications
materials intended to publicize Organizing Group's activities under this
Agreement to SeniorNet for its review and approval prior to Organizing
Group's use of such materials. Organizing Group shall consult with
SeniorNet concerning which of such materials must indicate credit to
IBMand Bell South for their funding hereunder. In any case in which such
credit is given the following statement shall be used: "Funding for this

project was provided through the IBM Funds for Dependent Care
Initiatives, administered by Work/Family Directions Development Corp."
(b) All media inquiries, such as inquiries from the press pertaining to Bell
South's, IBM's or W/FDD's potential or actual involvement with
Organizing Group, shall be reviewed by SeniorNet prior to the release of
any information.
(a) This Agreement may be terminated prior to the expiration of its agreed
term in accordance with the following conditions:
(i) If the Organizing Group shall under such laws as shall be
applicable to it commence any case or proceeding, or file any
petition in bankruptcy, or for reorganization, liquidation or
dissolution, or be adjudicated insolvent or bankrupt, or shall apply
to any tribunal for a receiver, intervener, conservator or trustee for
itself or for any substantial part of its property; or if by any act it
shall indicate its consent to, approval of , or acquiescence in any
such proceeding, of the appointment of any receiver, intervener,
conservator or trustee for it or any substantial part of its property or
shall suffer any of the same to continue undischarged; or if it shall
become subject to any intervention whatsoever that shall deprive it
of the management of the aggregate of its property of any
substantial part thereof; or if it shall wind up or liquidate its affairs
or there shall be issued a warrant of attachment, execution or
similar process against any substantial part of its property, and
such warrant, execution or process shall remain undismissed,
unbonded or undischarged for a period of 31 days, this Agreement
shall be deemed immediately terminated upon the occurrence of
such event.
(ii) If the Organizing Group is found by SeniorNet to have made
fraudulent use of funds, or if an administrative or judicial body has
revoked any license which may be required for the Organizing
Group to carry on its business and perform its obligations and
functions under this Agreement, or if the Organizing Group is
discovered by SeniorNet to have made any misrepresentation or
omitted to disclose any materials facts which bear on its ability to
perform this Agreement, the Agreement shall be deemed
immediately terminated upon the occurrence of such event.
(iii) In the event of a material breach of this Agreement by Organizing
Group which breach cannot be cured, or (in the case of a curable

breach) which breach has not been cured within fourteen (14) days
after SeniorNet notifies Organizing Group in writing of the fact
and nature of the breach, SeniorNet, acting in its reasonable
discretion, may either:
(a) withhold any payment due under this Agreement until
SeniorNet is satisfied that the breach is cured; or
(b) terminate this Agreement for cause by giving Organizing
Group written notice of termination, and the effective date of such
termination shall be fourteen (14) days after the date that such
notice of termination is given.
(c) In the event of termination pursuant to subsection (a) above, all
documentation and other materials, including Equipment relating
to the Agreement shall be transferred by the Organizing Group to
SeniorNet or to an entity or person designated by SeniorNet.
6. Non-assignment of Organizing Group's Rights and Obligations .
Organizing Group may not assign its interests or rights or delegate its obligation
under this Agreement to anyone without the approval of SeniorNet.
Organizing Group shall have the sole responsibility for ascertaining any federal,
state or local tax consequences affecting its business and operations as a result of
its participation under this Agreement and shall have sole responsibility for the
payment of any and all taxes and duties imposed by all governmental entities
resulting from Organizing Group's duties, obligations, performance and receipts
under this Agreement.
8. Miscellaneous Provision.
(a) This Agreement shall be governed by the laws of the State of California.
(b) All covenants and agreements herein contained shall extend to be
obligatory upon all successors, assigns and subcontractors of the
respective parties hereto.
(c) One or more copies of this Agreement may be signed by the parties hereto,
each of which copies shall be deemed an original and all of which shall be
deemed to constitute but one and the same instrument.

(d) If any provisions of this Agreement shall be held, or deemed to be, or
shall, in fact, be inoperative or unenforceable as applied in any particular
situation, such circumstances shall not have the effect of rendering any
other provisions herein contained invalid, inoperative or unenforceable to
any extent whatsoever. The invalidity of any one or more phrases,
sentences, clauses or paragraphs herein contained shall not affect the
remaining portions of this Agreement or any part hereof.
(e) This Agreement may not be terminated by either party hereto except in the
manner and with the effect herein specifically provided.
(f) This Agreement shall not be changed, modified or amended nor shall a
waiver of its terms of conditions be deemed effective except by a writing
signed by the parties hereto.
(g) All notices, requests, demands or other instruments which may be or are
required to be given by either party to the other party, shall be in writing,
and each shall be deemed to have been properly given when served
personally on an officer of the party to which such notice is to be given, or
upon expiration of a period of 72 hours (excluding weekends and
holidays) from and after the postmark thereof when mailed postage
prepaid by registered or certified mail, requesting return receipt, addressed
as follow:

I am pleased that BellSouth and Orange County will partner to bring SeniorNet to
senior citizens of Orange County.
As discussed, BellSouth will provide funding of $18,000 over two years. We will
make our first contribution of $9,000 in January of 1998. The remaining $9,000
contribution will be paid in 1999. In addition to our financial support, we will be
available to assist you in consulting, providing incentives and public awareness.
I have enjoyed developing a relationship with you and Janice Tyler. Orange County
is fortunate to have such committed individuals directing the activities of the aging.
