Background: The attached contract stipulates the amount of $6,433 per month ($80,808) annually for physician services with the UNC Family Practice Center; this is a 5% increase. Physician coverage is provided for clinics, for co-signing nurse practitioner charts, plus the services of a Medical Director who is on-call for emergency consultations. The contract with the School of Pharmacy is for $5,000, which is unchanged from the previous year. This contract is for the services of a registered pharmacist to manage pharmacy protocols and provide advice to the clinical staff on patient medications. There are three contracts with the School of Dentistry. One is for $10,000 for the services of the Dental Director for FY98-99. The second contract is for $10,000 for this fiscal yeaz for a dental faculty to precept and staff the Smart Start dental program, which is supported through the Orange County Partnership for Young Children. The third is the pediatric dentistry contract for the services of a pediatric dental resident one day a week at $25.00 per day for FY 98-99. These contract figures have been included as part of the 1998-99 budget request. Recommendation: The Manager recommends that the Boazd approve the contracts and authorize the Chair to sign the contracts, contingent upon the adoption of the 1998-99 budget. W I T N E S S E T ci: WHEREAS, the Department desires to provide Medical Director services and to participate in~the provision of medical care for the citizens of the community, and; • ~r1HEREAS, the OCHD is the operator of two outpatient facilities mown as the Orange Cour!ty Health Department, located in Chapel Hi1l.and _ Hillsborough, North Carolina. NOW, THEREFOR:, in consideration of the premises and the following mutual covenants and conditions and any sums to be paid, the OCHD and The University agree as follows: 1. The Department will render professional consultation as Medical Director. As Medical Director, the Department shall: a. act as the principal advisor to the Health Director and Personal Health Services Director in matters of medical policy; b. advise the Health Director and Personal Health Services Director on the medical imAlications of aiterr_atives in clinical program functioning and managemer_t; c. represent the OCHD in interagency relationships which involve medical expertise at the request of the Health Director and/or °ersonal Health Services Director. d. advise and interpret the regulatory requirements related to medical and laboratory aspects of the OC:iD'S functions; _ r i .s-,--r~ --..-_ sc7\urccam:_\~~rcc^r.:.'oc ......_....___ r ~G~~iIT Between tNC Sc hcol of Medicine ' and Orange County Health Department 3 Page 2 of 8 e. provide coordination for medical components of the clinical programs of the OCHD; f. advise and assist staff in epidemiological investigations; g. be responsive to commur_ity public health concerns directly ar_d in consultation with the Health Director and Division Directors; h. assist the Health Director and Personal Health Services Director in establishment o= medical procedures and quality/quantity control mechanisms; i. assist in data ar_alysis towards identification of public health concerns; j. work with the Health Director and Division Directors on formulation of responses to public health concerns; k. assist with evaluation of programs; 1. maintain close contact and availability through on-site visits and phone consultation to discharge responsibilities at the.OCHD;~ _ m. participate in Division Head management meetings and Division level meetings when appropriate; n. attend Board of Health meetings when appropriate; o. provide medical direction to the school health programs in both school systems in the County and medical consultation to both OCHD and school staff working in the school health programs; p. discharge the above listed res-possibilities through and with -- knowledge aforehand of the Director; q. other miscellaneous duties as necessary. 2. The Department shall provide, for the programs listed below, agreed upon medical direction and clinician services in family planning (c P), prenatal care (PVC), child health (CH), adolescent (ADOL), tuberculosis (TB), sexually transmitted disease (STD), general communicable disease control (GEN) and adult health preventive services (P~?/H°/BCCCP), ~: \patsy\con_=acs\uncfam~=\:..rc__.._. __ _ ~C-R::.F.'~NT 3etween WC School o Medicine and Orange County Health Department Page 3 of 8 4 within State and Federal guidelines and program rules. Clinical duties shall include: a. Collaborative development and approval of all clinic protocols; for the mutual benefit of t:~e Department, OCHD and its patients. It is agreed by both parties that prenatal patients will be managed according to OCHD established protocols. These will be reviewed regularly and be consistent with protocols used at D~TC Depart:-ner_t of OB/GYN and Family Medicine outlying clinics. b. Primary technical supervision of the nurse practitioners who are employees of the OCHD; c. Co-signing charts of patients seer_ by the nurse practitioners of the OCHD within five (5) working days; d. Routine medical ~erV7.C8S during scheduled on-site clinic times; e. Medical consultation visits to OCHD patients during scheduled or_-_ site clinic times; f. Continuing education consultation for nurse practitioners and OtC!er staff to include regular informal consultation and periodic formal sessions as appropriate. 3. The Chair of the Department shall designate the name of the Medical Director and the names of any physicians who will provide clinical services. - - - a. Any changes in these designations will be mutually agreed to by the Chair of the Department and the Director of OCHD. b.. The Department and OC:-iD shall indicate their mutual agreement to the designation of the Medical Director and any other physicians involved as described above by signing the "Designation of Medical Director" attacr~ent to this contract. 4. Clinics are operational during the normal business hours of 8:00 a.m. to 5:00 p.m., Monday through Friday. Some clinics may run beyond 5:00 p.m. and the Department is responsible for completier. of medical activiti?s cor_ducted during the entirety of these hours. 6. On-site physician attendance shall occur twice a week for three (3) hours each day in Gamily Planning/STD c1i__^_ic and for three (3) days for four (4) hours each in Maternal/Child Health Clinic each. Davs and times of this on-site coverage will be mutually agreed to by the Department and OCHD. Although Medical Director or back up physician attendance is not recruired on premises at other times, it should be available as stipulated above. On-site back-up coverage is expected _ during vacations and other anticipated absences. If physician attendance is impossible due to unremediable circumstances, physician phone coverage will be provided and nurse practitioner charts will be signed within rive ~ (5) working days. 7. The Medical Director or other designated physicians will be available for phone consultation during all business hours and emergency phone consultation shall be available as needed during non-business hours through a pager system. The Department agre~s-to prOVlde t'r_e equivalent of :52 FTE to carry out the duties described above. The clinical ar_d administrative services will be provided by the Medical Director and the other designated physicians unless a Department substitute is prearranged. Service beyond the minimum s~.a11 be arrar_ged by the Department and the OC'ciD to avoid unreasonable length of Se?"V1Ce. The Medical Director will report activities and services performed to OCHD as requested by the Health D1reCtOr. 9. The Department will maintain current regi-stration and licensure and shall provide copies to the OCHD as appendices to the Designation of Medical Director attachment to this contract. _ 10. The University will be responsible for the negligence of its employees and agents to the extent of the North Carolina Tort Claims Act. Further, the University will provide adequate professional liability insurance for the University, its students and personnel, who provide the services described in the agreement. The insurance limits will be stated in a Certificate of Insurance submitted at the time the contract is commenced. 11. The Departzaent will offer medical consultation in accord with the accepted methods and procedures. 12. The University shall bill the OCHD on a monthly basis with the first bill being dated July 1, 1998 and the OC~:D shall pay the University within thirty (30) days of receipt of the University's bill. R.ny adjustments to the billing shall be taken into account in the next succeeding bill or as soon thereafter as reasonably practicable. I4. The OCHD agrees to furnish ail supplies, equipment and other staff needed by the Medical Director; to include the Medical Director in all appropriate conferences, meetings, correspondence and publications necessary to appropriate discharge of Medical Director's duties within budgetary constraints. 15. In the event that the Medical Director and back-up physician become unwilling or unable to perform the duties required by this Agreement, the University and CCHD shall attempt to mutually agree upon replace_*nent. If such mutual agreement is not achieved, then this Agreement shall terminate and any payment due as of the date of termination shall be paid. 16. This Agreement shall run for a period of Tri~rELVE (12) months, from the 1st day of July, 1998, to the 30th day of June, 1999, and shall be renewable annually thereafter upon written notice executed by both parties. 17. This Agreement or its renewals may be terminated at any time without penalty by either party provided that written notice of such termination is furnished to the other party at least ninety (90) days prior to termination. The GCc?D hereby agrees with The University that, in its edt~.cational and/or employment practices, the OCHD will comply with such non- discrimination law as may be applicable to it in the performance of this Agreement. The Department hereby agrees to abide by pertinent rules a.*~d regulations of the OCHD, Orange County, ar_d the North Carolina Department of Environment, Health and Natural Resources in the conduct of service. 19. No provision of this Agreement shall be construed or interpreted as creating a pledge of the faith and credit of Orange County or OC:•iD within the meaning of any constitutional debt limitation. No provision. of this Agreement shall be construed or interpreted as creating a delegation of governmental powers nor as a donation by or a lending of the credit of Orange County or OCnD within the meaning of the Constitution of the State of North Carolina. This Agreement shall and _ does not directly or indirectly or contingently obligate Orange County or OCF~ to make any payments beyond those appropriated in the sole discretion of Orange County or OCHD for any fiscal year in which this Agreement shall be in effect. This Agreement cor_tains the entire understanding of the parties and shall not be altered, amended, or modified, except by an agreement in writing executed by the duly authorized officials of both parties. 21. The laws of North Carolina shall govern the validity and interpretation of the provisions, terms, and conditions of the Agreement. The person whose services are to be provided pursuant to the Agreement is, for all purposes as employee of The University ofNorth Carolina School of Dentistry ~. While the School of Dentistry faculty is working at the Orange County Health Department, professional liability insurance coverage will be provided by the School of Dentistry with coverage of at least 51 million, per incident, 53 million per year. 6. This Agreement shall run for a period of one year, from the 1st day of July 1998 to the 30th day of June 1999, and shall be renewable thereafter. 7. This Agreement or its renewals may be terminated at any time without penalty by either party provided that written notice of such termination is furnished to the other party at least 90 days prior to termination. In the event of such termination any payment due shall be prorated to the date of termination. 8. In compliance with 42 U.S.C. II. EFFECTIVE DATES This agreement shall be effective as of April 1, 1998 and shall remain in effect until June 30, 1993 unless terminated as set forth below. Either parry may request a change in the terms of this agreement Any agreed to change to this agreement must be approved by both parties' written endorsement thereto. Either party may terminate this agreement by giving the other party 30 days written notice in advance of the desired termination date. III. GENERAL AGREEMENT During the performance of this agreement, both parties agree as follows: A. The OCHD hereby agrees with the University that, in its educational and/or employment practices, said contracting parry will not discriminate against any person because of race, color, religion, sex, national origin, age, or disability. B. =The-OCHD will aot be responsible for damages-arising from personal injury to students of the University while they are present at the OCHD unless personal injury was caused by the negligence of the OCHD, its employees, or agents. C. In the event the student is exposed to blood or body fluids, the OCHD will be responsible for providing an initial response, according to the Institution's Blood-Borne Pathogens Standard. The student will be required to return to University of North Carolina Student Health Services for post-incident testis; and counseling if feasible. In the event the student is unable to do so in a timely manner, the OCHD will provide access to testing and counseling for the student. The student will be responsible for the payment of services, but will be able to request reimbursement from the University. D. The University will be responsible for the negligence of its employees and agents to the e.ctent permitted by the North Carolina Tort Claims Act E. The OCHD shall pay the University 510,000 by June 30, 1998 upon receipt of the Universit}rs invoice. Smart Start Orange Cou~y Health Department 1V. SPECIFIC RESPONSIBILITIES OF THE UNIVERSITY 18 The University acknowledges the following specific responsibilities in connection with this agreement A. To provide a Project Director for the Smart Start Program who will: I) Schedule preselected senior dental and dental hygiene students to visit the Orange County Health Department and the majority of day care centers in Orange County to perform dental screenings, examinations, education and preventive treatment; 2) inform the day care centers and the parents regazding aII aspects for the student visits; 3) provide the OCHD with the results of the screening and examinations; 4) be available to answer questions from parents and the day care center directors; ~) design screening and examination report forms, write informational advertisements to appear in local newspaper; 6) be responsible forvnventory of alI supplies used in the study (these supplies will be purchased by the OCPYC grant); ~ gather data/results of screenjng and examinations, utilize the statistical analysis of the results to compile a report to the OCHD regarding the status of the teeth of the smart start children; 3) consult with the NC Public Health Dental Hygienist in order to provide the specific dental educational materials needed for the children, parents and the day care personnel; 9) schedule dental attendings who will serve as preceptors to the dental students and the dental hygiene students while at the OCHD Dental Clinics. " B. To insure that University students, who are the subject of this agreement, abide by all existing rules and regulations of the OCHD in the performance of their activities at the OCHD. C. To be responsible for providing adequate professional liability insurance for the University and its students who are the subject of this agreement. While the student is participating in the project, their professional liability insurance coverage throw, Medical Security Insurance Company will be provided by the School of Dentistry (with coverage of at least 5200,000 per incident up to 5600,000 a year for dental hygiene students and 51,000,000 to '- 53,000,000 a yeas for dental students}. D. The University shalt be responsible for traiaiag its students to follow the OSHA Blood- borne Pathogens Standards, ensuring that its students comply with health requirements established by North Carolina state regulations and the University. E. To maintain proper health records of its students while participating in the Smart Start Program at the OCHD, and instructing its students about Hepatitis B vaccinations, about the student's responsibility for post-e:cposure follow-up and any incurred costs, about the student's responsibility for the provision of protective equipment, and proper post-eacposure record-keeping. In the event the resident is exposed to blood or body fluids, the Health Department will be responsible for providing the resident with an initial response, according to the Institution's Blood-Borne Pathogens Standard. The resident will be required to return _ to the University of North Carolina Resident Health Services for post-incident testing and counseling if feasible. In the event the resident is unable to do so in a timely manner, the Health Department will provide access to testing and counseling for the resident. The resident will be responsible for the payment of services, but will be able to request reimbursement from the University of North Carolina. 5. The School of Dentistry will be responsible for the negligence of its employees and agents to the extent of the North Carolina Tort Claims Act. 6. The School of Dentistry shall be responsible for training its residents to follow the OSHA Blood-borne Pathogens Standards, ensuring that its residents comply with health requirements established by North Carolina state regulations and the School of Dentistry. 7. To maintain proper health records of its residents rotating through the Health Department, and instructing its residents about Hepatitis B vaccinations, about the resident's responsibility for post-exposure follow-up and any incurred costs, about the residents Between the University of North Carolina at Chapel Hill School of Dentistry for its Department of Pediatric Dentistry and OCHD Page 3 of 5 responsibility for the provision of protective equipment, and proper -post-exposure record- keeping. 8. The person whose services are to be provided pursuant to the Agreement is, for all purposes, an employee of the School of Dentistry. 9. While the School of Dentistry resident is at the Health Department, the professional liability insurance coverage will be provided by the School of Dentistry with coverage of at least S 1 million, per incident, 53 million per year. 10. This Agreement shall run for a period of one year, from the 1st day of July, 1998 to the 30th day of June, 1999, and shall be renewable thereafter. - 1 1. The School of Dentistry will bill the Health Department at the close of each quarter at the rate of 525.00/day for a maximum of 48 weeks/year (maximum reimbursement: S 1,200). The payment will be made payable to the UNC Department of Pediatric Dentistry and mailed to: Ms. Jo Ann Blalock, Pediatric Dentistry, UNC School of Dentistry, 205 Brauer Hall, Manning Drive, Chapel Hill, NC 27599-7450. 12. The Health Department and the School of Dentistry in its educational and/or employment practices the Health Department will comply with such non-discrimination laws as may be applicable to it in the performance of this Agreement. 13. This Agreement or its renewals may be terminated at any time without penalty by either party provided that written notice of such termination is furnished to the other party at least 90 days prior to termination. In the event of such termination any payment shall be prorated to the date of termination.
