THIS CON'SRACT dated Jwe 30, 1998 between The Cmveroiry of
NoM Carolina at Chepel Hill Qhe "UNVersity'~, wd the Cowry of Orange (the
"Cowry') for provieion of w EMS Medical Dveaor to Orwge Cowry.
WITNESSETH
Wheeas, the Cowry and the Urdversiry have historically wopemted end worked
jointly on natters of mutual concern cad interest; end
Whereas, the Cowry operates cad maintains a Departrnent of Emerge,my
Management which, as one of its fwctiore, provides emergency medical care to citizens
of the Cowry; erW
Whereas, the Cowry wishes m have usociared with rlvs program a trained
phyvciav specialivng in emerge:cy mNicine to provide guidwce and support; and
Whereas, the Unvesity, though its Departrnrnt of Emergency Medicine, wishes
m provide tltis service foc the Cowry; cad
Whereas, ~ mance of Ne azuviries described herein is coraisrem with the
University's goals of research, teaching, educadon cad public service.
NOW THEREFORE, in covsidemtiov ofthe premises and the mutisl covenants
cad conditio~a set foM below, the Cowry and the University agree as follows:
1. The Ur~iversiryagrees to provide aphysiciw from the Deparrmenr of
Emergwcy Medicine to serve as EMS Medical Direcmr m the Cowry (hereafter "the
Medical Dvecmt').
2. 'Che dories of the Medival Dircor shall fndude the following:
a. Provide medical direction for the emergency medical services

program of Omnge Cowry.
b. Develop, mvlew, and periodically update medioal ueetmrnt
protocols in conjuncdon with Ne County Direcor of Emergeny Management or
desi~ee (hereaher'the Diceexor^}
c. Provide medical Vea[mrn[ mpervision of personnel by randomly
respovdmg to EMS calls and observing Ne approach, demeanoq relauovsldps, and
medical Vemmrn[ provided to the patiem and others by WI respond'mg petsonnel
mcludmg, F t Responders, F've, Law Ehforcamen[, Rescue, and EMS.

g. Assist the Medical Affairs Officer far the Cowry's Depanmmt
of Emergency Martagemem m general medical issues for HazMat, Fire, Rescue, Law
Enforcement, and others in providing coverage for special events, plamdng for mass
casualry, and othtt azdvities ousidedre mmive EMS tusks.
h. Serve as the medical dimcmrfor the Emergency Medical Dispetoh
program and perform the same fimwions for Commwicatiovs as noted in sub-
parngmphs b, c and d.

b. The UWversiry and the Cowty shall indicate their agreement to
the designation of the Medical Director and any omer physicans involved es described
above by sipsing the "Designation of Medical D'vecmi' anachment to this Convact.
6. In the event that the Medial Dvemor and back-up physiciws became
wwilling or wable m perform the dories required by this Convact, the University shall,
with the advice and consent ofthe Director, designare replacements. If agreement on
aevgrudons is rot achieved, then this contract slap terminaze.
5. The UWversiry shall be responsible for evsarmg that my physicians
providing services wder this Cotumct maintain anent registration end Gcensive and
shall provide evidence of such m the Cotmty upov request.
6. The Cowty shall wmpcvsate the UWvasiry for the services provided
pmsumt m this Convact m the amomt of Thirty Thousand Dollars (530,000.00) per year
for services provided 6om JWy 1 of each year though Jwe 30 of the next year. Payment
shall be made on or abem 1Wy 1, 1998 and on or about Iuly 1 ofeach yeaz themafter.

8. Nothing contained therein is intended [o alter or abridge the employment
mlatiombip between Ne UWvenity cad irs employees or the Cowry and its employees.

9. Any University staff pmvidivg sernces wder Ni9 COn[rdet t0 the County
shall be provided with the UWeersiry's medical and hospiW ivtion benefits and insurance
and be covered by Worker's Compensation ireurancc or self i~urance.
l0. This Cono-act will be reviewed armually no later Nan Jwe I S for renewal
effective llte following July 1, and may be renewed, modifed, or amended at [hat time, or
any time, upon dte mutual woven aememem of the panics.
11. This Convect may be termirtated as provided in paragraph 4 and, withom
the faWt of eiher parry, at any time by eiher party giving 90 days notice to the other
parry m writing. Ifeither parry defeulss m its obligations and does not cure such default
withiv ten (10) days of receipt of notice of such defaul4 the vondefaWting parry may
wmediately tenWVate the Contract. The University shall refimd a pm mta portion ofNe
comper~sa[ion received by it for any portion of a Covtracv year m the even of a
termination of Ws Convect not me resWt of a defeWt by the County.
12. The University shall be responsible for the negligence of irs employces avd
agevts to the extern ofthe North Carolina Ton Claims Aa. Further, Ne University, in
covsWtation as m amount with Ne Cowry, shall provide adequate professioriW liability
msurmce for the Unversiry persowel who provide the services described in dus
Covtrea. The ir~sumnoe Iwiss will be stated m a Cemficate of Insurance or other
written evidence of iraurvv:e mbmived to the Cowry at Ne time the Contrazt is
covunrnced.
14. No travsfer or assumptlon of liability for theaar of Ne employces or
agevts of either pang is WteMed by the pazties m this Contract.

I5. The Urdversiry and Ore Cowry hereby agree that in their educatiorul
and/or employment practiws, each will comply with Bach vovdiscrimination laws as
mey be applicable to them iv the performance of tlris Convact.
16. This Convact contains Ne entire wdersmnding of Ore parties and shall
not be altered, amended, or modifed, except by an agrcemmt in writing executed by the
duly authorized officials of both parties.
ll. The laws of North Carolina shall govern the velidiry and interpretation of
Ore provisinre, corms, and conditions of dse Cnnvaa.
IN WITNESS WHEREOF, the panics herein have duly and validly sathoriud
