Purpose: To consider rmewv~g an agreement betwern Orange County and UNC Hospitals
<onceming medical direction of Orange Cowry's Emergency Medical Services (EMS) program.
Background: Orange Cowry provides an Advanced Lifr Support (ALS) EMS service. Under Smm
regulations, a County providing Nat level of service must function under a Medical Dvecror at the
sponsor hospital. The Cowry EMS pmgmm receives medical direction dvough UNC Hospitals by Dr.
Greg Mears.
The role of the medical director has changed dwmatically in Ne past two years. The Medical Directoi s
responsibilities include:
• Providing twining monitoring, and protocok for Ne emetgrncy medical dispamh (EMD) progmm al
9-1-1.
• Performing quality assawnce reviews and approving telecommunicemrs for certification to perform
EMD.
• Esmblishing Ne level of pwctice for Ne first responders and Ne vawng requvements for Nem m
opemre ammmatic defibrillators. Each first responder must be amrually trained end tested in
defbNlation.
• Delennining the smmdard ofcare and appmpriMe treatmen[ pmmcols for Ne pawmedics.
Providing veining, skill proficiency and evaluariom of technician performance for the Imitial
Response Paramedics.
• Providing rn appmpriare number of assistant medical directors to azsure availability a[ all times.
• Serving az a consulmnt for Ne Paramedics in Ne Feld. on pariem care issues.
Meeting weekly wiN EMS stafito provide consultation and review of medical issues.
• Respondimg az needN m certain EMS calls, imluding cardiac, mass <asvalry, or vehicle pin-ins.
In addition ~o a Ytedical Direc~oq the Hospital also provides a nurse liaison whose primary functions
include Facihtating skill evaluanons, special tminivg sessions, tecMieim review with the staff twining
o(fceq and assisting in writing Ne required two year training program for Stam apprm'al. The Hospital
provides computer support foahe EMS database which includes patient medical records, and analy~ieal
programs with interp¢mtioo o[da[e. The Hospial also allows paramedics to pwc[ice and perform skill
pmfciency in the Emergency Department, OB-GYN, and operating arenaz of the Hospital
The cost of the contract for 1998-99 is 530,000. Funding for tM contract is included in the 1998-99
operating budget of the Emergrncy Management Department. Staffesfimates that Ne Hospital
allocates to the EMS program roughly 20 hours per week ofthe medical directoi s time, i0 hours per
week of the nurse liaison's time, and IS haws ptt week of the computer tech support position's time.
Due m the medical director's commitments to Ne EMS program, [he Hospital is obliged ro replace Dr.
Mears in his emergency depamnmt clinical rotations from time to time. Fwdmg from this contract
helps the Hospital offset the costs of providing physician coverage for Dr. Mears.
The Omnge CountyNNC Hospitals EMS program received high marks in i¢ mart recem evaluation by
the State Offce of Emergency Medical Services. Stiff recommmds dut the Cowty continue its

THIS CONTRACT dated ]we J0. 1998 between The University of
NoM Carohna at Chapel Hill (the "University'), end Ne Cowty of Orange (the
"County") for provision of w EMS Medical pirector m Omnge County.
WITNESgETH
Whereaz. the Cowry and the University have hiswrically cooperated and worked
jointly on masers of mutwl concern and interen; wd
Whereas, the Cowry opuates and meivtains a Depmvnem of Emezgency
Mawgement which, az one of its fwc[iore, provides emergency medical care to citizens
ofthe Cowty; and
Whereas, [he Cowty wishes to have associated with tlvs program a trained
physiciw specializing in emergrncy medicine m provide guidance wd support; and
Whereas, the University, though its Depanmem ofEmergency Medicine, wishes
ro provide [his service for Ne Cowty; and
Whereas. perfonnwce of the activities deuribed herein is consistrnt wiN the
University's goals of research, teaching, edtwatiov and public service.
NOW THEREFORE, in <omideration of Ne premius and the mutual covenants
wd conditions set forth plow, the Cowty end the University agree az follows:
1. The University agees m provide a physician Rom the Depemnent of
Emetgeocy Medicive m carve az EMg Medical Director m the Cowty (hereafter `Yha
Medical Director'.
2. The dories ofine Medical Director shall include the following:
a. Provide medical diregion for Ne emergency medical services
program of Orwge County. - y
h. Develop, review', wd periodically update medical treatment
protocols in conjwmion with the Cowry Dhec[or of Emergency Management or
designee (hereafter'the Director').
c. Provide medical tremmem supmision of personnel by mndamly
responding ro EMS calls wd oburving [he approach, demeanor, relationships, and
medical treatment provided to Ne patient wd others by all responding personnel
including, First Responders, Fire, Law Enforcement, Reuue, wd EMS.
d. Facilitate a program of tool quality managemem of patiems
addressing compliance ro promwl, standaMs of care, ncnniciw prolciency, appropriate
patient mwegement efiectivrness oftreahnwts wd protocols, evaluation for positive
patiem outcomes wd other components ofthe EMS sysem that occw from access
though 911 to delivery though [he Emergency Department at dte UWversiry ofNOnh
Carolina Hospimis. Provide ongoing recotsunrndafions to the Drector of system needs
wd chwges necessary to implement and opem[e Ne peuent tool quality management
pmgmm.

g. Assist the Medical Affairs Officer for the Cowty's Department
of Emttgency Management in general medical issues for HazMat Fire, Rescuq Law
Enfomemenq and oNers iv providing coverage for spaiW evens, planning for mess
casualty, and other adiW[ies onside the routine EMS tasks.

i. Assin with maintaining end supporting the EMS dambase far
Orange Cowt Emergency Management to include updating forms and programs as
needed, dmeloping reports and providing analytical inrerpretation of data

Emergency Management for consultaGOn wd review of medical items with the Dvecmr.

m. Other duties as may h requested and necessary in assuring a
quality EMS program for Orange Cowry.
I. The department head ofshe UNversity's Depamment of Emergency
Medicine, wiN Ne advice and covsrnt of Ne Director, shall designate Ne physician who
will serve as the Medical Director and Ne name of any physician or physicians who will
provide services wder Ws Contract a9 back-up so Ne pttson named as Ne Medical
Director in the event site Medical Direcor is wavailable. The names of Nose desigwted
shall, upon desigmrion, be provided w Ne Direcror.

and be covered by Worker's Compensavon insurance or self insurance.
10. This Convect will be reviewed mnually no later thm June lS for renewal
efiutive the following July 1, and may be renewN, modifed, or emended at thauimq or
any time, upon the mutual written agreement of the parties.
11. This Contract may be terminated as provided in paragraph 4 and, without
she fault of either party, at any time by eithtt party giving 90 days notice m the other
party in wribng_ If ei[her parry defaults in its obligations end does nod cure such defauh ~

I2. The Universiry shall be respvmible for the negligence of its employees and
agents ro the extent of the North Cazolire Tort Claims Act. Fuller, the Universiry, in
consWtation as m amount with the Cowry, shall provide adequate prefessionW liability
insurance for the Universiry persormel who provide dre services described in this

wnnen evidence of insmance submitted to the County at the time Ne Contract is
commenced.
14. No transfer or assumption of liability for the acts of the employees or
agents of either party is intendW by the patties m this Contrazt
