THIS AGREEMENT, made and ent«ed into the+~r day of n~.,.ee. ,coon,
by and betwern Orange County, North Carolina, 200 S. Cemerw Street, Hillsboroagk
North Carolina, hereinafter ref ed to as "County" end the University of North Carolina at
Chapel Hill for and on befialf of its Small Business and Technology Development Center,

referred to as the "SBTDC".
WITNESSETH:
WHEREAS, the on-going work ofNe Ormge County SBTDC is wnsismnt widr
the Orange Cowry Economic Development Strategic Plan; and
WHEREAS, the work of the Orange County SBTDC, the development ofmore
omprehwsive small business infrrmation, and a public awer«ess and ~urztioval
program ov the eaviccs evallable m smell business, is an integal part ofm«liug the
objectives specified in the Orange County E«wmic Development Strategic Plaq and
WHEREAS, the Omuge Couvty Economic Development Commission, hereinafter
referzed to az the EDG, has endorsed the Orange County SBTDC concept, and has
enwuraged tfie County s support, fnancisl and otherwise; and
WHEREAS, the EDC is an agency of the Cowry; eM
WHEREAS, economic development is an important public purpose which can be
aided by wntributions of Orange County funds; and
WHEREAS, Orange County supports dre Lmmmic Development Strategic Plan,
and pubho-pnvateivitiatives to implement the Plan
Now, tfiereforq in «msidcration ofthe above and the mutual «verems and
considerations hereinafter set forth, the County and the SBTDC agr« az follows:
Fvsq in consideration of the EDC's on-going support, the SBTDC will maintain a
regional office in Orange County. This will consist, at minimum, ofthe presence of ileac
professional slaRmembers in Ne County.
Sewed the SBTUC wix make in genasl business «nsuldvg services and more
specialized services and cowselin6 in the areas of imemationel vade, t«hnology
development, and government procurement (mcludin6 pro-Bid) avalable to small firms
and would-be entceprenevrs tluoughouuhe COUVry. Where appropriate SBTDC will work
with spmific clients refened by the EDC
Third, ova ormom resources libraries will be maintaind in Ne County and hand-
outmaterials will be available. The SBTDC also will provide access to spceialized
soRwaze such as FISCAL-a loan package evaluation and spreadsheet program-and
oNubusiness staff-up and assistance resources a[ nv charge to the businesses.

its services [Moughout Ne CODUty. A visitation effort will be mndacted ro acquaint
Orange County's employers wiN services Nat ran assist Nem with expansion. Efforts
will he made to fully involve other agencies and resources such as Chambers of
Commerce, SCOAE, Nc local mmmurdty oollegq Goodwork, SelfHClp, avd local
professional and civic groups.
' Sixth, the SBTDC will provide technical assistance, business plan and loan
package preparation assistance to businesses and individuals preparing to apply for
financing fiom the Orange County Small Business Loan Pool.
Seventh, the SBTDC will provide the EDCwith a written report witldn 30 days of
Ne close ofeach quarter. This will dated the program and service activities of the SBTDC
iv Orange County for Nequaner. The3BTDC also ll provide arepon otclient
cvalvations of xervices each quarter.
Eighty, Ne SHTDC will make its best Good faith effort to continue and/or expand
the level ofsmioe in Ocmge County proposed undo Nis agreement beyond the terms of
this egeement.
Ninth, in rewm for [he foregoing, the County will pay the SBTDC $10,000 m two
$5,000 installments. The first such installment shall be paid on or about November I5,
1998, and Ne final payment will be paid on oc about April I5, 1999.
Tenth, Ne EDC will actively support and promote Ne programs and services of Ne
SBTDC within Orange County.
ElevenN, the Director of the EDC will become a mambo of the SBTDC state
wide Advisory Board, as long as Nis agreement Is in effect.
Twelfily Na tom of this agreement will be 1 year begimivg laly 1, 1998 end
ending June 30, 1999.
ThineenN, Nis agreement may be laminated at any time upon Ne mutual consent
of the panic or upon 90 days advance written notice by eitherparty.
Fourteenth, the SBTDC authorizes inspection by the Orange Cowty Finwce
Director or his designee ofso much ofthe books and records of the SBTDC which
document receipt rod expendiNre of Cowty funds. The books rod records ofthe SBTDC
shall be made available to the Cowty Finance Dirmtor or his designee upon reasonable
notice.
FiflernlF, in the evrnt that the SBTDC ceases to fwction or ceases to provide dre
ea described herein without a Cowty approved written azsignment or release by
Cowty of ils respovsibilities, this agreement will, as to the SBTDC, tenniwte and the
SBTDC will remm any moneys paid tlrc SHTDC pumwvt to this agreemwc
