Home My WebLink About2010-148 ES - Interim Operations Agreement for South Orange Rescue Squad INTERIM OPERATIONS AGREEMENT FOR SOUTH ORANGE RESCUE SQUAD V�sr z7 � 5z ort� 4Cax°�`� June 16, 2010 This document is an Interim Operations Agreement between Orange County ("County") and the South Orange Rescue Squad, Inc., a North Carolina Non-Profit Corporation ("SORS") as provided in the South Orange Rescue Squad Franchise Ordinance ("Franchise Ordinance"), granting a non-exclusive Franchise ("hereafter Franchise") by Ordinance to SORS to operate Emergency Medical Services and Rescue Services in Orange County,North Carolina. WITNESSETH WHEREAS, Franchise Ordinance authorized SORS to operate Emergency Medical and Rescue Services; and WHEREAS, the Franchise Ordinance provides that the subcategories under which SORS can operate be identified in an "Operations Agreement" to be entered into by the SORS and the County within 90 days after acceptance of the Franchise permit; and WHERAS, the Operations Agreement provides both administrative and operational guideline, and along with the Franchise Ordinance, authorizes SORS to operate as an Emergency Medical and Rescue Services Franchise in Orange County under the authority of the Board of County Commissioners and at the direction of the Orange County Emergency Services Director; and WHEREAS, the Operations Agreement shall delineate responsibilities and expectations of both the County and SORS in order to ensure safe, effective and consistent operations; and WHEREAS, the County and SORS are in the process of developing the Operations Agreement but will not have the Agreement completed within the 90 day time period and want to create an interim Operations Agreement to comply with the terms of Franchise Ordinance while completing work on the Operations Agreement. NOW THEREFORE, for the purposes and subject to the terms and conditions hereinafter set forth, the County and SORS do hereby agree to this Interim Operations Agreement as follows: 1. Term: The Term of this interim Operations Agreement shall be June 16, 2010 through July 31, 2010. This term shall not be extended. 2. Services: This Operation Agreement authorizes SORS to provide the following services: a. Emergency Services i. BLS Transport Services 1. Special Event and Ambulance Services 2. Surge Emergency Medical Services and Ambulance Services ii. EMS Non-Transport b. Technical Rescue Services i. High Angle ii. Swiftwater Rescue iii. Confined Space Rescue Page 2 of 6 3. Administrative Services. a. The Director of Emergency Services and his designees shall manage this guideline and will cause upgrades and changes when deemed necessary. This operating guideline and subsequent updates are necessary to ensure the safety and welfare of all personnel, efficient delivery of services and compliance with all requirements as established. b. The Chief of South Orange shall serve as the administrative contact point for the squad. i. Following a change of command the name of the replacement shall be provided in writing to the Director of Emergency Services within twenty-fours. ii. A notice of personnel change within the officer ranks, including board members shall be communicated in writing to the Emergency Services Director within twenty-four hours following the change of personnel. c. Personnel. No personnel will be released for field operations without approval of the Emergency Services Director or his designee. i. Monthly a roster of new candidates will be transmitted to the director accompanied with background information, training verification, driving record verification and background check submitted on the forms supplied by Orange County Emergency Services ("OCES"). ii. Following review, the director will verify a roster of approved personnel to the Chief of the Squad and OCES EMS Operations Manager to be added to the credentialed database of practitioners. iii. All squad members shall comply with the County's Comply Credentialing and Compliance Policy administered by the OCES EMS Operations Manager under the direction of the County Medical Director. iv. SORS will provide required health and safety programs including immunization, medical evaluation training, post exposure management and drug screening testing for the personnel of SORS providing services pursuant to this agreement. d. Training. The Orange County Emergency Medical Services Training Officer prior to delivery of any in-service or continuing training will approve the course prior to delivery. i. Rosters will be transmitted to the OC EMS Training Officer no more than 48 hours following delivery of the class. Page 3 of 6 ii. Only instructors approved by he OC EMS or Fire Training Officer will deliver in-service training. iii. Guest instructors may deliver training upon approval of the OC EMS or Fire Training Officer. e. Scheduling. A schedule of time served by squad members shall be recorded and submitted the OCES EMS Operations Manager weekly on forms supplied by the County. The submissions shall reflect all special events, deployments, callouts; emergency and/or non-emergency events provided within the State of North Carolina. f. Data Collection and Reporting. County-specified data collection systems shall be purchased by the squad and utilize the data resources as prescribed by the County for the acquisition, transmission and reporting of patient care reports and other EMS data associated with BLS Transport and EMT Non-Transport. g. Communication. Only radio, paging, communication and/or data transmission equipment which complies with the County's communications system plan and requirements including the specification, use and maintenance of mobile, portable and accessory radio equipment shall be purchased or used by the Squad. h. Confidentiality of Patient Information. All members pf the squad shall protect all medical information obtained and used in the provision of Emergency Medical Services, in compliance with local, state, and federal confidentiality provisions. i. Standard operating guideline (SOG) updates for this document will be submitted to the Emergency Services Director for review and approval. j. Rescue Services. The Emergency Services Director will assist the Squad in developing or updating guidelines to comply with all minimum requirements of the North Carolina Association of Rescue Squads and EMS for swift water, confined space, and high angle rescue. k. The Director of Emergency Services or his designee shall determine the level of service for all special events. Notification of all special event requests shall be transmitted to the OCES EMS Operations Manager no later than seven days prior to the event. i. The EMS Operations Manager of designee will review the request and all documentation to determine the level of care and service to be provided. If the OC special events designee determines the service should be ALS, an OC paramedic will be scheduled. ii. The Chief of South Orange Squad shall submit to the EMS Operations Manager all invoices for reimbursement of approved costs, related to special events, for BLS transport and EMT Non-Transport coverage Page 4 of 6 requested by the County within two weeks of receipt of service delivery. Invoices submitted for reimbursement shall be pre-approved. 4. Operations. a. Squad members shall utilize the National Incident Management System (NIMS) during all training, exercising, and all other operations. OCES supervisory/command personnel shall assume command of operations following arrival and a briefing from the squad's IC. b. When operating under the auspices and/or supervision of the County, squad personnel shall conduct themselves in a manner, which complies with the policies of the County,which addresses harassment, discrimination,personal conduct, drug free work place, and employment of relatives. c. All squad members will operate under the supervision of the senior Orange County command officer. d. Only squad members who have successfully completed the OCES Field Supervisors and Command Officer's training program and approved by the Emergency Services Director may exercise incident command. e. OCES retains full authority for the care and treatment of all patients provide by members of the squad. f. The squad shall provide a County-approved Emergency Medical Technician-B to staff an ambulance; effective July 1, 2010,three nights per week(12 hours per shift) as determined in coordination with the Emergency Services Director. 5. Governing Law. This Operations Agreement and the duties, responsibilities, obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina. 6. Extent of Agreement. This Agreement represents the entire and integrated agreement between the County and the SORS and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties. 7. Severability. If any provision of this Agreement is held as a matter of law to be unenforceable, the remainder of this Agreement shall be valid and binding upon the Parties. 8. Notice.
