Pavment Terms: 1Re'fO'fAL SOFTWARE & IMPLEMENTATION (EXCL MAINT) amount specified above in this Order Porm are due within 30 days of
ZOLL's invoice for such amounts.
Maintenance Fees: Maintenance Pees specified in this Order Form will be prorated ^p to the next maintenance billing cycle and included as a Tine item in the
invoice in connection with this Order Form.
Service Pees: Sen~ice Fees are specified in each SO~V. Customer will also reimburse ZOLI, for all reasonable out-of-pocket expenses (including travel and
accommodation expenses) incurred by ZOLL ip providing the Services.
Scone of License: Software licensed on a per site or per user basis as indicated above may not be installed or used at greater than the number of sited indicated
or used by more than the number of concurrent users indicated, as applicable.
1'ax Exempt Status: Tf Customer is tax exempt or pays state taxes directly, then prior to invoicing, Customer nwst provide ZOLL with a copy of a current tax
exemption certificate issued by Customer's state taxing authority for the givenjurisdiction.
Expiration: Agreement expires if not signed by 10/30/09
Nonapuropriation: ZOLL acknowledges [hat Customer is a governmental entity, and the contract validity is based upon the availability of public funding
under the authority of its statutory mandate. hr the event that public Cunds are unavailable and not appropriated for the performance of Customer's obligations
^nder this contract, then this contract shall automatically expire without penalty to Customer thirty (30) days after written notice to ZOLL of the unavailability
and non-appropriation of public fiords. It is expressly agreed that Customer shall not activate this nmr-appropriatiot provision for its convenience or to
circonrvent the requirements of this contract, bat only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the
Customer's statutory authority, mandate and mandated fnnetions, by state and federal legislative or regulatory action, which adversely affects Customer's
authority to continue its obligations under this contract, then this contract shall automatically temlinate without penalty to Customer upon mitten notice to
ZOLL of such limitation or change in Customer's IegaFanNt rity.
