BACKGROUND: At the June 16, 2009 meeting, the BOCC directed the appropriate County departments to prepare an RFP. Following this directive, staff members from the affected departments met and devised an RFP. The RFP was sent to all known tower providers doing business in the County and other private groups who had expressed interest in the project. The AMPS Department issued the RFP in September 2009 (Attachment A). American Tower, Inc., the only responsible and responsive bid, provided its proposal on October 13, 2009 (Attachment B). An interview with the respondent, American Tower, Inc., was held on December 2, 2009 at the AMPS office. With BOCC approval, County staff members will begin negotiation with American Tower, Inc. to develop a memorandum of understanding with Orange County to assist with applications .for federal grant and loan programs for funding to extend broadband services into the rural underserved and un-served portions of Orange County. Presently, American Tower is requesting an 'exclusive right to develop' agreement for tower facilities on County lands. However, this would be time limited and American Tower would have the first right to develop and if not, then other agencies may proceed. American Tower is a builder of vertical real estate (the tower) upon which broadband service providers attach broadcasting equipment. One or more service providers would be part of the grant /loan application that the BOCC would review and approve, if awarded. FINANCIAL IMPACT: American Tower, Inc. will work with the County to complete any and all applications for federal broadband service grant and loan programs without charge. Depending on specific funding opportunities from the American Recovery and Reinvestment Act (ARRA) or from private market investment thresholds, specific location contracts will be brought forward to the BOCC and/or parameters of such contracts will be agreed to. RECOMMENDATIONS: The Manager recommends the Board: 1. Accept the American Tower, Inc. response for free consulting resources for ARRA grant/loan applications, 2. Direct staff to begin negotiations with American Tower, Inc. to prepare a memorandum of understanding regarding the completion of a grant or loan application to fund new broadband service within the rural underserved and un- served portions of the County, and 3. Analyze other areas of the County for inclusion into Master Telecommunications Plan and bring forward in February 2010. "The firm or firms selected would be co-applicants with Orange County through the American. Recovery & Reinvestment Act -Broadband Access Grants (RUS Broadband Initiatives Program [BIP] and the NTIA Broadband Technology Opportunities Program [BTOP]). L Introduction A. Description of Issuing Agency The Orange County is issuing this Request for Proposal (RFP) on behalf of the Planning and Inspection Department (Planning Department). The agency provides a full range of planning. and development review services for the unincorporated portions of Orange County. B. Selection of Qualified Firm The Broadband Work Group will review the responses to the RFP and make recommendation to the Board of County Commissioners (BOCC) to begin negotiation with a firm to carry out the task of development of a vision for future broadband coverage throughout rural Orange County. The BOCC has the sole authority to select or reject any or all responses to the RFP. A specific scope of services, budget and time line will be negotiated with the selected firm, and an agreement will ultimately be executed. II. Scope of Services Broadband Work Group The selected firm will work directly with the Planning Department, under the direction of Craig Benedict, AICP, the County Manager or designee, the Asset Management and Purchasing Services Department, the Economic Development Department, the Emergency Management Department, and the Information Technology Department. Periodic reports will be presented to the Work Group for discussion, review, and recommendation. Available and Relevant Studies, Surveys, and Plans Available resource materials, which may be relevant to the project, include the following and are available upon request: Orange County Broadband Service Inventory, Number of Households Unserved by Broadband Provider by Census Block, Density of Households Unserved by Broadband Provider by Census Block, a mapped inventory of Telecommunication Sites, Emergency Services Current and Future Stations, and partial mapping of cable services. Existing Broadband Conditions. The selected firm will be requested to investigate all aspects of wireless, broadband service coverage within the designated un-served and under served portions of rural Orange County. The proposed scope of services would include, but not be limited to wireless cell tower placement, tower system management, emergency 4 management connectivity, cable service areas, and reliable wireless service. Management of the resulting system may be an option for both parties to pursue. A letter addressed to appropriate federal grant maker stating that without the grant, the proposed broadband system could not be developed shall be required. III. Instructions to Applicants A. General Information 1. Submittal of Qualifications All responses must be received no later than 5:00 PM, EDT, on Tuesday October 20, 2009. The BOCC reserves the right to reject late proposals and reserves the right to accept or reject any or all responses. 2. Response Format Responses shall be prepared two-sided on 8-1/2" x 11" recycled content paper. Attachments can include general firm materials. One bound, printed original and one electronic copy (CD ROM or IBM compatible disk accepted) of the response are to be submitted. Documents should be clear and understandable when reproduced in black and white and in .pdf format. The response shall include the Proposer's name and address, and clearly marked "Proposal to Assist with the Development of a Future Vision of Reliable Broadband Coverage throughout the Un-served and Under Served Portions of Rural Orange County." 3. Project Funding The requested services will be funded by the applicant as a co-applicant for the American Recovery & Reinvestment Act -Broadband Access Grants (RUS Broadband Initiatives Program [BIP] and the NTIA Broadband Technology Opportunities Program [BTOP]). 4. American Tower Corporation ("ATC") herein proposes to: (a) provide general consulting services to the County related to broadband deployment; and (b) develop new wireless communication tower facilities (where applicable) in the County for the purposes of expanding broadband in un-served and underserved areas. In the State of North Carolina ATC owns and operates over 980 communications sites, 15 of which are within Orange County. ATC is uniquely positioned to partner with the County on the proposed project for the following reasons: • Financial Strength In these turbulent economic times we feel it important to illustrate our financial attributes, which differentiate us greatly from our peers. ATC is a New York Stock Exchange (NYSE) traded company (ticker symbol: AMT) with a current market capitalization of over $13.5 billion. General Thoughts We herein propose an arrangement whereby ATC would: (a) provide general consulting services to the County related to broadband deployment; and (b) have the exclusive option to develop new wireless communication tower facilities in the County for purposes of expanding broadband coverage in unserved and underserved areas. We believe our expertise in deploying wireless networks is invaluable as the County seeks to solicit interest from service providers and spur the development of broadband services throughout the County. In short, our team has the skills, experience, carrier relationships and capital backing to ensure a successful project with the County. Consulting Services -Description Our team has a long working history of developing wireless networks in Orange County and surrounding environs. As such, our team has deep local relationships with our carrier customers and firmly understands the various challenges associated with deploying wireless networks. We feel firmly that our team is best suited to advise the County on ways to spur the deployment of broadband coverage. ATC essentially proposes to offer its consulting services free of charge in exchange for an exclusive right to develop new wireless communication tower facilities in association with the subject project. Tower Development -Description As previously described, ATC is a premier owner and operator of wireless communication tower facilities. ATC strongly desires to further expand its tower portfolio (i.e., build new wireless communication tower facilities) in situations where its investment criteria are met and multi-tenant demand exists. We believe the erection of new wireless communication tower facilities will be required in order to meet the objectives of the subject project. ATC seeks to have the exclusive right to develop any new wireless communication tower facilities which are required in association with the subject project. If its minimum investment criteria are met, ATC would construct new wireless communication tower facilities only in those locations where appropriate parties (ATC, County and broadband provider) agree that a new facility is required for the deployment of broadband coverage. 2 Additional Thoughts • ATC commits to work diligently with the County and others to ensure a timely and thorough submittal for funds through the American Recovery & Reinvestment Act. However, for administrative and fmancial reasons, ATC does not desire to formally serve as a coapplicant for the subject funds. • ATC would propose to develop new wireless communication tower facilities on County properties, where feasible. If no options exist for the development of wireless communication tower facilities on County property then ATC would propose to develop such facilities on privately owned properties. • At this stage, our indication of interest is not intended to be legally binding and is subject to, among other things, the negotiation and execution of a mutually satisfactory legal agreements and the receipt of any necessary management consents and approvals. The parties may cease negotiations for any reason prior to entering into a defmitive agreement. d) Discussion of your firm's specific abilities and expertise to provide the required professional services and qualifications related to project requirements, including project management skills and methodology to monitor project budgets. ATC is wholly committed to a long-term successful business relationship with the County. As such, ATC'. commits to provide personnel of the highest caliber to execute on the subject project and ensure all project milestones are completed with maxnnum efficiency. By way of skills, relationships and local knowledge we feel our team is best suited to execute on the subject project. Furthermore, our team has a wealth of operational resources at its disposal to ensure successful project completion. Available resources include the following: • An in-house Geographic Information Systems (GIS) team • A robust proprietary project management software program • Oracle e-business suite software for tracking and reporting of all fmancial data • Deep in-house teams of personnel who are available to provide engineering, administrative, legal, regulatory, accounting and other specialized support • A pool ofpre-approved external contractors for assistance with highly specialized project requirements. e) Key personnel proposed as project team members, including detailed resumes. ATC's general consulting services and tower development activities would be performed primarily by seasoned employees based in our Cary, North Carolina office facility. Specific personnel resumes will be provided at a later point, once the project's parameters and needs are more firmly established. In short, ATC would designate one lead project manager who would remain as the County's key point of contact once the project commences. Prior to project commencement, ATC's Stephen Baker (contact information above; resume attached) is to remain the County's primary contact. f) Examples of specific knowledge, expertise and project management experience related to this type of project. ATC is uniquely qualified to be the County's partner for the subject project. ATC has been constructing, owning, operating, managing and maintaining wireless communication tower facilities since 1995. During its existence, ATC has been an industry leader in all facets of its core business. As described more fully on the cover letter enclosed herein, ATC's fmancial strength, operational excellence, carrier relationships and local knowledge are the prime tenets which differentiate our proposal from others.
