We will work with the County leadership to structure fiscally responsible and competitive investments in significant commercial and industrial projects which locate in the County thereby creating jobs for its citizens and tax revenues to support the continued vitality of the County. We will, if selected for this work, immediately undertake such a project with you and your leadership. We sincerely appreciate your calling on us to assist you, and we look forward to working with you. Bob Jessup and I will be the principal attorneys handling this matter, and other elements of the Firm may assist as well. My assistant is Jennifer Randall. If you have difficulty in reaching us, Jennifer will be able to assist you. Should you find it convenient to communicate with us by facsimile, our number is shown on the letterhead above. Bob Jessup and I will be billing at hourly rates of $285 and $285 respectively. Several people who may assist us and their standard hourly rates follow: Governor James E. Holshouser, Jr. at an hourly rate of $350; Samuel W. Whitt at an hourly rate of $225; David Garrett at an hourly rate of $175; and our paralegals at hourly rates of $75. Our quoted rates will remain in effect until December 31, 2008. We will submit monthly statements for services rendered that will also include an additional itemization of any costs advanced, such as copying, telephone, postage, and express mail. Enclosed is a copy of our firm's standard terms of engagement. If this billing arrangement is acceptable, please sign and date the enclosed copy of this letter and return it to us in the enclosed self-addressed, stamped envelope. Under separate cover I have sent to you some materials which describe that Group in greater detail. When the services of the partners in the Group will best serve an element of your County's needs, more economically, we will call upon the services of that partner(s) after you authorize these services. Partners in The Sanford Holshouser Business Development Group currently bill at the standard hourly rate of $170. Their time and expenses will be combined on our law firm's invoice and Orange County will therefore get a consolidated invoice for services of the law firm and the Group. Our rates customarily are reviewed in December, and, if appropriate, adjusted effective January 1. Should it become necessary to utilize the services of any other attorneys and paralegals, their time will be billed at their hourly rates in effect when the services are performed. Our statements will also itemize charges for photocopying, leg-distance telephone charges, travel expenses, automated legal research, ward processing, overnight mail, court filing fees and process foes. If our representation involves litigation, you will also be responsible for payment of the cost of depositions which will be billed directly to you. 3. ENGAGEMENT You may terminate our services prospectively at any time upon written notice to Sanford Holshouser LLP. Likewise, the firm reserves the right to withdraw from this representation upon written notice to you: 4.
