• Memorandum of Agreement Between Orange County, North Carolina (the County) and the
Orange County Dispute Settlement Center (DSC)
1. DSC will facilitate one meeting to last no longer than four hours at which the County will
convene representatives of two groups -- the group currently incorporated as Hillsborough
Farmer's Market and the unincorporated group that is in conflict with the incorporated
Hillsborough Farmer's Market -for the purposes of (a) evaluating the County's draft Tenant
Requirements for Leasing the Public Market House for Use as a Farmers' Market, and (b)
determining whether there is agreement to address any other issues in one or more future
meetings (and if so what arrangements, including contracting for additional facilitation services,
the parties to those discussions will agree to).
2. DSC will develop a plan for the one meeting, identifying the meeting time and place, invitees,
the desired outcomes, an agenda, and ground rules for the meeting. The County has identified
Fletcher Barber, Jr., Beverly Blythe, and Jeff Goodrum as individuals with whom DSC should
make initial contact in order to gather information that will be useful in the development of a
meeting plan. DSC will make these initial contacts, and may conduct additional interviews and
document research as needed in order to familiarize itself with the context of the situation
sufficiently for DSC to fulfill its role under this contract.
3. In consideration for DSC's services described herein, the County will pay DSC at the rate of
$85 per hour for all necessary time that DSC provides under this contract including planning,
preparations, interviews, document review, meetings, project administration, travel~time. In
addition, the County will reimburse DSC at cost for all necessary out of pocket expenses
incurred by DSC in fulfilling its role under this contract, including reimbursement of
automobile mileage at the IRS rate in effect at the time of travel, which is currently
$0.485/mile. DSC will provide no more than 10 hours to the County on this project without
explicit permission from the County to do so.
4. The County may share the costs of this contract with other parties through arrangements
separate from this contract. However those arrangements will not alter the County's
responsibilities to DSC under this contract.
5. The County will pay DSC within 10 business days after receiving DSC's invoice. Checks will
be made payable to the order of the Dispute Settlement Center, and mailed or delivered to DSC,
302 Weaver Sheet, Carrboro, NC 27510. DSC's federal tax identification number is F56-
1216584.
6. If, during or after the period of this mediation, disputes related to this contract emerge between
DSC and the County, then DSC and the County will seek resolution of the disputes by face-to-
face problem-solving, facilitated by a mutually agreeable third party if necessary, before taking
the grievance for resolution to any outside authority.
7. In consideration for this contract, the County agrees to not involve DSC, its employees or
volunteers in any adversarial proceedings, including court, legislative or administrative
• proceedings, involving any of the issues associated with this mediation. The County agrees not
to subpoena or compel DSC, its employees or volunteers to be called as witnesses to testify in
any adversarial proceedings, including court, legislative or administrative proceedings,
mvolving any of the issues associated with this mediation.
8. Any modification to this agreement must be written and signed by both parties.
