BACKGROUND: One of the major elements included in the November 1997 bond referendum approved by voters was partial funding for a new high school for the Orange County Schools district. Since approval of the bond, OCS officials have been exploring possible sites for the new school. OCS is now prepared to proceed with a specific site and has option contracts for the purchase of the land for the school site. The site is located in the vicinity of Grady Brown Elementary School and consists of a total of 64.8 acres with a purchase price of $603,200. Prior to acquiring this property, the school board is required to obtain the County Commissioners' approval of the purchase price. Under NCGS § 115C -426 (f), "...no contract for the purchase of a site shall be executed nor arty funds expended therefor without the approval of the board of county commissioners as to the amount to be spent for the site ... ". OCS representatives will provide a report to the Board regarding the proposed site so that the Commissioners will have sufficient information to render a decision about whether or not to approve the purchase price. FINANCIAL IMPACT: If the Board of Commissioners approve the purchase price, the Orange County Board of Education may proceed to acquire the site, as provided by law. Funding for the purchase of the site is already available in the New High School Capital Project Ordinance, as outlined in the 1998 -2008 CIP. RECOMMENDATION(S): The Manager recommends that the Board adopt the resolution approving the purchase price of the new school site. ORANGE COUNTY BOARD OF COMMISSIONERS A RESOLUTION APPROVING THE PURCHASE PRICE OF THE SITE FOR THE NEW HIGH SCHOOL IN THE ORANGE COUNTY SCHOOLS DISTRICT WHEREAS, the bond referendum approved by Orange County voters in November 1997 included a portion of the funding required for the construction of a new high school in the Orange County Schools district; and WHEREAS, the Orange County Schools have, since the approval of that bond referendum, engaged in a process for identifying and selecting an appropriate site for that new high school, and have obtained options for the purchase of an appropriate site; and WHEREAS, North Carolina General Statutes §115C -426 (f)_ provide that "...no contract for the purchase of a site shall be executed nor any funds expended therefor without the approval of the board of county commissioners as to the amount to be spent for the site ... "; and WHEREAS, representatives of the Orange County Board of Education have presented sufficient information to persuade the Board of Commissioners that the proposed purchase price of $603,200 for the 64.8 acres under consideration is an appropriate amount to be spent for the site; NOW, THEREFORE, BE IT RESOLVED by the Orange County Board of Commissioners that it hereby approves the amount to be spent by the Orange County Board of Education for the site of the new high school. MICHAEL PARKE ATTORNEY FOR ORANGE COUNTY SCHOOLS RE: SITE FOR PROPOSED HIGH SCHOOL Randy Bridges has requested that I forward to you information regarding the options between the Orange County Board of Education and two landowners for a prospective site for the new high school. On April 7, 1999 the Orange County Board of Education entered into an Option Agreement with Irma H. Crawford giving the Board of Education the option to purchase approximately 20 acres at the intersection of New Grady Brown School Road and Orange Grove Road. The site is directly across New Grady Brown School Road from Grady Brown Elementary School. The purchase price for the property is $10,000.00 per acre. On April 19, 1999 the Board of Education entered into an Option Agreement with Elizabeth W. Matheson to purchase a 44.8 acre parcel of land between the property owned by Ms. Crawford and Interstate 40 for $9,000.00 per acre. Thus, assuming the acreage is correct, we have options to purchase a total of 64.8 acres for $603,200.00. Both options must be exercised on or before July 4, 1999, unless extended. I am enclosing herein separate Option to Purchase Agreements with Erma Crawford and Elizabeth Matheson for the purchase of a site of approximately 64.8 acres. We have optioned approximately 20 acres of Mrs. Crawford immediately across the road from Grady Brown Elementary School. Ms. Matheson's property lies between Mrs. Crawford's property and interstate 40. We are in the process of conducting the necessary test to see if the site is suitable for construction of the new high school. One of the attractive features of the site is its accessibility to existing water and sewer. Part of the test that we are conducting is to what if any upgrades of the existing utilities would be necessary for construction of the school. If the estimated acreage is correct the purchase price would 603,200.00 for the 64.8 acres based upon the agreed to purchase price for each in the options. MATHESON (UNMARRIED) , Party of the Fizst Part (hereinafter referred to as "Grantor ") and THE ORANGE COUNTY BOARD OF EDUCATION, Party of the Second Part (hereinafter referred to as "Grantee"); WITNESSETH: THE GRANTOR, for a valuable consideration, the receipt of which is hereby acknowledged, does hereby grant, bargain, sell and convey unto the Grantee the option to purchase the property hereinafter described upon the terms and conditions hereinafter set forth. The real property which the Grantee has the option to purchase pursuant to this Option to Purchase Agreement is that certain tract or parcel of land located in Hillsborough Township, Orange County, North Carolina and bounded on the North by Interstate 40, on the west by Verlie C. Mangum, on the south by Irma Crawford and on the east by Interstate 40 and Louise M. Cecil and containing forty four and eight- tenths acres (44.8 acres) , more or less, and being all the property described in the deed recorded in Deed Book 197, Page 1069 of the Orange County Registry which lies south of the right of way acquired by the North Carolina Department of Transportation for the construction of Interstate 40. Saic_;r }­-Derty is all of the parcel identified on the Orange County land records as PIN #9863 -19 -8293 and on the Orange County Tax records as 4.42.A.3. THE TERMS AND CONDITIONS OF THIS OPTION ARE AS FOLLOWS: 1. The purchase price for this option is FIVE THOUSAND AND 00 /100 DOLLARS ($5,000.00). The Grantor acknowledges receipt of the purchase price for this option. Any payment made for the purchase of this option and the payment for the extensions hereto, if any, shall be applied to the purchase price as set forth in paragraph 3 below. 2. The Grantee shall have until the 4th day of July, 1999 at 5:00 P.M. in which to exercise said option and tender the purchase price as set forth in paragraph 3 below. In the event that the Grantee fails to exercise that option or fails to tender the purchase price as set forth above, then and in said event, this option shall be null and vcid and of no effect; provided, however, this option may be extended by amendment if signed by the Grantor. 3. That the purchase price for the said tract or parcel of land is NINE THOUSAND AND 00 /100 DOLLARS ($9,000.00) per acre. That said purchase price shall be paid in cash at the time of the exercise of the said option and closing of the transaction with conveyance by General Warranty Deed from the Grantor to the Grantee. Any and all payments made for the purchase of this option and any extensions hereto shall be applied to the said purchase price. 4. The Parties hereto acknowledge the property which is described above is expected to be ustu uy the Grantee as the site of a public school to be constructed thereon by the Grantee. During the option period, the Grantor agrees to cooperate with the Grantee in all testing, investigations, applications and permits which may be necessary to determine the suitability of the said property for the construction of a public school, provided, that the Grantee shall indemnify and hold the Grantor harmless for all acts of the Grantor in furtherance of the Grantee's projected plans for the said property. The Grantor agrees that the Grantee, its agents or employees may go upon the property for the purpose of inspecting, testing and analyzing the site in connection with the proposed construction on the site at any time prior to the closing, provided that this option has not expired. 5. There must be no- restrictions, easements, zoning or other governmental regulations which would prevent the reasonable use of the above - described tract or parcel of land for the purpose of construction of a public school. The Grantor warrants that there are no encumbrances or special assessments either pending or confirmed for sidewalk paving, water, sewer or other improvements on or adjoining the property. In the event that such restrictions, easements, zoning or other governmental regulations which would prohibit or restrict the use of the subject property as a public school, the Grantor, upon request of the Grantee, will assist in the removal of any such impediments to use. 5. In the event that the Grantee exercises the option herein set forth, upon closing the Grantor shall pay for the preparation of a deed, for the preparation and recording of all documents necessary to convey marketable fee simple title free of liens and encumbrances and for the excise tax required by law. Grantee shall pay for recording the deed, survey of subject property and for all other closing costs. Grantor agrees to furnish at closing an affidavit and indemnification agreement in form satisfactory to Grantee showing that all labor and materials, if any, furnished to the property within a 120 day period prior to the date of closing have been paid for and agreeing to indemnify Grantee against any and all loss resulting from any cause or claim arising therefrom. 7. The deed of conveyance to be executed by the Grantor is to be made to the Orange County Board of Education. Possession shall be delivered at closing. 8. Ad valorem taxes on the real property shall be pro- rated on a calendar year basis to the date of closing. Any ad valorem taxes on personal property for the entire year shall be paid by the Grantor. Any late listing penalties shall be paid by the Grantor. 9. Any and all deeds of trust, liens or other charges against the property not assumed by the buyer must be paid and canceled by the Grantor prior to or at closing. Upon request, Grantor shall furnish an affidavit and indemnification agreement in a form satisfactory to buyer shov.iny that all labor and /or materials, if any, furnished to the property within one hundred twenty (120) days prior to the date of closing have been paid and agreeing to indemnify Grantee against all loss from any cause or claim arising therefrom. 10. Upon request from the Grantee or its counsel, D. Michael Parker, Grantor agrees to exercise her best efforts to deliver to Grantee as soon as reasonably possible following the signing of this agreement, copies of any title information in possession of or available to Grantor, including, but not limited to, title insurance policies, attorney's opinions on title, surveys, covenants, deeds, notes, and deeds of trust and easements relating to the real property described above. Grantor further agrees, upon request from the Grantee or its counsel, D. Michael Parker, to provide any information requested by buyer regarding title to the above described property, including any information relating to family history which may be necessary to establish title in the Grantor. 11. This option between Grantor and Grantee may not be assigned without the express prior written consent of both parties an in the event that such prior written consent is secured, all conuitions herein set forth between the Grantor and the Grantee shall be binding upon any assignee, its heirs, successors and assigns. 12. This option shall be binding and shall enure to the benefit of the parties, their heirs, successors and assigns. 13. The Grantor and Grantee agree that a Memorandum of this Option in form satisfactory to Grantee shall be executed and may be recorded but that this option to purchase agreement shall not be recorded in the Office of the Orange County Register of Deeds. 14. Any provision contained herein which by its nature and effect, if required to be observed, kept or performed after closing shall survive the closing and shall remain binding upon and for the benefit of the parties hereto until fully observed, kept or -oerformed. 15. The Grantee, upon exercise of the Option set forth herein, shall inform the Grantor of a closing date, closing to occur at a place designated by the attorney for the Grantee. 16. This option contains the entire agreement of the parties and there are no representatives, inducements or other provisions other than those expressed in writing. Any changes, additions or deletions hereto must be in writing and signed by all parties. We understand the Commissioners are not willing to share in the initial cost of assisting us with this decision. It is our hope that our decision to provide space for future additions to this site will provide the opportunity for long -term benefit for our school and the children of northern Orange County. I would be remiss not to mention some concerns shared by our Board on this matter. We began discussions with a small group of community leaders several months ago about creating an opportunity that would benefit the school system, Town of Hillsborough, and the County Commissioners. The landowners agreed to donate the school site, which met our needs. They were willing to share in the expense of running water and sewer to the school, which would benefit the Town of Hillsborough and the school. They also expressed interest in donating additional land for a park, which would benefit the County, Hillsborough, and the schools. The landowner asked that this donation be considered for credit toward open space requirements, and/or the public use stipulations for new developments if this area was ever developed. The Commissioners would not make any commitment to the possibility of giving any consideration to that request. The Orange County Board of Education is very interested in the Commissioners accessing the Parks /Recreation Bond funds to add ball fields to the site of the new elementary school (fields I might add are needed in northern Orange County). It appears that this will not occur at this time. Our decision to move the school will allow the possibility of providing these ball fields at a later date. However, the cost of doing it then as opposed to proceeding with it now will increase substantially. fJ Alice Gordon -2- May 3, 1999 As a member of the School and Land Use Council, I am concerned about what we have been discussing as the purpose of the group during our meetings. In my opinion, this was a great opportunity to exercise co- location and the shared use of facilities. It appears to me that the current process we are developing for the council creates barriers in working together, as opposed to developing a process to promoting mutual agreement and co- operation. In that I know we all want what is best for Orange County, we clearly don't have a people problem, but rather a process problem. Superintendent Bridges, Mike Parker, Susan Dovenbarger, Ray DeBruhl, and I will be with the Commissioners on Tuesday night to share the site of our new high school. I hope the Commissioners will receive our selection as a good choice and approve the purchase of the site. We look forward to seeing you on Tuesday night.
